How to File

Step 1 – The applicant will want to select a name for their new business. This may be done by going to the Alaska Corporations Database and entering the name you would like to have. If after you have entered and nothing shows up for listings then you most likely have a name that is unique and may be registered.

Step 2 – Now you must decide which type of entity to file. The most common are Corporations and LLC’s but every one is different depending on the filer’s situation. Also, if the entity will be located inside the State it will be considered Domestic and outside the State is Foreign.

Step 3 – After the entity is selected the applicant will want to attach the filing fee to the Articles (if online then payment via credit card is acceptable). All checks must be made payable to the ‘Division of Corporations, Business and Professional Licensing’.

Step 4 – If the filer paid online the process is complete. If the incorporator is sending the paper application it must be sent to the following address;

Step 5 – For some entities the State of Alaska requires an Initial Report to be filed in order to remain in compliance. For some entities this is free and for others it is a fee of $100. It can be filed directly online.

Step 6 – At this time the filing is complete and the registered articles should be in the mail within 10 to 15 business days. Although the IRS will ask that you register and obtain an Employer Identification Number (EIN) in order to make financial transactions and open bank accounts on behalf of the entity. Therefore the applicant will need to go to the IRS Website to register and obtain this number which is free and is generated instantly.
