The Articles of Incorporation Domestic Religious Corporation | Form 08-539 is the required application form one must submit to the Corporate Section of the Alaska State Government, should an entity, concerning itself with the holdings of a religious society, need to be incorporated. Any corporation needing to be formed in this State will need to submit such paperwork along with the appropriate payment (in this case, a $50.00 state filing fee). As per AS Sec. 10.40.020. Execution of articles of incorporation, these articles should be filed in triplicate with any supporting information. This type of corporation will require that individual entities such as the IRS be contacted as well. It is imperative throughout the formation of such a corporation, the incorporators can assure the entity being formed is in compliance with all State and Federal requirements and codes from all government entities that would express an interest. Thus, if there are any grey areas in forming this specific type of corporation the entity’s founders should seek legal counsel before finalizing any paperwork through submittal.

Step 1 – Place a check mark next in the box next to the dollar amount “$50.00” at the top of the page.

Step 2 – Article 1 is where you will report the unique name of your religious corporation. You may see if the name you have chosen for this entity is taken on the Alaska Corporate Section webpage and searching the corporation database.

Step 3 – Article 2 is where you must describe the purpose of your religious corporation. That is, why it is being formed and why it shall continue to operate. This may require more space than available on this document. If so, attach a clearly labeled continuation page (for this article) to this document.

Step 4 – Article 3 will require an estimated value of the entity’s property value. This should be a complete accounting of the religious corporation’s property at the time of its formation.

Step 5 – In Article 4, report the name and address (the physical address and, if different, the mailing address) of the registered agent who has been appointed by the entity to receive legal notices served to the religious corporation these articles concern themselves with. This entity must maintain a physical and mailing address in the State of Alaska.

Step 6 – The next step will be for the entity named by the religious organization as having the authority to form this religious corporation to sign his/her name, print his/her name, report his/her title, and provide a date for the signature.

Step 7 – One of the mandatory forms to accompany an Article of Incorporation (any) in the State of Alaska is the Contact Information sheet. This sheet is meant to provide reviewers with a contact who will solve any issues that arise during the approval process as well as provide an address where any documents may be returned. This sheet should be located at the end of the Articles of Incorporation and is self titled. On it, enter the name of the entity being formed (as reported in Article 1). Then enter the name, email, phone number, and mailing address of the contact who may resolve any issues or provide additional information required by state reviewers. Then enter the name, company, and mailing address where any documents concerning this issue may be returned.

Step 8 – The “Contact Information Sheet” that accompanies these articles must be filled out and submitted. This document will need the name of the entity as it appears in Article 1, the contact information (name, email, phone number, mailing address) of an individual or entity that will be in a position to receive inquiries from Alaska State reviewers regarding these articles, and the mailing information (name, company, mailing address) where any and all documents the state needs to return may be sent.

Step 9 – The Articles of Incorporation Domestic Religious Corporation must be filed in triplicate (one original plus two copies) with a state filing fee for $50.00 and any additional supporting paperwork to State of Alaska, Corporations Section, PO Box 110806, Juneau, AK 99811-0806.
