Alabama Articles of Incorporation Templates | AL Secretary of State

Download and complete the Alabama Articles of Incorporation, also referred to as the 'Certificate of Formation' or 'Application for Authority', i order to create a corporation. The Secretary of State charges a fee ranging from $100 to $150 depending on the entity type. All applicants will need to apply for a Name Reservation before making a formal application and attach the Name Reservation Certificate to their Articles of Incorporation when applying. The incorporator will need to gather their articles, along with two (2) copies, along with the filing fee and send to the County Probate Judge (for domestic filers) or the Secretary of State's office (for foreign filers) and the filing process is complete. How to File

Step 1 – Name your corporation. Your corporation’s name must be unique and contain the word ‘incorporated’ or ‘corporation.’ Use the Alabama Business Search Tool to find a name that has not already been taken by another entity.

Step 2 – Get a Certificate of Name Reservation. This must be done online with on Alabama’s Secretary of State Website here: Secretary of State Name Reservation. One may either click ‘Subscriber’ or choose to enter as a ‘Non Subscriber’. If this is your first (1st) time and will only be using the Secretary of State’s site to create this entity select ‘Non Subscriber.’

Step 3 – Fill out the required contact information which will include contact name, address (city, state, zip code), phone number, fax number, and email. Select ‘Continue.’

Step 4 – In the first (1st) area select the type of entity being created: Domestic or Foreign.

In the second (2nd) area select either a Business Corporation, Non-Profit Corporation, Professional Corporation, or Employee Cooperative Corporation.

Step 5 – Check to see if the desired name is available by entering it in the text then selecting ‘Continue.’

Step 6 – Fill out the required information that will appear on the Reservation Certificate. The Contact information may be copied by selecting the ‘Copy Contact Information To Requestor Information’ link, or by entering manually if the person making the filing is an individual or organiation and then inputting the following about the Requestor: Name, Country, Mailing Address, City, State, and Zip Code.

Then select ‘Continue.’

Step 7 – Certify the information then select ‘Continue.’ Depending upon the type of Corporation and the county the corporation exists, the user may be allowed to make a payment on line. The fee is $28 for non-subscribers and $27 for subscribers.

Step 8 – Wait 15 days then visit Alabama’s Secretary of State Website here: Secretary of State Name Reservation then enter the Order I.D. in the text box under the heading ‘Look-Up Previously Purchased Certificates’ and select ‘Look-Up.’

Print the Certificate to accompany the appropriate Articles of Incorporation application. All documentation must adhere to each individual form’s instructions so the Secretary of State may process the application correctly and be sent to the appropriate government office. The Certificate and all supporting applications must be printed with a laser printer.

Step 9 – Now you will want to fill-in one of the Articles of Incorporation documents depending upon your situation:

After making your original make two (2) copies.

Step 10 – Attach the required fee:

  • Domestic Profit – $100
  • Domestic Non-Profit – $100
  • Foreign – $150

The applicant may choose to Expedite the processing for an additional $100.

Step 11 – Use the Name Reservation Certificate you received, filing fee, and gather the original and two (2) copies of your Articles of Incorporation (completed) and send to:

  • Domestic Entities -  The Judge of Probate in Your County (call as some counties have an additional fee).
  • Foreign Entities – Send to the Secretary of State’s office located at Secretary of State, Business Services, (For SOS Office Use Only) P.O. Box 5616, Montgomery, Alabama, 36103-5616.
