How to File

Part 1 – Determining Your Entity’s Name

Step 1 – Determine the corporation type that you will form then choose a unique name. For profit Corporation names must comply with Arkansas Act 958 of 1987 (A.C.A § 4-27-402) and nonprofit corporation names must be in compliance with Arkansas Act 1147 of 1993 (A.C.A § 4-33-402). This must be a unique name in the State of Arkansas. One may check to see if this name is in use by searching the business entity database on the Arkansas Secretary of State website here: http://www.sos.arkansas.gov/corps/search_all.php

Step 2 – Once this page is opened, select the entity type from the drop down menu labeled Corporation Type. This may be left “Any Type” for a broader search.

Step 3 – In the field following the word “Name” or after the word “Fictitious Name,” enter the desired name for the corporation being formed. You may provide additional in the following fields or search by the following fields as well: Registered Agent, RA City, RA State, and/or Filing Number. Once you have entered the desired criteria, select the button “Search”

Step 4 – This will yield the Name, City, State, and Status of all matching criteria, review this list to make sure the name you have chosen is not present. If not, you may use the corporate name you have entered. If it is on the list then you must choose another and redo this search. Now that you have a name, you may choose to reserve it for up to 120 days before filing your Articles of Incorporation. This will require a payment of a filing fee of $25.00 and may be submitted by mail, in person, or online. This is optional.

Step 5 - Each name is clickable. When selected each name will direct to its entry page, here you will be able to view that corporation’s name, fictitious name (if applicable), filing number, filing type, the Act it was filed under, status, principal address, registered agent, registered agent address, date filed, officers, foreign name(if applicable), foreign address(if applicable), and state of origin (if applicable.

Part 2 – Reserving Your Entity’s Name By Mail

Step 1 – Download the Appropriate form DN-01. This may be selected under the desired entity’s heading. In order to reserve a Domestic For Profit Corporation go to: http://www.sos.arkansas.gov/BCS/Pages/Domestic.aspx. Then under the heading “Domestic Corporation” select the link to the PDF file labeled “Application for Reservation of Corporation Name.”

Step 2 - You will have to indicate whether the corporation will be a Domestic or Foreign corporation by checking the appropriate box, under the heading “Jurisdication.”

Step 3 - Next, beneath the heading “Entity Type,” you will need to indicate the entity type by checking the box next to For-Profit, Nonprofit, or LLC. You may only choose one.

Step 4 - Report the name that must be reserved for the entity that shall be formed, the address of this entity, and the date this form is being filled out. Finally, sign and print your name at the bottom of the page. You may mail or submit in person with a $25.00 filing fee payment (if by mail, you must pay by check payable to Arkansas Secretary of State). You will receive a stamped copy.

Option 2 – Reserving Your Entity’s Name Electronically

Step 1 - If you prefer you may wish to file online. To do this go to http://www.sos.arkansas.gov/BCS/Pages/Domestic.aspx  and locate the correct entity type. For our purposes, locate the line labeled “Application for Reservation of Corporate Name” under the heading “Domestic Corporations” then select the word “Online.” This will direct the browser to the online area.

Step 2 – Locate the link titled “Application for Reservation of Corporation Name – DN-02, select it, then click on the “Start Form” button that appears. This will direct your browser to a the online “Application for Reservation of Corporation Name” online form.

Step 3 - Confirm the correct Filing Act is indicated for the entity whose name you are reserving.

Step 4 - Under the heading “Entity Information,” enter the entity name to be reserved

Step 5 - Under the heading “Applicant/Owner,” enter the business name or full name and full address then select “Save Officer.”

Step 6 -  Next, under the heading “Submitter’s Contact Information,” enter the entity name or the full name of the submitter, and this party’s full address.

Step 7 - Finally, click the acknowledgement/verification and enter your name where it says “Signature.” Make sure this information is correct then select the button labeled “Submit.” You will be directed to an area where you may pay the online filing fee of $22.50 by American Express, Discover, MasterCard, VISA, or an INA account. You will receive verification of an accepted payment. This process will not be considered final until such verification.
