Arkansas Articles of Incorporation for Benefit Corporation – Domestic

The Arkansas Articles of Incorporation for Benefit Corporation must be filed with the Arkansas Secretary of State should an entity wish to operate as such. This can only be done by mail or by delivering it personally. This must accompany all paperwork relevant to the nature of the forming entity and required by the state along with payment for the $50.00 state filing fee. Checks should be made payable to the Arkansas Secretary of State. These articles may only be filed by mail (do not send cash) or in person and should be submitted to: Arkansas Secretary of State 1401 W Capitol, Suite 250, Little Rock, AR 72201.

 

How To File

Step 1 – Report the name of the Benefit Corporation in Item 1.

Step 2 – Place a check mark in the box labeled “Yes” to indicate this is a benefit corporation in Item 2.

Step 3 – In the third item, report whether the benefit corporation has a public benefit. If so place a check mark in the box labeled “Yes,” then define the public benefit on the space provided. You must be specific. If the corporation does not have a public benefit place a check mark in the box labeled “No.”

Step 4 – Report the number of authorized shares this corporation may issue on the blank space in Item 4. Below this, enter the par value of each share on the space provided. The last section of this item is a table where you must report the Number of Shares for each Class, the Series (if Applicable), and the Par Value Per Share or Statement that Shares are without Par Value.

Step 5 – The full name of the Initial Registered Agent must be documented in Item 5. This must be followed by the Registered Agent’s Physical Address, City, State, Zip Code, and County. Arkansas State Law requires the Registered Agent to maintain a physical address within the state.

Step  6 – Item 6, report the Full Name, Address, City, State, Zip Code, and County for the Initial Benefit Director.

Step 7 –  In Item 7, report the Full Name, Address, City, State, Zip Code, and County for the Initial Benefit Officer.

Step 8 – Item 8 will provide enough space to report the Full Name, Address, City, State, Zip Code, and County for three Incorporators.

Step 9 – Document the Full Name, Address, City, State, Zip Code, County, Email and Phone Number of this benefit corporation’s Tax Contact.

Step 10 – Report the primary purpose of the benefit corporation being formed in the space provided in Item 10a.

Step 11 – Next, enter the Calendar Day, Month, and Year these articles are being executed.

Step 12 – At least one Incorporator must sign and print his/her Name and provide his/her Title at the end of this form.

Step 13 – Gather all your documentation, including any relevant attachments, the original completed articles, and a check for $50.00 made payable to “Arkansas Secretary of State,” then mail to:
