Colorado Articles of Incorporation Templates | CO Secretary of State

The Colorado Articles of Incorporation are a set of online forms meant to accompany the required documentation that must be submitted and approved to the Colorado Secretary of State when an entity wishes to conduct business as a corporation. The Colorado Secretary of State favors online communications in these matters which keeps filing costs down and allows sumbittals to be done in real time. Each successful filing will result in a Confirmation page being displayed. This page will contain an image of the submitted articles stamped with the filing date, Document I.D. number, and the word "E-filed" stamped at the top. It is recommended to check the "Business Database Search" page to keep up to date on the status of your filing and to sign up for email notifications. How to File

Step 1 - Decide the entity type you would like to form. There are several types of corporation entities to choose from: For Profit Corporation, Non-Profit Corporation, Foreign Entity Corporation, Public Benefit Corporation, Cooperative as a public benefit corporation(article 55), Cooperative association as a public benefit corporation (article 56). If you are unsure of which entity type fits your purposes, consult an attorney before beginning the process.

Step 2 - Once you have decided upon the proper entity type based upon the purpose of forming it, you must name this corporation. It must be a unique name and contain one of the following abbreviations: Corporation, Corp., Incorporated Inc.,Company, Co., Limited, Ltd.(as per 7-90-601, C.R.S).

Step 3 -You should verify if this is a unique name in this state. To do so, go to: http://www.sos.state.co.us/biz/NameCriteria.do?org.apache.struts.taglib.html.TOKEN=a73c20f020734d354390ccbe08cfad7e. Enter the name of the corporation you are forming then select the button labeled “Search.” This will open a page indicating if the name is available. This page will give you three options.

Step 4 – You may choose to search further by searching the Colorado’s Business Database (select the link labeled “search the business database”), Select the words “Click here” to file for the newly forming corporation, or you may select the button labeled “Back” should the name be unavailable and you wish to search again. Assuming you have successfully chosen a unique name, select “Click here.” Do not proceed to Step 4 unless you have verified the availability of your new corporation’s name.

Step 4 - You will be directed to an area where you may file your articles of organization. You may only form a corporation online in the State of Colorado. This page will display the types of entities that may be formed in this state you must select one in order to continue. (To view go here: http://www.sos.state.co.us/biz/FileDoc.do). Selecting any of these choices will begin the filing process to form that entity type.

Step 5 - When filing be prepared to supply such pieces of information as the Incorporator’s full Name, Registered Agent’s Full Name, and Principal Office Address. You will be assigned a business entity number once the articles have been approved. This is a unique number used by the Secretary of State to identify an entity which is composed of 11 digits (first four are the year, this will be followed by a 1 or 2, then a sequential number of six digits.
