Connecticut Articles of Incorporation Templates | CT Secretary of State

The Connecticut Articles of Incorporation are a set of forms which allows an entity to apply for the right to do business in the State of Connecticut as a corporation. Different corporation types will require different application fees which will range from $50.00 to $350.00. Full payment of these fees will be required when submitting the Connecticut Articles of Incorporation. The nature of the corporation being formed will also have an impact on the types of governing entities (in addition to the Connecticut Secretary of State) the forming corporation will need to contact, submit paperwork, and/or payment. It is the responsibility of the Incorporator to make sure he/she is in compliance with Connecticut and Federal statutes holding jurisdiction over the corporation being formed. The Connecticut Articles of Incorporation may be mailed (Mail to: Commercial Recording Division, Connecticut Secretary of the State, P.O. Box 150470, Hartford, CT 06115 or hand delivered to (bring to: Commercial Recording Division, Connecticut Secretary of the State, 30 Trinity Street, Hartford, CT 06106) with all required paperwork as well as full payment for the appropriate state filing fees.

How to File

How To File

Step 1 - Determine the entity type for appropriate for the corporation being created.

Step 2 - Develop a name for the corporation being created. This name must be unique in the State of Connecticut and, if a corporation, must contain the phrasing Corporation, Incorporated, Company, Societa per Azioni, Limited, Corp, Inc. Co., S.p.A. or ltd.

Step 3 - Next, you will need to verify this is a unique name, You may do this by searching the Business Name Database maintained by the State of Connecticut here: http://www.concord-sots.ct.gov/CONCORD/online?sn=PublicInquiry&eid=9740 . Enter the chosen name in the text box labeled “Check by Name.” Then select the button labeled “Search” in the bottom left hand area of the page. Note: using a partial name will result in more results.

Step 4 - This will result in a either a pop-up message stating the name you’ve entered is available and you may proceed to reserve a name. If you entered a name which results in one or more matches, a table will present the Name, Business ID’s, Status, and Business Address of matching results.

Step 5 - You may reserve a name for up to 120 days by submitting the Application for Reservation of Name. You may download this here: Form CNR-1-1.0. Then enter the Name, Address, City, State, and Zip Code of individual or entity responsible for this submission in the “Filing Party” box in the top left hand box.

Step 6 - In the first item, “Name to be Reserved – Required,” enter the name you wish to reserve.

Step 7 - In Item 2, “Name of the Applicant – Required,” enter the name of the individual applying to reserve the name.

Step 8 - In Item 3, report the Address, City, State, and Zip Code of the party applying for the name reservation.

Step 9 - Item 4, requires the Calendar Day, Month, and Year this application is being executed. Below this will be a row of boxes. The applicant must print his/her name, report his/her official title(if applicable), then sign his/her name in the “Name of Applicant,” “Capacity/Title of Applicant,” and “Signature” boxes respectively.

Step 10 - You may mail or hand deliver this application to the Colorado Secretary of State. This must be accompanied by payment for the $60.00 filing fee. Checks must be made payable to “Secretary of State.” If mailing the application and payment, send to Commercial Recording Division, Connecticut Secretary of State, P.O. BOX 150470 Hartford, CT 06115-0470 while if hand delivering this package bring to Commercial Recording Division, Connecticut Secretary of State, 30 Trinity Street, Hartford, CT 06106.

Step 11 - Once you have solidified the chosen corporate name is available and in compliance and have attained all relevant documentation, you must file an Article of Incorporation with the Connecticut Secretary of State before the forming entity may conduct business. This will require a filing fee payment ranging from $50.00 to $385.00 and may be done either by mail or by hand-delivering the submittal package to the Connecticut Secretary of State. If mailing the submittal package, send to Commercial Recording Division, Connecticut Secretary of State, P.O. BOX 150470 Hartford, CT 06115-0470 while if hand delivering this package bring to Commercial Recording Division, Connecticut Secretary of State, 30 Trinity Street, Hartford, CT 06106.This does not constitute all the requirements of the Connecticut Secretary of State and it is highly advisable to consult with an attorney to make sure one’s corporation is in compliance with all Connecticut Statutes and Regulations from all interested governing entities.
