The Hawaii Articles of Corporation must be filled out in black ink or printed. How to File

Step 1 - The first step, in forming a corporate entity, is determining the type of corporation to be formed. This may depend upon a variety of factors ranging from the purpose of forming it to what the governing State of Hawaii requires. It is strongly recommended to seek consultations with the appropriate professionals such as an attorney.

Step 2 - Next, you will need to name the corporate entity you are forming. In the State of Hawaii, this name must be unique and must contain appropriate suffixes (i.e. Corporation, Incorporated, Corp., Inc.). At this stage it is considered wise to utilize the Hawaii Department of Commerce and Consumer Affairs’ Business Name Search. This is a free search for existing businesses thus granting some assurance the name is not taken by an existing business. This is not to say the name is definitely available for use, for this kind of assurance you may call the Hawaii Department of Commerce and Consumer Affairs at (808) 586-2727. You may use the business search tool by opening this page: https://hbe.ehawaii.gov/documents/search.html.

Step 3 - There will be a dropdown menu and text box in the top right hand part of the page and just below the section titled “Search for Business Entity & Documents.” You may use either of these search tools with the same results. The drop down menu will offer a choice between “Begins With” and “Contains” while the text box will allow you to input part of a name you have chosen or the full name. Entering fewer words will yield more results. This will work nicely to make sure you have not chosen a name that may be considered a variation of another entity’s name. (This would not be acceptable if it is misleading). Select one of the choices from the dropdown menu, enter the criteria you wish to search then click the “Search” button. This will deliver search results to your browser.

HI name search 1Step 4 - The Search Results Page will contain a table of entities matching the criteria you have entered. The column headings are Name, Record Type, File No., and Status. Each name is a link to a “General Info” page. Select a name to view more information about an entity.

Step 5 - The General Info page will deliver the Master Name, Business Type, File Number, Status, Purpose, Place Incorporated, Registration Date, Mailing Address, and Term of the selected entry. Remember when reviewing this information that even names for entities that have dissolved may not be available. Once you have selected a name for the corporation, you may proceed to the next step.

Step 6 - If you choose to, you may reserve the name you will name the corporate entity being formed with the Hawaii Department of Commerce and Consumer Affairs for a filing fee of $10.00. You may do so online but you must obtain a log in to do so here: If you do not wish to create a login, you may submit this Application For Reservation of Name (Form X-1) by mail. Step 7 - The first line of this application will require you define the entity type this name is being reserved for. This may be done by placing a mark in the appropriately labeled box. You will have three choices: Corporation, Partnership, or LLC. You may only choose one. Do this by either typing an “X” in the proper box or by handwriting it in. Note: If this form will be filled out by hand, it must be done in Black Ink and be legible.

Step 8 - In the first item, enter your full name.

Step 9 - In Item 2, enter your Full Address.

Step 10 - In Item 3, indicate your status. If you are setting up or changing the name of a domestic corporate entity, then place a check mark in the first box. If you are forming or changing the name of a foreign corporate entity then check the second box.

Step 11 - In Item 4, enter the name you wish to reserve for the corporation you are forming. Corporate names in this state must have one of these phrases: Corporation, Incorporated, Limited, Corp., Inc., or Ltd. If this is an assumed name being reserved for a foreign entity then check the box on the line beginning with the words “Reserved name includes a fictitious name)

Step 12 - If this is a Profit Corporation then place a check mark in the box labeled “Profit” in Item 5. If this is a Nonprofit Corporation then check the box labeled “NonProfit” in Item 5. Only one of these may be selected.

Step 13 - If this is a Partnership, then indicate the appropriate type by selecting the applicable box. If this is a corporation and not a partnership, leave this section blank.

Step 14 - Near the bottom of the page, under the statement beginning with “I certify that I have read the above statements” you must print your name on the first space then sign your name on the blank line below this. Do not fill in any of the blank lines below the words “Department Use Only”

Step 15 - Once you have determined the entity type to be formed and settled upon a name, you must appoint a Registered Agent. This is an individual or business entity that has agreed to receive service of process court documents, if the corporation is sued, on behalf of the forming corporation then deliver it reliably to the corporation itself.

Step 16 - The next step will be to submit the Articles of Incorporation for your entity type to the Department of Commerce and Consumer. This may be done online if you have obtained a login (you may do so here: https://login.ehawaii.gov) or you may submit the articles with the appropriate filing fee and documentation by mail by sending the submittal package to Department of Commerce and Consumer Affairs, Business Registration Division, P.O. Box 40, Honolulu, HI 96810. The filing fees range from $25.00 to $50.00. An expedited service is available for an additional $25.00.
