The Iowa Articles of Incorporation are a set of documents which allow entities to legally form and register with the Iowa Secretary of State. Different entities will be required to submit different information which will depend on the entity type. For instance, the Iowa Articles of Incorporation for a Professional Profit Corporation would differ significantly in its requirements from an Iowa Articles of Incorporation for a Religious Nonprofit Corporation. How to File

Step 1 - One of the first decisions you will make when deciding to form a corporation will be to decide upon the type of corporation you wish to form. In Iowa some of the types of corporations you may form in this state are Business Stock, Business Non-stock, Business Statutory Close, or a Non-Profit. Make sure you select the corporate type that will fit best with your corporate activities.

Step 2 - Once you have decided upon the type of corporation you have formed, you will need to think of an appropriate Name which includes corporate designation word (i.e. Corporation, Corp., Incorporated, Inc.). You must make sure this Name is not the property of another entity. You may do this with the Business Entity Search Tool provided by the Iowa Secretary of State.

Step 3 - Go to the Iowa Secretary of State Business Entities Search page here: https://sos.iowa.gov/search/business/(S(xx5bny45ikqdcx45mwkihf45))/search.aspx

Step 4 - In the “Business Name” field, enter the Name you have chosen for your corporation. You may also select the how many you would like to display on the Results page by use of a drop down list in the “Results per page” field. After you have done this select the “Search” button.

Step 5 - The Business Entities Results page will deliver all the matching entity Names reserved with the Iowa Secretary of State. This will be in the form of a table with a column for Business No., Name, Status, and Type. Each entry in the Business No. field is a clickable link which shall lead to the Business Entity Summary page.

Step 6 - The Business Entity Summary will display the Business No., Legal Name, Status, Type, State of Inc., if it was Modified, Expiration Date, Effective Date, Filing Date, Chapter, Registered Agent or Reserving Party information, and the Home Office Address. Regardless of the status, a Name is only available for your entity if the Iowa Secretary of State considers it available.

Step 7 - If the Name of your corporation is available you may choose to reserve it by submitting an “Iowa Application For Reservation of Name.” To do this, open this form by clicking here: Iowa Reservation of Name and proceed to Step 8. This is not a requirement so if you do not wish to reserve a Name proceed to Step 12.

Step 8 - The Iowa Application For Reservation of Name is a PDF document which may be filled out on the screen or printed then filled out. You may download this document to your machine by clicking here: Iowa Application For Reservation of Name. Once you have opened the file with your PDF program, or printed it, begin by indicating the type of corporation you are reserving the Name for by selecting either the first box, “Iowa Business Corproation Act,” or the second box “Revised Iowa Nonprofit Corporation Act.”

Step 9 - In Item 1, enter the Full Name you wish to reserve. This should include a corporate designator such as Corporation, Incorporated, Corp., Inc., Company, Co., Limited, or Ltd. o the blank space provided.

Step 10 - In Item 2, enter the Full Name and the Full Address of the individual applying for this Name. The first blank line is reserved for the Applicant Name, the second line is for the Applicant Street Address, and the third line is for the Applicant’s City, State, and Zip Code. Below this, will be the Applicant Signature Line. The applicant must Sign his/her Name then Print the Name and Title he or she holds. On the last line, enter the Date of the Signature.

Step 11 - You may send this application to Secretary of State, Business Services Division, Lucas Building, 1st Floor, Des Moines, Iowa 50319 with a check for $10.00. The check must be made payable to Secretary of State.

Step 12 - You will need to make sure that every preliminary procedures with all governing entities are completed. While this may differ from entity type to entity type, one of the procedures uniform to all forming corporations is the attainment of a Registered Agent. Each corporation operating in the State of Iowa must obtain a Registered Agent who has consented to receiving any court paperwork aimed at the forming entity on behalf of that entity.

Step 13 - Once you have confirmed that all preliminary steps have been successfully completed you may draw up and file your Iowa Articles of Incorporation with the Iowa Secretary of State. Filing Fees may be paid with a check made payable to Secretary of State.
