How to File

Step 1 - The first step in forming a corporation is to determine the purpose of forming the entity and the type of corporation that must be created to keep it’s behavior in compliance with Idaho State Law.

Step 2 - Name your corporation. Regardless of the type of corporation being created, it must have a unique name that is not misleading to the general public. You must make sure to include the appropriate suffixes as well. For instance, the State of Idaho requires the words Corporation, Corp., Incorporated, or Inc. be included in a profit corporation’s name.

Step 3 - Since the name must be unique in this state, many would consider it wise to consult the Idaho Secretary of State’s Business Search Tool maintained by the Idaho Secretary of State’s website. Searching for the name you wish to name your business will let you know the likelihood of it being approved as a legal name. Go to https://www.accessidaho.org/public/sos/corp/search.html to begin your search.

Step 4 - The Business Search Screen will have several fields where you may enter the criteria to search for a business. You may use any of the fields however for our purposes, focus the search on either “Business Entity Name” or “Business Entity City.” Keep in mind that using fewer words in the Name field or searching by city will yield more results. When you have decided upon your criteria and entered it in the appropriate text box, select the button labeled “Search,” located just after the online search form.

Step 5 - The Search Results table will yield several initial pieces of information for each matching entry (Name, Filing Number, Filing Date, Address, Name Type, and Status). Make sure none of the names in this table are the one’s you chose for your company or very close to the one you chose for your company. If you wish to see more details regarding one of these entities, you may select the Name of the company. This will lead to the profile screen.

Step 6 - The profile screen for the selected business, will yield the Name, Address, Type of Business, Status, State of Origin, Date of Organization/Authorization, File Number, and Filing Date. You may view the original documentation by selecting “View Image(PDF Format)” on the last line.

Step 7 - In some cases, you may wish to reserve the entity name while you set up your paperwork. You reserve an entity name for 120 days with the Application for Reservation of Legal Entity Name. Download this application here: Idaho Application for Reservation of Legal Entity Name.

Step 8 - On the first line, enter the Full Name of the Corporation (including the required designation of entity type such as Corporation, Corp., Incorporated, or Inc. for Profit Corporations). Below this, next to the word “Dated,” enter the Date this application is being filed. Next, in the “Reserved by” section, enter Your Full Name and Address. You will need to Sign your name on the blank space labeled “Signature of Applicant,” Print your name name on the space labeled “Typed Name, and enter your “Capacity” on the final line (i.e. Incorporator).

Step 9 - On the page labeled “Instructions,” enter your Phone Number and Email Address in the first two spaces at the top of the page.

Step 10 - You must file the “Application for a Reserved Name” in duplicate with the Idaho Secretary of State. The application fee must be paid in full and may be done so with a check made out to “Idaho Secretary of State.” The filing fee for a typed application is $20.00. The filing fee for an application that is written out and not typed is $40.00. You may choose to expedite this process for an additional $20.00 processing fee. If you have a pre-paid account with the State then include a cover letter stating the details.

Step 11 - The next step is to gather the information that must be reported. This will be outlined by the Articles of Incorporation for the entity type you are forming. You must also pay any applicable fees, such as the filing fee, in full when filing these documents with the State of Idaho. The filing fees for filing or registering a corporation range from $30.00 to $120.00 and are payable with a check made out to “Secretary of State.” The articles must be submitted in duplicate by mail to Office of the Secretary of State, 450 N. 4th Street, P.O.
