Idaho Articles of Incorporation (General Business)

The Idaho Articles of Incorporation (General Business) must be filed with the Idaho Secretary of State when an entity wishes to operate as a domestic for profit corporation. This must be submitted by mail and in duplicate prior to conducting business in this state as such. The information on this form fullfills the minimum requirements that must be reported. You may attach additional provisions and/or required documentation as necessary. When submitting the articles and required paperwork, full payment for all fees and applicable services must be submitted as well. The required filing fee, if this form is typed, is $100.00. However, if this form is filled out by hand, the filing fee is $120.00. If you wish to have this filing expedited, you must submit an additional $20.00. There will be two options for payment. If you have a pre-paid customer account, then include a cover letter with the required information. If you are paying by check (or money order), make it payable to “Secretary of State.”

Step 2 – If this corporation will operate as a public benefit corporation, place a check mark in the box next to the statement “This general business corporation is a benefit corporation” at the top of the page.

Step 3 – Enter the Full Name of the corporation being formed on the blank line.

Step 4 – In Article 3, report the number of authorized shares this corporation may issue on the space provided.

Step 5 – Report the Full Name and Address of the Registered Agent of this corporation on the blank space in Article 3. This must be a Physical Address in the State of Idaho.

Step 6 – Enter the Full Name and Mailing Address of the Incorporator forming this corporation on the blank line provided in Article 4.

Step 7 – Article 5 requires the Mailing Address of the corporation being formed documented on the blank line provided.

Step 8 –The section labeled “Optional Articles” must contain a list of all the documents attached to these articles.

Step 9 – At the bottom of this form, at least one Incorporator must Print and Sign his/her name in the spaces provided.

Step 10 –  On the next page (“Instructions”) there will be two blank spaces labeled “Phone Number” and “Email Address.” Here, you must provide a reliable Phone Number and E-Mail Address where the Secretary of State may contact you regarding these articles.

Step 11 – Once you have organized your documents and have successfully verified the information provided, take the two completed original Idaho Articles of Incorporation (General Business), all supporting/required paperwork, and full payment for all fees then mail it to:

Payment may be submitted by check or money order made payable to “Secretary of State” or you may pay with a prepaid account (if you have one) so long as you submit a cover letter bearing the payment information. Payment must be submitted with the articles. The filing fee is $100.00 and is mandatory (if the articles are filled out by hand rather than typed, the filing fee is $120.00). You may choose to pay an additional $20.00 should you decide to expedite the processing time.
