The Illinois Articles of Incorporation must be submitted to the Illinois Secretary of State. Here, an Incorporator must gain approval from this governing entity to form a corporation in compliance with Illinois State Law. Some cases may require additional paperwork and any such documentation must be attached to the articles themselves. There will also be a required payment in the form of a Filing Fee and the Initial Franchise Tax. The Filing Fee is $150.00 while the minimum Franchise Tax is $25.00. How to File

Step 1 - You must determine the type of corporation being formed. That is, why you are forming a corporation. You may form a Profit Corporation, Close Corporation, Professional Corporation, Medical Corporation, or a Nonprofit Corporation. The entity type you choose should fulfill the purpose it is being formed while being compliant with all applicable regulations set by Illinois State Law and the Secretary of State.

Step 2 - Once the entity type has been decided upon, you must choose a unique name for the corporation being formed. There will be some name requirements that must be observed. For instance, every corporation in the State of Illinois must have the words Incorporated, Corporation, Company, or Limited or an abbreviation of such. The name must also not be misleading in any way. Since the name should be unique, it is wise to make sure no other entity bears the name you wish to use. You may do this by checking the Business Search Data base, by going to this web page: http://www.cyberdriveillinois.com/departments/business_services/corp.html.

Step 3 - Under the heading “Corporation/LLC Search,” read the synopsis paragraph detailing some things to keep in mind when utilizing this search. Then, select the button labeled “Search.”

Step 4 - The Search Page will have three sections. The first section, “Step 1,” requires you select a radio button next to “Corporate and LLC,” “Corporate,” or “LLC.” This will tell the search engine what types of entities you would like to search. The second section, “Step 2,” will allow you to what you are searching for. You may search through Names, Key Words, Partial Words, or File Number. Select the radio button next to the appropriate criteria. Next, in “Step 3,” enter the phrase you are searching for then select the button labeled “Submit.”

Step 5 - The Search Results page will yield the maximum amount of matching results for the criteria you entered. Each row will contain information regarding the Entity Type, File Number, and Corporation/LLC Name. Each name is selectable and will lead to a File Detail page. To see the File Detail page for a given entity, select the name.

Step 6 - The File Detail page will deliver the Entity Name, File Number, Status, Entity Type, Type of Corporation, Qualification Date (Foreign), State, Agent Name, Agent Change Date, Agent Street Address, Agent City, Agent Zip Code, President Name & Address, Secretary Name & Address, Duration Date, Annual Report Filing Date, and For Year. It should be noted this may only be considered an initial search in seeing if the Corporate Name you have chosen is available. The final process and decision will be made by the Department of Business Services, Corporations Division of Illinois.

Step 7 - If you wish, you may choose to reserve an available name for the corporation you are forming. First go to http://www.cyberdriveillinois.com/publications/business_services/dfc.html then locate the link labeled “Application for Reservation of Name” (Note: This is if you are a domestic corporation).

Step 8 - Some web browsers will support filling out this application. If not, you may use a PDF program (Download the Illinois Application for Reservation of Name here: Form BCA 4.10) or you may print this form and type it. You may also print by hand but must use black ink. You may reserve as many names as you wish for a period of ninety days. Each name will require a $25.00 filing fee. Payment may be made by checks or money orders made payable to “Secretary of State.” The first step will be to report all the Names you wish to reserve on the blank lines present in Item 1.

Step 9 - In Item 2, report the purpose of the corporation the name is being reserved for. That is, the objective of, goals of, or reasons for forming this entity.

Step 10 - Item 3, requires your Full Name to be entered.

Step 11 - Report your address in Item 4.

Step 12 - Enter the Date (Month, Day, Year) in Item 5.

Step 13 - You must Sign and Print your Name at the bottom of this form. This will conclude the sections required to reserve a Name for your corporation.

Step 14 - Mail the Application for Reservation of Name and full payment to Secretary of State, Department of Business Services, 501 S. Second St., Rm 350, Springfield, IL 62756.

Step 15 - Once you have determined the Entity Type and chosen a unique Name that complies to Illinois State standards, you must file the Articles of Incorporation appropriate for your entity type with the Secretary of State Department of Business Services Corporate Division. This must accompany payment of all applicable fees. The base filing fees range from $50.00 to $150.00 plus applicable fees. This will be calculated based on a variety of factors including the type of corporation being filed.
