The Articles of Incorporation Medical Corporation | Form BCA 2.10 (MCA) when an entity wishes to operate as a corporation where the shareholders, directors, and officers are licensed to practice medicine in the State of Illinois. Incorporators are strongly advised to seek legal consultation regarding the formation of this corporation to make sure everything is in compliance with Illinois State Law.

There may be a wealth of requirements that may have to be fulfilled with a variety of governing entities. Filing these articles will only satisfy the requirements set forth by the Secretary of State’s Department of Business Services. The articles should be submitted with full payment of the Initial Franchise Tax (a minimum of $25.00 must be paid for the Initial Franchise Tax) and the $150.00 filing fee for these articles.

Step 1 – In Article 1, you must document the Full Name you wish to name the corporation being created by these articles. Note: This must be a unique name that is not misleading and must contain the word Chartered, Limited, Service Corporation, or an accepted abbreviation of such.

Step 2 – Article 2 will document the Initial Registered Agent Name and the Initial Registered Office. The Registered Agent may not be the corporation being formed. Enter the First Name, Middle Name, and Last Name of the Registered Agent on the first blank line of this section.

Step 3 – On the third and fourth blank lines in Article 2, report the physical location in Illinois of the Registered Agent’s Office. This must be an address in Illinois the Registered Agent maintains.

Step 4 – Article 3 will bind the Incorporator and Corporation being formed to the Purpose stated. Make sure to read this statement carefully.

Step 5 – In Paragraph 1 of Article 4, report the Class, Number of Shares Authorized, Number of Shares Proposed to be Issued, Consideration to be Received Therefore, and the Cumulative Dollar Amount for the Consideration to be Received Therefore on the blank lines provided under the appropriate heading.

Step 6 – As per Paragraph 2 of Article 4, document each class’s preferences, qualification, limitations, restrictions and special rights on a separate sheet of paper and attached to these articles.

Step 7 – Article 5 is optional and is composed of two sections. If you choose to, you may report the number of Directors on the Initial Board of Directors on the blank space provided.

Step 8 – If you choose to fill in this section, you may report the Full Name and Address of each Director sitting on the Initial Board of Directors.

Step 9 – Article 6 is also optional. This will give you the opportunity to report the total value of the corporation’s property (estimated) in Article 6a. In section 6b, enter the estimated value of all property, owned by the corporation, in the State of Illinois. Section 6c will provide a space to report the estimated gross amount of transactions the corporation will conduct during its first year. Then in section 6d, enter the total gross amount of business that shall be conducted only in Illinois.

Step 10 – As per Article 7, you may attach additional provisions, continuations of information on this form, and any required documentation.

Step 11 – In Article 8, enter the Month, Day, and Year these articles are being signed on the blank line below the Acknolwledgement paragraph.

Step 12 – Below the Date lin in Article 8 is a signature section. Here, the Incorporators responsible for these aticles, and the forming of this corporation, must sign and print their names. Then each Incorporator must document his oe her Full Address.

Step 13 – Next, locate the section labeled “Note 2: Return to.” Here, enter the Firm Name, Attention line, and Mailing Address where these articles may be returned to.

Step 14 – You must now calculate the Initial Franchise Tax for your corporation. This is calculated as $1.50 per $1000.00 on paid in capital (in this state).

Step 15 – You may now organize the Illinois Articles of Incorporation, Supporting paper work and full payment of the calculated Intial Franchise Tax (you must pay a minimum of $25.00) plus the Filing Fee of $150.00 into a submittal package. Payment may be remitted as a check or money order made payable to the Secretary of State. This should be mailed to Secretary of State, Department of Business Services, 501 S. Second Street Rm. 350, Springfield, IL 62756.
