The Indiana Articles of Incorporation is one of the initial filings an Incorporator will need to submit to a governing entity before operating in the State of Indiana. The Secretary of State will accept all filings by mail and most online (however you will need an account with the Indiana Secretary of State which you will be able to start here: https://inbiz.in.gov/business-entity/start). You may mail the articles to Secretary of State, Business Services Division, 302 West Washington Street Rm. E018, Indianapolis, IN 46204 with any and all relevant paper work and full payment of all filing fees (Fees range from $30.00 to $90.00). This is payable by check or money order made out to "Secretary of State." Each corporate entity type will have its own requirements but the basic information that must be included in all of them is a unique Corporation Name that is in compliance with Indiana State Law, the Number and Classes of Shares, the Registered Agent's Identity and Location, and the Name and Address of the Incorporators. When submitting by mail, keep in mind that your set of articles may be required to be submitted in duplicate. Incorporators who are not familiar with the process of forming and maintaining the entity they wish to form are generally encouraged to consult with an attorney before submitting any paperwork.

How to File

Step 1 - You may form several types of corporations using the Indiana Articles of Incorporation Template. You form a For Profit Corporation, a Benefit Corporation, a Professional Corporation, or a Not For Profit Corporation. Decide upon the type of corporation you wish to form.

Step 2 - You must choose a unique name for the corporation being formed. Indiana requires that business entities adopt certain words in their names. In the case of a corporation you must utilize any of the following words in the official Name of the corporation being formed: Co., Company, Corp., Corporation, Inc., Incorporated, Limited, or Ltd. It is imperative to remain adherent to Indiana Law when naming the entity being formed. Since it is mandatory the name be unique and not misleading, it is generally a good idea to take advantage of the “Business Search” service the Indiana Secretary of State provides for free on its website: https://bsd.sos.in.gov/publicbusinesssearch. Go to this website to begin the name search.

Step 3 - For our purposes, we will do a Name search. Locate the field labeled “Business Name,” then select the radio button next to this heading. Enter the Name you have chosen for the corporation being formed in the text box provided. For the best results, use a partial name. This will give you more results since the name chosen may not be similar enough to another entity's as to mislead or confuse the public. Once you have entered this criteria, select the yellow “Search” button in the lower left hand corner of the page.

Step 4 - The results for your search will be displayed in a table. Each row of the table will contain an entity's Business ID, Business Name, Name Type, Entity Type, Principal Office Address, Registered Agent Name, and Status. Each entry in the Business ID column is a link which will lead to the Business Details page for that entity. Select this if you wish to view more information regarding this entity.

Step 5 - The Business Details page will display the Business Name, Entity Type, Creation Date, Principal Office Address, Domicile State, Business ID, Business Status, Inactive Date, Expiration Date, Business Entity Report Due Date, Registered Agent Type, Registered Agent's Name, and Registered Agent's Address. There will be four additional buttons for more information. By selecting the appropriate one, you may view the entity's Filing History, Name History, Assumed Name History, and Certified Copies Request.

Step 6 - Once you have a unique name, you may choose to reserve the Name for your corporation while you organize your information or you may simply begin the process of filing with the secretary of state. If you wish to Reserve a Name by Mail proceed to the next step. If you do not wish to reserve a name, proceed to Step 9.

Step 7 - You may reserve a Name for 120 days with a payment of $20.00 and submitting the Reservation of Business Name form. Download this here: Form 26233 (R8 / 6-14). This form must be typed or printed with ink. You may also choose to use a PDF program to fill it out on screen then print the completed version. The first box of this form will require the Proposed Name to be Reserved to be entered. Make sure to include the appropriate entity designation in the Name. Next, under the words “Name of applicant,” enter the Full Name of the Incorporator then, under the words “Address of applicant,” enter the Number, Street, City, State, and Zip Code of the address maintained by the Incorporator. The next line will have two boxes. In the first one, the Incorporator must sign his or her Name then print his/her Name in the second box of this line.

Step 8 - The original form, a copy of the original form, and a check/money order made payable to Secretary of State for $20.00 should be mailed to

Step 9 - You will need to file The Indiana Articles of Incorporation Domestic Corporation Form 4159 (R18 / 3-16) with the Secretary of State before you may conduct business in this state. You may also need other documentation from other governing entities either to file or after filing (depending on the nature of the corporation being formed). The filing fee for this submittal is $90.00. This is the minimum amount that may be paid to submit the articles of incorporation and should be in the form of a check or money order made out to “Secretary of State.” All applicable fees must be paid in full at the time of filing. You may also file online but must register with the Indiana Secretary of State. You may do so here: https://inbiz.in.gov/business-entity/start. This will allow you to pay with a credit card but may not suit all situations.
