How to File

Step 1 - If you have decided to form a corporation in the State of Kansas, you will be required to take several steps and answer to a few governing entities. The Kansas Articles of Incorporation will satisfy the initial requirements, set forth by the Kansas Secretary of State, when incorporating in this state. Before filing this you must define the type of entity being formed as there are several types of corporations ranging from domestic for profit corporate entities to foreign nonprofit corporate entities.

Step 2 - Once you have settled upon an entity type, you must also fulfill the Kansas Secretary of State requirements of giving your corporation a Name that is easily distinguishable in the record books kept. In addition, there must be a word of incorporation directly in the name. All unique names chosen must comply with e Kansas Statute Chapter 17 Article 60. You may take the precaution of checking to see if the forming corporation’s Name you have chosen is taken by another entity by utilizing the Kansas Secretary of State’s Business Search Tool. To use this tool go to this page: https://www.kansas.gov/businesscenter

Step 3 - On the right side of the Business Center’s web page, locate the text box beside the word “Search.” Then enter a generalized version of the name ou have decided upon. Hint: Using a partial name will yield more results. This is a good idea since, the Name of a corporation may not mislead the public into believing a relationship with a separate entity exists where none does.

Step 4 - The Name Availability Status page will indicate if the Name is currently being used to define another business. On the left side of the page the criteria you entered will be displayed followed either by the words “is available” or “is not available.” You may see a list of business entities whose names match your search criteria as well. If you wish to conduct another search you may do so directly from this page by utilizing the Business Search Tool on the right. If the name is available, you may reserve this name for 120 days while organizing your articles. This is optional if you wish to do this then proceed to the next step. If you do not need to or wish to reserve a corporate name then proceed to Step 11.

Step 5 - To reserve a specific Name for the corporation you wish to form, you must subit the Kansas Secretary of State Temporary Reservation of Business Entity Name. Download this form here: Form NR 52-01. You may fill out this form on-screen using a PDF program or you may print the form then type in the answers.

Step 6 - In item 1, enter the Full Name you wish to reserve for this corporation.

Step 7 - In item 2, report the Full Name of the Applicant wishing to reserve the Name.

Step 8 - In item 3, enter the Street Address of the Applicant in the first row. Then in the second row, enter the City, State, Zip Code, and Country of the Applicant.

Step 9 - The last section will be the Signature area. Locate the box labeled “Signature of Applicant” then, sign your Full Name. On the same row, enter the Month, Day, and Year this signature was made. Then, on the next row, Print your name, enter your Title, and report your Phone Number in the spaces provided.

Step 10 - Send the completed form with a check or money order for $35.00 (filing fee) payable to the Secretary of State to: Kansas Office of the Secretary of State, Memorial Hall 1st Floor, 120 S.W. 10th Avenue, Topeka KS 66612-1594

Step 11 - Once you have decided upon an entity type, unique Name (compliant with Kansas State Law), and have gathered all the information and required paperwork for the articles you are submitting. You may mail the submittal package with full payment of all filing fees (ranging from $20.00 to $115.00). You may file them online provided you have a login or you may mail them to Kansas Office of the Secretary of State, Memorial Hall 1st Floor, 120 S.W. 10th Avenue, Topeka KS 66612-1594.
