Kentucky Articles of Incorporation Professional Services Corporation | Form KPS

The Kentucky Articles of Incorporation Professional Services Corporation must be submitted to the Kentucky Secretary of State prior to operating as a professional corporation. This is the governing entity for the State of Kentucky that must approve new corporations being formed. A professional corporation may only be considered one if it is a personal service to the public. Examples of such are certified public accountants, public accountants, chiorpactors, osteopaths, phsyicians and surgeons, doctors of medicine, doctors of dentistry, podiatrists, chiropodists, architects, veterinarians, optometrists, and attorneys-at-law. It should be noted the professional service corporation is responsible for making sure they have met the separate requirements of any regulatory board for its chosen service. Furthermore, Incorporators should make sure to contact other interested authorities such as the Internal Revenue Service.

You may file by mail if you do not have such an account by sending the articles, one copy of the articles, and full payment of the $50.00 filing fee (payable by check or money order made out to Kentucky State Treasurer).

Step 1 – Download the Kentucky Articles of Incorporation Professional Service Corporation by clicking on “Download Form” above or by clicking here: Form KPS. This form may be filled out on screen then printed but you must have a PDF editing program. Otherwise you may either print this form and use a typewriter or a pen to fill it out.

Step 2 – In Article I, list the Full Name of the professional service corporation being formed by these articles.

Step 3 – In Article II, report the total Number of Shares the corporation has been authorized to issue. Note: All stock must be report, if the corporation being formed has different classes of stock, the Incorporator must draw up their own articles for submittal.

Step 4 – In Article III, report the Full Name of the Registered Agent on the first blank space.

Step 5 – In Article III, on the second blank space, report the Registered Agent’s Physical Street Address (Name, Street/PO Box Number, City, State, and Zip Code).

Step 6 – In Article III, on the third blank space, in this section, enter the Registered Agent’s City. The fourth blank space must have the Registered Agent’s State and this must be the State of Kentucky.

Step 7 – In Article III, on the last blank space provided, enter the Zip Code for the Resident Agent’s address.

Step 8 – In Article IV, enter the Street Address or P.O. Box Number used in the mailing address of the professional corporation’s Principal Office on the first blank space provided.

Step 9 – In Article IV, enter the City used in the mailing address of the professional corporation’s Principal Office on the second blank space provided.

Step 10 – In Article IV, enter the State used in the mailing address of the professional corporation’s Principal Office on the third blank space provided.

Step 11 – In Article IV, enter the Zip Code used in the mailing address of the professional corporation’s Principal Office on the last blank space provided.

Step 12 – In Article V, define the profession this corporation will be providing when conducting business. Be very specific.

Step 13 – In Article VI, enter the Full Name and Address (Street Address, City, State, Zip Code) of the original shareholders. There will be enough for three original shareholders to be listed.

Step 14 – In Article VII, report the Full Name and Address (Street Address, City, State, Zip Code) of the Incorporators of this entity.

Step 15 – Article VIII will bind this entity to having at least one of half of the directors and officers (excluding the secretary and treasurer) are fully qualified for the professional services of this corporation.

Step 16 -Article IX will give an opportunity to name a Delayed Effective Date of these articles in the first paragraph. That is, if you wish the articles to go into effect solidifying this entity as a professional corporation then enter this Date on the blank space provided (Labeled as “Delayed effective date and/or time).

Step 17 – Below the acknowledgement statement, in Article IX, the Incorporator must sign his/her Name on the first blank line.

Step 18 – On the second blank space provided on the Incorporator’s Signature line, the Incorporator must Print his/her Name.

Step 19 – On the third blank space provided on the Incorporator’s Signature line, the Incorporator must report his/her Title.

Step 20 – On the fourth blank space provided on the Incorporator’s Signature line, the Incorporator must provide the Date of his/her Signature.

Step 21 – Below the Incorporator Signature line is the Registered Agent confirmation section. Print the Name of the Registered Agent on the blank space preceding the words “consent to serve as.”

Step 22 – On the last line of this document, the Registered Agent must Sign his/her Name on the first space provided.

Step 23 – On the second blank space of the Registered Agent’s Signature line, the Registered Agent must Print his or her Full Name.

Step 24 – On the third blank space of the Registered Agent’s Signature line, the Registered Agent must provide his/her Title.

Step 25 – On the last blank space on the Registered Agent’s Signature line, the Registered Agent must provide the Date of his/her signature.

Step 26 – You must mail in both one original Kentucky Articles of Incorporation Professional Services Corporation | Form KPS, one exact copy, and payment for the $50.00 Filing Fee. Payment may be in the form of a check or money order made payable to “Kentucky State Treasurer.” Once these articles have been filed by the Kentucky Secretary of State, you will receive a postcard as confirmation for a complete process.
