How to File

Step 1 - The first step when deciding to form a corporation is to define the entity type. That is, what kind of corporation should be formed to achieve the goals set out for this entity . Depending on your needs you may choose to form a For-Profit Corporation, Non-Profit Corporation, or a Foreign Corporation.

Step 2 - Now you must name the corporation. In the State of Louisiana, all corporations must have a unique name and contain a word of incorporation within it (i.e. Corporation, Corp., Incorporated, Inc., Limited, or Ltd.). Bear in mind to use an appropriate word of incorporation and do not precede any of these words of incorporation with the word “and” or “&.”

Step 3 - You may check the availability of the Name you would like to use with a search tool maintained by the Louisiana Secretary of State. This tool searches the names of business entities recorded with the Louisiana Secretary of State thus, if there are no business entities matching the criteria of a name search, the chances of that name being unique (in this state) increase dramatically. Step 4 - In the first section of the Business Filings Search Page, you may enter the Name you wish to name your corporation in the first text box, labeled “Name.” Then click the “Search” button to see the results of your search. The more general you are the more results you will see. This may be helpful in developing a Name that is as unique as possible.

Step 5 - The Results Page will feature a table of all results matching your criteria. The table will have four columns: Name, Type, City, and Detail. If you wish to see more information on a given entity, select the button labeled “Details” in that entity's row. This will direct the browser to the Details Page.

Step 6 - The Details Page will deliver several sections on the chosen business entity: Name, Domicile Address, Mailing Address, Status (Status, Annual Report Status, File Date, Last Report Filed, Type), Registered Agent(s), Officers (Name, Title, Address), and Amendments on File. Once you have found a Name that is not controlled by another company, you may choose to reserve it for yourself or you may choose to file articles of incorporation appropriate for the entity being created. If you choose to reserve a name, proceed to Step 7. If not then proceed to Step 16.

Step 7 - Download the Louisiana Reservation of Corporate/Limited Liability Company/L3C/Partnership Name form here: Form SS398 (Note: this form is specifically used for domestic entities.) The first page will be the Transmittal Information page. This will require some definitions. On the first line choose whether you would like to have this request Routinely Processed (three to five business days) or Expedited (24 hour processing). Do this by checking either the box labeled “Routine” or the box labeled “Expedite.” If you do choose to expedite this process, you must be prepared to pay an additional $30.00 for the expediting service.

Step 8 - Also on the first row, indicate the method of payment you will be using to pay the filing fee and any additional services you wish. If you are paying by check or money order then place a mark in the box labeled “Check or Money Order Enclosed” (make checks/money orders payable to Secretary of State). If you are paying by Credit Card, then check the box labeled “Credit Card Number” and report the credit card number in the space provided. You must also provide the credit card expiration date below this number.

Step 9 - Report the Name of the entity filing this request on the line labeled “Business Name,” if applicable.

Step 10 - On the next line (labeled “Name of person filing document”), enter the Full Name of the Submitter of this request.

Step 11 - Enter the Building Number, Street Address, and Suite Number of the submitter of this request on the line labeled “Address.”

Step 12 - Enter the City, State, and Zip Code of the submitter of this request on the blank line labeled “City,” “State,” and “Zip Code.”

Step 13 - On the last line, enter the Submitter's Daytime Phone Number, Fax Number, and Email Address.

Step 14 - On the first line of the Louisiana Reservation of Corporate/Limited Liability Company/L3C/Partnership Name form , enter the Full Name you wish to reserve for the entity being formed. Then on the second blank line, enter the party this is being reserved for. Finally, enter your Name, Address, City/State/Zip code on the appropriately labeled blank spaces. The last line will require your Signature, and the Date of the Signature to be provided.

Step 15 - You must mail this application with full payment of the filing fee to Secretary of State, P.O. Box 94125, Baton Rouge, LA 70804-9125. This should be made payable to Secretary of State. If this is a for profit corportation, then the name will be reserved for 120 days for a fee of $25.00. If this is a nonprofit corporation then the name may be reserved for sixty days for a fee of $25.00 In the case of nonprofit corporations extensions may be granted for a show of good cause. Such extentions should be requested in writing. Bear in mind this is not an automatic reservation. The Secretary of State must approve the name in order for it to be reserved.

Step 16 - Once you have solidified the entity type you are forming along with the Name of this business, you must submit articles registering some very specific information. You may do so online through a portal site site (but will need to set up an account with them to do so) or you may file the articles by mail. To obtain information to file online, visit https://geauxbiz.sos.la.gov/. To file by mail you must download the appropriate article and send to Secretary of State, P.O. Box 94125, Baton Rouge, LA 70804-9125. All filings must be accompanied with a full payment of all fees due at the time of filing. The Filing Fees for the articles range from $75.00 – $175.00. If choosing to expedite, you must pay an additional $30.00 processing fee. Applicable taxes will also require payment. This will be based on the amount of stock the corporation has been authorized to issue.
