The Louisiana Application for Authority to Transact Business in Louisiana | Form SS326  is a required filing by the Louisiana Secretary of State imposed upon foreign corporations who intend to conduct business within the State of Louisiana. That is, this must be filled out and submitted when a corporation or business entity that has formed in another state wishes to operate as such in the State of Louisiana. There will be several pieces of information that will have to be reported to the Louisiana Secretary of State for the filing entity to achieve this goal. For instance, where is the corporation? What kind of corporation is it? Who are the Officer/Directors responsible for its actions? What State has jurisdiction over the formation and continuance of this entity? These are all questions which must be answered in the application being submitted. In some cases additional information or documentation may be necessary. For example, if the filing entity’s name contains any of the following words: Engineer, Engineering, Surveyor, or Surveying, the Louisiana Professional Engineering and Land Surveying Board must be contacted and have its requirements satisfied before submitting these articles. Filing entities will be left to their own devices in performing their due diligence in obtaining the exact process for their entity type.

This application must also be accompanied by some minimal paperwork and full payment of all applicable fees when it is being submitted. The Louisiana Secretary of State requires the foreign corporation to obtain and submit a Certificate of Good Standing or Certificate of Existence from its origin Secretary of State. This may not be a Certificate of Good Standing from the I.R.S. The minimum filing fee which must accompany this form is $125.00. This is payable by check, money order, or credit card. All checks and money orders must be made payable to the order of Secretary of State. The submittal package may be mailed to Secretary of State, P.O. Box 94125, Baton Rouge, LA 70804-9125, submitted online if you have a Geauxbiz account (for more information go to: https://geauxbiz.sos.la.gov, or it may be faxed to (225) 932-5314. It should be noted that when submitting online or by fax you may only pay with a credit card. Upon successfully filing these articles you will receive a Certificate of Incorporation as well as the submitted articles certified by the Louisiana Secretary of State. You will have thirty days from filing to submit an exact copy of the Certificate of Incorporation and State Certified Articles of Incorporation

Step 1 – You may obtain the application either by clicking this link: Form 326 or by selecting the “Download Form” link above. Once you download this application, you may enter the information directly using an appropriate PDF program or you may fill it out by hand or typewriter.

Step 2 – The first page, titled “Transmittal Information,” will require several pieces of information. The first will be the type of service you require when processing this application. You may place a check mark in the box labeled “Routine” if you the standard processing time is adequate for your needs. If you wish to expedite the processing to 24 hours, place a check mark in the box labeled “Expedite $30.00.” This will require an additional $30.00 payment. Next, you must indicate the method of payment by either checking the box labeled “Check or Money Order Enclosed” or the box labeled “Credit Card Number.” If paying with a check or money order, make sure the enclosed payment is payable to Secretary of State. If you are paying with a Credit Card, then enter the Credit Card Number and Expiration Date on the spaces provided.

Step 3 – On the blank line below the boxes, enter the Name of the Business filing this application.

Step 4 – On the second blank line report the Full Name of the individual submitting this application.

Step 5 – On the third and forth blank lines,  report the Street Address of the Submitter then the City, State, and Zip Code respectively.

Step 6 – Finally, enter the Daytime Phone Number, Fax Number, and Email Address of the submitter of this application. This will conclude the information required for the “Transmittal Information” form, you may now proceed to the application.

Step 7 – On the first line of the Louisiana Application For Authority To Transact Business in Louisiana, enter the State where the foreign corporation will be located (this should be Louisiana).

Step 8 – Report the Parish or County where this corporation will be located, on the line labeled “Parish/County Of.”

Step 9 – On the line labeled “Corporate Name,” enter the True Name of the corporation applying for the authority to conduct business in Louisiana. This must be entered exactly as it is documented on the Certificate of Existence (or Good Standing) issued by the filing entity’s Secretary of State.

Step 10 – If a Certificate of Change exists for this entity, then enter the Previous Name on the next blank line.

Step 11 – In Item 3, report the physical street address of the Principal Office in its original state of incorporation.

Step 12 – Report the filing entity’s Federal Tax Identification Number. (Note: Leaving this blank will not cause a rejection).

Step 13 – In Item 5, enter the Principal Business Office Address of this corporation on the space provided. If this is not applicable, this may be left blank.

Step 14 – Report the present or intended address this corporation shall operate from in the State of Louisiana. If there is no address indicated here, the address of the Registered Agent will be considered the address of the principal establishment address.

Step 15 – In Item 7, document the Full Address of the Registered Agent’s Office for this corporation in the State of Louisiana. This must be the Street Address where the corporation is physically located and may not be a P.O. Box.

Step 16 – In Item 8, report the Full Name and Address of the Registered Agent for this corporation. This must be an individual or corporation with the proper credentials to serve as the Registered Agent.

Step 17  – You must define the purpose of this corporation’s activities on the blank space in Item 9.

Step 18 – Document the Full Names and Address of the filing entity’s Officers and/or Directors on the blank space.

Step 19 – Next, one of the listed Officers must sign his/her Name then provide a Date for this Signature. This must be done in the presence of a Notary who will verify the Date, Signature Party, then provide his/her credentials and stamp

Step 20 – The next section is reserved for the Registered Agent to provide his/her Signature to this application in the presence of a Notary. The Notary Public is the only one who may complete this section other than the Signature Line. He/she will provide the appropriate information and notarization.

Step 21 – Once the Louisiana Application for Authority to Transact Business in Louisiana | Form SS326  has been completed and the Registered Agent Signature notarized, you may package it with any additional provisions or paperwork, a Certificate of Existence or Good Standing (issued by the origin state’s governing body in such matters), and payment of the $125.00 Filing Fee and submit it to the Louisiana Secretary of State.  The Filing Fee may be remitted with a major credit card (defined in the Transmittal Sheet) or a check/money order made out to “Secretary of State.”
