The Massachusetts Articles of Incorporation are a set of forms made available by the Massachusetts Secretary of the Commonwealth for Incorporators wishing to found various corporate entity. Commonly referred to as Articles of Organization each type of corporation will have its own form meant to report specifics regarding its formation and operation. These forms were designed to display the minimum amount of information thus, some entities may need to attach additional information. The Filing Fee which must be paid by the time of submittal ranges from $275.00 to $400.00 and will be affected by how many shares a corporation is authorized to issue. How to File

Step 1 - It is important to decide the type of corporation you wish to or may form. The Secretary of the Commonwealth of Massachusetts provides several options. Straight forward forms are provided for the organization of a For Profit Corporation, Not-For-Profit Corporation, Professional Corporation, Foreign Profit Corporation, or Foreign Non-Profit Corporation.

Step 2 - Now you must name the entity you wish to form. Some rules have to be followed regarding this in the Commonwealth of Massachusetts. First and Foremost, this must be a unique name for a business in this state. Secondly, it may not be misleading in any way. Finally, it must contain one of the words of incorporation or an acceptable abbreviation (Corporation, Incorporated, Limited). The last two rules are easy enough to follow however the first may be somewhat tricky. The Secretary of the Commonwealth of Massachusetts website contains a Corporate Database with a record of entities who have previously formed a corporation in Massachusetts. This provide a reasonable amount of assurance the name you have selected for your corporation is unique. To check if a Name has been taken by another entity, go to: http://corp.sec.state.ma.us/corpweb/CorpSearch/CorpSearch.aspx.

Step 3 - Locate the Radio Button labeled “Search by entity name” then select it. For our purposes, you may enter a full or partial name. You may also make use of the Search Type drop down button to further define the criteria you are entering. You may choose from Begins With, Exact Match, Full Text, or Soundex (sounds like). When you have entered the search criteria and how you would like the engine to use it, select the how many mathes you would like on the results page in the drop down labeled “Display number of items to view” (you may choose All, 25 items, 50 items or a 100 items per page). Finally click on the button labeled “Search Corporations”

Step 4 - The next page is the Business Entity Results Page. This will feature a printable table (select the button labeled “Print results in upper left) that will list all the results matching your search criteria. Each row will have the Entity Name, ID Number, Old ID Number, and Address. Each Entity Name is a selectable link which will lead to a Business Entity Summary Page for that entity.

Step 5 - The Corporations Division Business Entity Summary Page will deliver an entity’s ID Number, the exact name, entity type, Old ID Number, Date of Organization in Massachusetts, Date of Involuntary Dissolution, Last Date Certain, Current Fiscal Month/Day, Previous Fiscal Month/Day, Principal Office Address, Registered Agent Name and Address, Officer and Director Names and Addresses, Total Number of Shares, Class of Stock, Par Value, Total Authorized to Issue, Total Issued and Outstanding shares amongst other information. You may also choose to perform a new search by selecting the button labeled “New Search.” You may reserve a Name for your corporation if you wish. If so, proceed to the next section. Otherwise, you may proceed to step 6. Reserving a name is not mandatory to forming a corporation in the Commonwealth of Massachusetts as the articles of incorporation will reserve it while registering your corporation.

Step 6 - Next, you must file an Articles of Organization with the Secretary of the Commonwealth of Massachusetts. The cost of doing so will depend upon the type of entity you are forming and will range from $35.00 to $400.00. Additional fees may apply depending upon the nature of the corporation and the services you require (i.e. multiple filings, expediting etc.). You may file online, by fax, by mail, or in person. How To Reserve A Corporate Name

Step 1 - Download the form to reserve a Name by selecting this link: Massachusetts Application of Reservation of Name. You must type the required information into this form after printing it or you may enter it using a valid PDF program on screen then print it.

Step 2 - In Item 1, enter the Full Name of the Applicant, the entity wishing to reserve the Name, on the blank line.

Step 3 - Report the Address of the Applicant on the blank space provided. This should be a Full Address consisting of the Building Number, Street, Site Number, City, State, and Zip Code.

Step 4 - In the third item, document the corporate Name you wish to reserve for the corporation being formed. This should be the full name, including corporate suffixes, as it is meant to appear on the Articles of Organization you shall file.

Step 5 - The next section will deal specifically with the contact information for the applicant. On the first line, under the heading Applicant Contact Information, report the Telephone Number of the applicant filing these documents.

Step 6 - Next to the word Email, enter a reliable Email Address where the Applicant may be reached.

Step 7 - Finally, enter the Check Number on the check being used to pay for this application request. This application must be submitted by mail or in person and must be accompanied by a Full Payment of the $30.00. Payments should be made out to “Commonwealth of Massachusetts.” This may be sent by mail or physically delivered to: Commonwealth, One Ashburton Place, Room 1717, Boston, Massachusetts 02108-1512
