The Maryland Articles of Incorporation provides the format and structure necessary to present the Maryland Department of Assessments and Taxation with the information necessary to properly register the creation of a corporate entity in this state. This should be submitted simultaneously with any and all required paperwork. All filings must also be submitted with full payment of the filing fees. Such fees range from $100.00 to $120.00. Payments for extra services such as expedited services charges ($50.00) must also be paid if such services are requested. It should be noted that expedited service will receive same day service if they are in limited quantities, and delivered in person. To do this successfully, you must be waiting on any line present by 4:15 p.m. Note: Hand delivered documents may only be paid in cash, checks, or money orders.

How to File

Step 1 - Decide upon the type of entity you are forming. In Maryland you may file an article of incorporation for a Stock Corporation, Close Corporation, Religious Corporation, and Tax-exempt Nonstock Corporation. If you are a foreign entity, you will need to file a Foreign Corporation Qualification Form. The type of entity you decide upon will determine how it conducts its business, the taxes it is responsible for, and a host of other operational and financial factors.

Step 2 - Next you will need a unique Name for the corporation you are forming to operate under. A unique Name is necessary as it will help the public and governing entities identify the corporation. It is also mandatory, in the State of Maryland, that every corporate entity have a unique name. Another important consideration is to make sure to include a word of incorporation in this Name. Maryland requires that Corporation, Corp., Incorporated, Inc., Limited, or Ltd. be used as a suffix in the Name. You may not form a corporation if the Name does not have one of these suffixes in it.

Step 3 - It is considered a wise precaution to check on the availability of a Name before attempting to incorporate. While there are many ways to do this, there is a method to perform a Charter Record Search with the Maryland Department of Assessments and Taxation free of charge. While this is not an official confirmation the corporate name you have chosen is available, it is an excellent tool that gives a fair estimate of a Name's availability. Step 4 - The first step in this record search will be to select the search method you wish to employ. You may do this by using the dropdown menu in the filed labeled “Select the search method to proceed.” You may choose “Name” or “Department ID.” For our purposes select “Name.” This will trigger a text box labeled “Name” to appear. Enter the desired Name or a partial version of the Desired Name in this second box then select the button labeled “Continue.” This will direct the browser to the Charter Search Results Page

Step 5 - The Charter Search Results Page will display those Names matching the criteria you entered in a table. Each row will list the Dept. ID, Entity Name, Entity Details, and Status for an entity matching your search criteria. The links in Entity Details and Status will deliver more information. Select “General Info” to see more about a given entity. You may also choose to either perform a “New Search” or return to the “Previous Screen” by selecting the appropriate button located in the bottom right hand area (below the table).

Step 6 - The General Information page will deliver information regarding the Principal Office, Resident Agent, Status, Date of Formation or Registration, Stock/Nonstock status, and Close/Not Close Status. From here you may either perform a “New Search” or return to the “Previous Screen” by selecting the appropriate button in the bottom right hand corner of the page.

Step 5 - Once you have decided upon the type of entity you will form and the name it shall bear you may file the appropriate articles of incorporation. You may file an Article of Incorporation or Foreign Corporation Qualification depending on you needs. This may be done by mail, in person or online. You may pay by cash (in person), check (in person or by mail), money order (in person or by mail), or by credit card (online). All checks and money orders must be made out to Department of Assessments and Taxation and should be mailed to or dropped off at State Department of Assessments and Taxation, Charter Division, 301 W. Preston Street, 8th Floor, Baltimore, MD 21201-2395. The minimum filing fee is $120.00. Expedited service and/or having your documents returned will carry an additional payment which must also be submitted at the time of filing. The expected turnaround for filing is 8 weeks.
