Maine Articles of Incorporation Templates | ME Secretary of State

The Maine Articles of Incorporation is a template form delivering an organized method for Incorporators to satisfy a required submittal with the Maine Secretary of State. Incorporators, in this state, will need to deliver several pieces of information to this governing entity prior to forming a corporation. The Maine Secretary of State will require that an Incorporator register the Name and Addresses of the corporation being formed, the clerk/registered agent, and the incorporators themselves. In addition, incorporators will need to indicate if it will be managed by Directors or Shareholders, the Number of Directors, the Number of Shares the corporation is authorized to issue, provide the Total Number and Classes of the forming corporation's Shares, and the Purpose of forming this corporation. These are the very basic requirements for a very straightforward corporations, some other types of corporations may require additional information. Full payment must be received at the time of submittal and this may be paid by check/money order (made payable to "Secretary of State") or by credit card (you must complete and include a Credit Card Voucher) . Filing fees will range from $40.00 to $250.00. Incorporators will the option to expedite the processing time provided they pay the appropriate expediting fee. Expediting the filing procedure to 24 hours after receipt will cost an additional $50.00 while expediting the filing procedure so the articles are processed immediately upon receipt will be $100.00.

How to File

Step 1 - There are several different types of corporations one may form in the State of Maine. You must decide what entity type your corporation shall be.

Step 2 - You must name the corporation being formed a unique Name which the corporation may be known as in the Maine Secretary of State's records. The State of Maine will require the Name be unique and not misleading to the public. This state does not necessitate a word of incorporation (such as incorporated or corp.) but generally speaking, many consider it wise to include such a suffix in the Name. Professional Corporations however, will need to include one of the following words within the corporate Name: Chartered, Professional Corporation, Professional Association, Service Corporation, P.C., P.A., or S.C. In order to avoid any complications, you may wish to check the availability of the Name you wish your corporation to operate under. You may do this by going to: https://icrs.informe.org/nei-sos-icrs/ICRS, then selecting the link labeled “Corporate Search” under the heading “Corporate Name Search and Related Services.”

Step 3 - The next page will feature the Corporate Name Search tool. Locate the textbox labeled “Keyword from name to be searched” then enter the Name you wish to check on or a partial version of that Name. You will get fewer results, the more specific you are. Once you have input your criteria, select the button labeled “Click Here to Search.” This will direct the browser to a results page.

Step 4 - The Search Results page will display a list of up to a hundred business entities matching the Name criteria you entered. This will be in the form of a table with three columns which deliver the Name of the entity, the Type of Entity, and an option to view an Information Summary. If you wish to see more details on a particular business, select the link labeled “Information Summary” in that row.

Step 5 - The Information Summary Page will deliver a table displaying that entity's Legal Name, Charter Number, Filing Type, Status, Filing Date, Expiration Date, Jurisdiction, Other Names it operate under, The Type of Other Name used (if applicable), and the contact information for the Clerk/Registered Agent. If you wish to go back you may select the button labeled “Back to Previous Screen” or you may choose to search again by selecting the button labeled “New Search.” If you wish to reserve a specific name, please see the instructions following this.

Step 6 - The next step will be to select a Clerk/Registered Agent. This is the individual or corporation who qualifies to receive court generated documents that must be delivered to the corporation being created. This must be an individual or business that maintains a physical address in the State of Maine to receive such documents. If there is a change in the identity of the Clerk/Registered Agent after the corporation has formed, you must report this to the Secretary of States within 30 days of the change. A corporation in Maine must have a Clerk/Registered Agent at all times in its lifespan.

Step 7 - Once the Entity Type, Name, and Clerk/Registered Agent have been determined you must file the appropriate articles of incorporation with the Maine Secretary of State. A full payment of all fees must be submitted with the articles. This will range from $40.00 to $250.00 depending on the type of corporation being formed.

 

How To Reserve A Corporate Name

Step 1 - If you have decided to reserve a domestic business corporation Name while organizing the information and credential necessary to file an articles of incorporation, you must submit a completed Application for Reservation of a Name | Form MBCA-1 with full payment of the $20.00 application/filing fee. This may be paid with a check or money order paid to the order of “Secretary of State.” You may pay by credit card so long as you submit the Credit Card Voucher Form. You may download one or both of these documents and fill them out on screen with a PDF program or print them then supply the information requested by typewriter or by hand (Print). Step 2 - The first page of the Maine Application for Reservation of a Name is a form requiring information on the Name being reserved and who is reserving it. On line 1, enter the Full Name you wish to reserve for you entity.

Step 3 - On the line labeled “Name of Applicant,” enter the Full Name of the individual reserving this Name.

Step 4 - On the line labeled “Address of Applicant,” write in the Full Address of the party wishing to reserve this Name.

Step 5 - Next the under the word “Applicant,” the individual wishing to reserve this Name must provide the Date (of Signature) in the space labeled “Date.” Then, he/she must Sign and Print his/her Name. Once this application and its cover letter is submitted and approved, the Name will be reserved to this Signature Party. That is the applicant signing this application is the only one who may name a domestic corporation the Name being reserved. Proceed to the next step as this application must be accompanied by the attached “First Contact Cover Letter.”

Step 6 – In the first section, “Name of Entity,” report the Name of the business or individual filing the document this Cover Letter accompanies.

Step 7 – In the next section, “List type of filing(s) enclosed,” list each document filing attached to this application. Make sure to write out the title of each document exactly as it is titled.

Step 8 – The next section, “Special handling requests,” contains several boxes to define the processing of this application. If you wish to pick up the returned documents select the first box, labeled “Hold for pick up.” If not you may leave this blank.

Step 9 - Next you must define the any level of expediting process if you desire this. You may define this level by either placing a check mark in the box labeled “Expedited Filing – 24 hour service,” placing a check mark in the box labeled “Expedited Filing – Immediate Service,” or you may leave both blank. If you do choose either of the expedited filing services, you must include full payment with this application.

Step 10 - Below the “Special handling request” section will be a blank line labeled “Total filing fee(s) enclosed.” Here you must report the total of all filing fees plus services required. This will be the total payment due with this submittal.

Step 11 - The “Contact Information -questions regarding the above filing(s)” section shall required the identity of the Contact person who will correspond with the Maine Secretary of State regarding this paperwork. On the first blank space, enter the Name of the Contact Person. Then enter the Daytime Telephone Number and the Email Address of this individual on the appropriately labeled lines.

Step 12 - The final few lines are to provide an individual and location the Maine Secretary of State may return documents to. On the line labeled “Name of attested recipient,” enter the Full Name of the individual who should receive these documents. Then on the line labeled, “Firm or Company,” enter the Full Name of the Business Entity that shall receive these documents (if any). The next two line will require first the Mailing Address then the City, State, and Zip code where these documents may be mailed.

Step 13 – Organize your documents and payment method. You must pay the minimum application fee of $20.00 when mailing this application in. Send in the original Application for Reservation of Name and either a check , money order, or Credit Card Voucher (properly filled out then signed) for the filing fee plus all applicable charges to:
