The Maine Application For Authority To Carry On Activities Foreign Nonprofit Corporation | Form MNPCA-12 provides the framework in presenting required information to the Maine Secretary of State when a foreign entity wishes to operate as a nonprofit corporation in the State of Maine. The structure and information that must be filled out to complete this application is only the minimum information that must be submitted. It is worth noting that if the corporation wishes to do business in the State of Maine as a tax exempt nonprofit corporation then, additional information and language that is 501(c) compliant may have to be included. Filing entities are strongly encouraged to seek counsel with an appropriate professional such as an attorney or an accountant prior to filing this application. How To File

Step 3 – If the filing entity’s True Name is not available in the State of Maine, then it will need to register and operate under a Fictitious Name. If this is the case, write out the Fictitious Name the filing entity shall adopt in the State of Maine on the blank line provided. Then indicate if the Statement Of Intention To Do Business Under An Assumed Or Fictitious Name filing form will accompany these articles by placing an X in the box labeled “Form MNPCA-5.”

Step 4 – Report the State whose jurisdiction the filing entity is located in on the first blank space of the Second Article. Then on the second blank space, in the Second Article, report the Date of Incorporation in the filing entity’s origin state. That is, what day the articles that formed that entity were accepted making it a corporation in that State.

Step 5 – In the Third Article write out the exact purpose of the filing entity as it was recorded in the articles submitted to its home state.

Step 6 – In the Fourth Article, indicate if your application for authority will include all authorized nonprofit corporation activities allowed by the State of Maine or if the filing entity seeks the authority to participate in specific activities. If authority is sought the purpose to operate a nonprofit corporation to the fullest extent Maine Law will allow then place an X in the first box (labeled “Yes”). If there are only specific activities the filing entity wishes to pursue then place an X in the box labeled “No” and document those specific activities/goals on the blank lines provided,

Step 7 – The Principal or Registered Office Address of the filing entity must be reported in the Fifth Article on the blank lines provided. This should consist of the Building Number, Street, Site Number, City, State, and Zip Code of the Principal Office.

Step 8 – Every corporation in the State of Maine must appoint a Registered Agent (or Clerk) who has agreed to receive service of process documents issued by a court of law in case that corporation is sued. If the Registered Agent for the filing entity is a Commercial Registered Agent, then mark the first box, enter the CRA Public Number on the blank space to the write then write out the Full Name of the Commercial Registered Agent on the blank line provided. If the Registered Agent appointed by the filing entity is a Noncommercial Registered Agent, then place an X in the second box (labeled “Noncommercial Registered Agent”), report the Full Name of the Noncommercial Registered Agent in the space immediately below the words “Noncommercial Registered Agent.” Below this enter the physical Street Address of the Noncommercial Registered Agent on the next line. The last blank line of this section is reserved for the Mailing Address of the Noncommercial Registered Agent.

Step 9 – The Seventh Article shall verify the Signature Party of this application has the consent of the Registered Agent (commercial or noncommercial) to name him/her as the receiver of official documents geared to the filing entity.

Step 10 – An authorized party, preferably and Officer or Director of the filing entity, must provide the Date of this Application, his or her Signature, and a Printed version of his/her Name. This will conclude the information that must be entered onto this form. There will be a second page titled “Filer Contact Cover Letter.” This page will also require some information and should accompany the application when it is submitted to the Maine Secretary of State.

Step 11 – The first line of the Filer Cover Letter, report the Full Name of all the filing entities behind this application on the blank lines immediately following the words “Name of Entity (s).”

Step 12 – On the blank lines in the “List type of filing(s)” section, report each document being submitted as a filing or an application. Make sure to use the exact title and/or exact Form Number of that document.

Step 13 – The Maine Secretary of State will provide certain considerations in terms of processing this application. There are three available options. If you wish the Secretary of State to hold returned documents then place an X in the first box. If not, then leave this blank. Next you may choose one of two levels of expedited service, if you wish to though each must be paid for at the time of submitting this application. If you wish 24 hour expedited service place an X in the second box (this will require payment of a $50.00 processing fee). If not you may leave this blank. If you wish the application to be processed and take place immediately upon being received then place an X in the third box (this will require payment of a $100.00).  Below this, report the total amount of payments that will be submitted with this application. This should be a sum of all filing fees, service fees, and otherwise applicable fees.

Step 14 – The Contact Information must be filled out with reliable information so the Maine Secretary of State will have an individual to correspond with and send official documents to regarding this application. The Contact Person may be a separate individual then the Attested Recipient of mail or they may be the same individual. The first area of the Contact Information Section will require the Full Name of the Contact Person entered in the first blank space, the Daytime Telephone Number of the Contact Person listed in the second blank space, and the Email of the Contact Person entered on the third line.

Step 15 – Locate the paragraph beginning with the words “The enclosed filing(s) and fee(s)…” then enter the Attested Recipient’s Full Name on the first blank line below this paragraph. Next, enter the Firm or Company Name that employs the Attested Recipient (if applicable).  On the third and fourth lines below this paragraph enter the Mailing Address of the Attested Recipient. The Building Number, Street, and Site Number should go on the third line while the City, State, and Zip Code should go on the last line of this document.

Step 16 – Once you have entered and verified all the information required by the Maine Application For Authority To Carry On Activities Foreign Nonprofit Corporation | Form MNPCA-12 and the Filer Contact Cover Letter, you may organize these documents as well as any supporting paperwork into a submittal package and mail it to:
