The State of Missouri Articles of Incorporation must be submitted to the Missouri Secretary of State in order to fulfill state requirements when a corporation wishes to operate in this state. The general templates provided by the Missouri Secretary of State or the Online Form will only cover the broadest requirements of the law. How to File

Step 1 - The first step you must take will be to decide on the type of corporation you wish to form. There are several types of corporations including for profit corporations and nonprofit corporations that would be considered foreign or domestic. A domestic corporation is one which forms in the State of Missouri and wishes to operate in Missouri. This type of corporation must submit an Articles of Incorporation for its entity type. A foreign corporation is one which has formed outside the State of Missouri and wishes to operate as such within the state. This type of corporation must apply for a Certificate of Authority which, in a sense, will act as a Missouri Articles of Incorporation. In either of these broad definitions and in any entity type within a filing to register the entity with the Missouri Secretary of State will have to be made.

Step 2 - Next, you will need to give the corporation you wish to register a Name. Missouri, as do most states, will impose some rules to this in the interest of fairness. First, you may not operate your corporation under a Name that has already been claimed by another entity. Second, the Name you give the corporation may not be misleading. Finally, there must be a word of corporation to indicate the corporate status the entity holds (i.e. Corporation, Corp., Incorporated, Inc.).

Step 3 - While this step is not required it would be considered a necessary precaution before attempting to register a corporation with this State. The Missouri Secretary of State provides the ability to search its records for pre-existing entities. This means if you think of a Name for your corporate entity that cannot be found, there is a good chance it is available. Such a precaution may prevent complications when it is time to file. First go to the Missouri Online Business Filing Search for a Business Entity page, located here: https://bsd.sos.mo.gov/BusinessEntity/BESearch.aspx?SearchType=0 (Note: To File online you must have a login but will not need one to search the database.

Step 4 - For the purposes of this article, locate the drop down list at the top of the main area labeled “Search,” then choose “Name Availability”

Step 5 - Enter a partial version or the full Name you wish to use in the box labeled “Corporate Name Availability.”

Step 6 - Select the word “Search”

Step 7 - If there are no results, you may perform additional searches or you may settle on this Name. If there are any results they will be presented in a table with the following columns: Business Name, Charter No., Type, Status, Created, and Registered Agent Name. The Business Name and Charter No columns both contain links which will deliver a profile page for that entity. The Registered Agent Name will provide a profile page for the Registered Agent when it is selected. If there are partial matches and you wish to check specifics regarding those entities, select either the Business Name or the Charter No.

Step 8 - The Details page will display a “General Information,” “Filings,” “Address,” and “Contact” tabs. The General tab will display the Name, Type, Domesticity, Registered Agent, Charter No., Status, Date Formed, and the Duration of the entity you are viewing. It is worth mentioning that even if the corporation is no longer active or has a Termination Date in the near future, only the Missouri Secretary of State may grant approval for a Name. If you have settled on a unique Name and wish to Reserve it, you may do so for sixty days by submitting an “Application for Reservation of Name.” This is not a requirement but if you wish to pursue this route see the instructions below.

Step 9 - As mentioned in step 1, you should have settled on an entity type. Each entity type will have its own set of requirements which must be fulfilled. All corporations will need to obtain a valid address, point of contact, and a Registered Agent. Make sure you have gathered and organized all documents into a clearly understandable system.

Step 10 - Provided all preliminary requirements have been fulfilled, you will need to register the formation of your corporation with the Missouri Secretary of State. You may do so by mail or electronically but must make sure to pay the Filing Fee in full. The range will be between $25.00 – $155.00. Domestic for profit corporation fees must be calculated according to the total value of authorized stock. How To Reserve a Name

Step 1 - Obtain the State of Missouri “Application for Reservation of Name” by clicking on the “Download Form” link above.

Step 2 - On the line labeled, “Name to be reserved,” write out the Full Name you wish the corporate entity you are registering to operate under.

Step 3 - Next, locate the section labeled “Reserved by.” On the first line, the individual who is reserving this Name must provide a Signature, his/her Printed Name, Title, and a Date for the Signature. The second line in this section, will require the reservationist’s Full Address.

Step 4 - The end of this document will provide the opportunity to document the Full Name and Address where the Missouri Secretary of State may send the Filed Document regarding this matter.

Step 5 - This application must be accompanied with a check for $25.00. This is the Filing Fee and it must be made payable to Director of Revenue. Mail this package to Secretary of State, Corporations Division, P.O. Box 778/600 W. Main Street, Room 322, Jefferson City, MO 65102
