The Mississippi Articles of Incorporationis an online template form provided by the Mississippi Secretary of State so that Incorporators may easily satisfy the requirements set forth by this governing entity. This online form is replacing the old paper forms. Incorporators may still file by mail as well provided they mail it to the specific Mississippi Secretary of State Address for their filing, the articles are generated by the online system, and the Filing Fee is paid in full. The Filing Fee, typically between $50.00 and $500.00 will need to be paid whenever such a form is finalized by the system. If you decide to mail the system generated Mississippi Articles of Incorporation, you will have the option of paying this fee with a check made out to "Secretary of State." Otherwise, you may use a credit card during the generation process.

How to File

Step 1 - In order to form a corporation legally, you will need to first be able to classify the entity type. There are several types of corporations each falling into one of two main categories. The main categories are Domestic, Foreign, Profit, and Nonprofit. How you form this corporation and how it will operate will be effected by the type of entity being created.

Step 2 - Next You must give the corporation being formed a Name that is distinguishable or unique in the record books. In addition to this, you must designate the corporate status of this entity with a word of incorporation. For a corporation, you may wish to use the basic ones such as Corporation, Corp., Incorporated, or Inc. In an effort to improve the chances you have found a unique Name, for the forming corporation, it is generally recommended that Incorporators take the precaution of utilizing the Mississippi Secretary of States Business Search page located here: https://corp.sos.ms.gov/corp/portal/c/page/corpBusinessIdSearch/portal.aspx?#clear=1

Step 3 - Make sure the first tab, “Business Name,” is selected in the main area. Then, you may select the Search Criteria by selecting the appropriate radio button. You may search the database for the Name you chose using the criteria of “Starting with,” “All Words,” “Any Words,” “Sounds Like,” or “Exact Match.” Then in the text field labeled “Business Name,” enter the Name you have chosen for this corporation. When you are ready select the button labeled “Search.”

Step 4 - The Business Name Search Results page will display all business entity Names matching your search criteria in a table. Each row will have information in the Business Name, Business ID, Type, Status, and Create Date columns. You may filter by Type, Status, and Create Date. Each row will have a “Details” button. Select the “Details” button to view more information.

Step 5 - The Details page will be a popup window. This window will have the Name of the selected entity, Business Information (Type, ID, Effective Date, State of Incorporation, Principal Office Address), and the Names and Addresses of the Registered Agent, Officers, and Directors for this entity. Once you have found a unique Name for your corporation and have determined the entity type, you may reserve the Name while you file your documents. This is optional but, depending on the circumstances, can be quite useful. If you wish to do so, see the instructions below.

Step 6 - In most cases, the Mississippi Secretary of State will not be the only governing body interested in the formation of your corporation. Depending upon the type of entity being formed to operate in Mississippi, you may have to deal with entities ranging from Regulatory Boards to the I.R.S. All corporations will need to obtain a Registered Agent by the time formation takes place. The Registered Agent will be an individual or entity that has agreed to accept service of process on behalf of the forming entity, in the event it must appear in a court of law or is sued. The Registered Agent must maintain a Registered Office with a physical location in the State of Mississippi.

Step 7 - Once you have finalized the process necessary to form your corporation and file your Mississippi Articles of Incorporation, you must do so with the Mississippi Secretary of State with a log in account which you may get here: https://corp.sos.ms.gov/corp/portal/c/page/login/portal.aspx. You must fill out all forms and may submit them either by mail or online. You will be responsible for Full Payment for the Filing Fee (ranging from $50.00 – $500.00). For-profit corporation fees will vary depending upon how much stock they have been authorized to issue.

How To Reserve A Name

Step 1 - You must have a login with the Mississippi Secretary of State to Reserve a Name. Log in here: https://corp.sos.ms.gov/corp/portal/c/page/login/portal.aspx

Step 2 - In the second section on your homepage, “Name Reservation and Formation Filings,” select the third link labeled “Reserve a Business Name.”

Step 3 - On the first line, select the type of entity you are reserving a Name for from the “Business Type” field (for our purposes, select “Profit Corporation.” Then in the second field, labeled “Foreign or Domestic,” select whether you are a “Foreign” or “Domestic” entity (for our purposes, select “Domestic”).

Step 4 - The next field, “Name to Reserve,” enter the Name you wish to reserve for your corporation.

Step 5 - In the “Business Email” field, enter an up-to-date Email where you may be contacted regarding this application.

Step 6 - In the section labeled “Applicant,” indicate if you are reserving this Name as an Individual or an Organization using the drop down list in the first field. For our purposes, select “Individual.”

Step 7 - Enter the applicant's Full Name using the First Name, Middle Name, Last Name, and Suffix fields. Note: First and Last Name is mandatory.

Step 8 - On the next two lines enter the applicant's Full Address.

Step 9 - The Signature section will require you to enter the Title, Name, and Address of the submitter of this application. The first line will require the submitter's Title while the second will require the submitter's Full Name while the next two lines will require the submitter's Full Address. Once you have finished this select the button labeled “Next.”

ms reserve p1Step 10 - The next page will analyze your application. If there are no errors you will be allowed to proceed by selecting the “Next” button. Select the “Next” button to proceed or the “Back” button to adjust any errors.

ms reserve p2Step 11 - On this page, you may use the “Browse” button to locate any documents you wish to include with this application. When you are done, select “Next.” You are not required to upload any additional information.

ms reserve p3Step 12 - The next page will give you four options for submittal (each with a button): Submit Document Electronically and Pay Online, Print Document and Mail-In with Check, Email Form to Third Party for Review, or Exit and Save for Later. Select one of the first two to submit this document. If submitting electronically, you will be guided to a payment area where you may enter your credit card information to pay the $25.00 Filing Fee. If submitting by mail, you may print this form but it must include a check for this amount made out to “Secretary of State.”
