Montana Articles of Incorporation | MT Secretary of State

The Montana Articles of Incorporation were developed by the Montana Secretary of State so that entities wishing to form and register their corporations may do so relatively simply. These documents must be submitted with the appropriate Filing Fees (ranging from $20.00 to $70.00). Expediting is available for both 24 hour processing and 1 hour processing. This will have an additional cost if desired. 24 hour Expediting will cost an additional $100.00 while 1 hour Expediting will cost an additional 2o.00. How to File

Step 1 - There are many different corporation types. When you have decided to form a corporation, you must make sure to define the corporation type depending upon criteria set by the State of Montana. There are three main types: Domestic For Profit, Domestic Nonprofit, a Foreign Profit Corporation, and Foreign Nonprofit.

Step 2 - In the State of Montana, each corporation must have a name which is uniquely distinguishable in the record books of the Montana Secretary of State. Each corporation must also have a suffix which notes its business type. Thus, you must include one of the following suffixes: Corporation, Corp., Company, Co., Incrporoated, or Inc.

Step 3 - Since, each corporation must have a unique name (that is not misleading), submitting any paperwork to form a corporation without a unique name may cause a significant delay or rejection by the Montana Secretary of State. In an effort to increase the chances of a successful formation,If an it is generally considered a good idea to use the Montana Business Entity Search tool. Go to https://app.mt.gov/bes to search the Montana Secretary of State’s records for any entity bearing the name you have chosen for your corporation.

Step 4 - Locate the text box under the heading, “Enter Business Name Here.” Input the Name of your corporation in this field. Keep in mind you will get more results if you use a partial name. Then click the button labeled “Submit Query.”

Step 5 - This next page will deliver the results of registered entities matching your criteria in a table. Each row will contain an Entity’s Name, then the Entity Type, and the current Status of the Entity. If any entry interests you, each one is a selectable link. Keep in mind that, not only must a Name be unique is may also not be misleading to the public. Select a name to view the entity details.

Step 6 - The Business Entity Details page will deliver the Entity’s Name, ID Number, Type, Jurisdiction, Status, Status Reason, Status Dates and Additional Info (Terms, Shares, Purpose). The Registered Agent information will also be reported.

Step 7 - Once you have chosen a unique name with the appropriate suffixes, you may either choose to Reserve the Name for sixty days while you organize your information or you may submit your information to the Montana Secretary of State. If you wish to Reserve the Name for your use then take a moment to read the next section before proceeding to the next step. Otherwise proceed to Step 8.

Step 8 - You must submit your Montana Articles of Incorporation to the Montana Secretary of State. You must do this by mail to: Secretary of State, P.O. Box 202801, Helena, MT 59620-2801. This must be accompanied by all the paperwork the Minnesota Secretary of State, and other governing entities, will require for the entity type. Full payment for the Filing Fee of the Montana Articles of Incorporation being filed. These fees will range from $20.00 to $70.00 and must be paid with a check made out to Secretary of State. You will have the choice of expedite the filing process to one hour for an additional $100.00 or 24 hours for an additional $20.00

 

How To Reserve a Business Name

Step 1 - Download the Application for Reservation of Name by selecting the Download form above.

Step 2 - You will first need to define the entity you are reserving the chosen Name for. You may do this in the first check box by choosing either Assumed Business Name, Corporation, Limited Liability Partnership, Limited Partnership, or Limited Liability Company. For our purposes choose either Assumed Business Name (applicable to certain foreign corporations) or Corporation. You may only choose one.

Step 3 - Next, in Item 1, write out the Full Name you wish to reserve for your corporation.

Step 4 - If this is an Assumed Business Name reservation, then report the Date you intent to start doing business in Item 2. Otherwise you may proceed to the next item.

Step 5 - On the first line, in Item 3, enter the Full Name of the individual who wishes to reserve the Business Name this application focuses on.

Step 6 - On the second line, in Item 3, enter the Full Street Address (Building/Street/Suite Number) of the individual who wishes to reserve this Name.

Step 7 - On the third line, in Item 3, there will be three blank spaces where you must enter the City, State, and Zip Code of the individual who wishes to reserve this Name.

Step 8 - In Item 4 describe how the corporation who will bear this Name shall conduct business in the State of Montana. This may considered the purpose of the corporation.

Step 9 - In Item 5, the Applicant must Sign his or her Name on the first blank space on the first line. Then on the second blank space on this line, the applicant must provide the Date he/she has signed this document.

Step 10 - On the second line of Item 5, the Signature Party must Print his or her Name then report any Title he/she may carry (i.e. President, Secretary, etc.).

Step 11 - Item 6 shall require the Daytime Telephone Number of the Applicant on the first blank space. Then on the second blank space, report the Email of the Applicant.

Step 12 - You may mail this completed document to Linda McCullough, Secretary of State, P.O. Box 202801, Helena, MT 59620-2801. This must be accompanied with a check for $10.00 made out to “Secretary of State” as this is the Filing Fee. If the name is available this will be filed within 10 days. If not, you will need to resubmit the Name Reservation Application with a payment of $5.00. If you wish to expedite this process you must indicate by checking one of the Expediting Service Boxes on the right. Place a mark in the first Check Box and add $20.00 to the Filing Fee if you wish to expedite the service to 24 hours or you may place a mark in the second box and include a payment for an additional $100.00 should you wish to expedite the service to one hour. If you do not wish to expedite this service leave this area blank.
