How to File

Step 1 - You will need to decide upon the type of entity you wish to form in the State of North Dakota. Use the purpose of forming the corporation and how you wish this entity to operate to make this decision.

Step 2 - Next you will need choose a Name for your corporation that is unique in the State of North Dakota. That is, no other entity may have this Name. You will also need to make sure that you include a corporate designation in the Name of the corporation (such as Corporation, Corp., Incorpated, Inc., Company, Co., Limited, or Ltd.

Step 3 - Once you have settled on at least one Name for your corporation, it is recommended you take the precaution of searching the North Dakota Records Database for any entities that may have taken this Name. To utilize this tool, click on the following link: http://sos.nd.gov/business/business-services/business-records-search. Read the synopsis paragraph then under the heading “Links,” click on the words “Records Search.” This will direct your browser to the Records Search Tool maintained by the Secretary of State for North Dakota’s website.

Step 4 - The Business Records Search page will have several options to search maintained by the North Dakota Secretary of State. For our purposes, locate the box labeled “Entity Name,” then enter the Name or Partial Name you wish the corporation you are forming to be known by.

Step 5 - In the box labeled “Search Criteria,” select how you wish to search these records. You may search by all the words, at least one of the words, the first words, or a partial match with one or more words of the Name you are search for. Once you have decided upon this, select the “Search” Button. This will direct the page to a Results page.

Step 6 - The Results page will deliver several pieces of information. The System ID number for an entity, the Name of the Entity, the Type and Status of an entity, and an available Report to file. This will be displayed in the form of a table organized by System ID number. You may choose to either reserve the Name for twelve months (see instructions below) or report the Name for your corporation when registering with the North Dakota Department of the Secretary of State.

Step 7 - Obtain a Registered Agent. This is a mandatory step since, every corporation must have obtained one that maintains a physical location in the State of North Dakota in order to form a corporation. The Registered Agent is the party who has accepted the responsibility of reliably receiving court documents addressed to the forming corporation on behalf of the forming corporation. Corprorations must maintain a Registered Agent for the entirety of their lifespans in this state.

Step 8 - Make sure you have properly contacted every governing agency or board that must be satisfied before filing these articles. In some cases, such as if you plan on applying for Tax-Exempt Status, certain information must be present at the time of forming your corporation in the eyes of the North Dakota Secretary of State.

Step 9 - Next you must locate the Articles of Incorporation that must be filed with the North Dakota Secretary of State. These must be filled out and filed with this entity for approval. A domestic corporation may not operate as such unless it has obtained a Certificate of Incorporation and a foreign corporation may may not transact business unless it has obtained a Certificate of Authority. Both of these certificates may only be obtained by satisfying the filing process set forth by the North Dakota Secretary of State. These filings will carry a Filing Fee (ranging from $40.00 to $145.00) which must be paid for at the time of submittal with a check made out to Secretary of State or with a major credit card.

Step 1 - Click on the link above to save the North Dakota Reserve Name Appliction. This is a PDF file which may be altered with a PDF program or printed then filled out.

Step 2 - Item 1 will name $10.00 to be the Filing Fee. You must pay this if you wish this application to be considered.

Step 3 -In Item 2, indicate the type of corporation this Name is being reserved for. Fo our purposes select one of the boxes under the heading corporation (General Business, Farm, Nonprofit, Professional). Only select a box in the left column if the corporation is being formed in North Dakota. If the corporation has been formed in another state, then only choose a box in the right column.

Step 4 - In Item 3, write in the “Name to be Reserved.” That is the Name you wish to use for your corporaiton.

Step 5 – In Item 4, write in the Name of the individual who shall own the rights to the Name being reserved. Next to this, in Item 5, enter the Phone Number of the individual who shall hold the rights to this Name.

Step 6 - In Item 6, enter the Full Address of the individual who will own the rights to this Name as a result of this application.

Step 7 - Item 7 contains a binding statement. Read this carefully.

Step 8 - Item 8 requires a Signature which shall bind the Signature Party to the binding Statement.

Step 9 - Next to the Signature, enter the Date of the Signature.

Step 10 - On the last line of this application there will be three boxes. Enter the Name of a Contact person the Secretary of State may correspond with regarding this application in the first box. In the second box, enter the Contact Person’s Email Address. Then in the third Box enter the Daytime Telephone Number of the Contact person.

Step 11 - You must arrange for a payment of the $10.00 Filing Fee. If you are mailing this application payment, you may use a check, money order or credit card. If using a check or money order, make it payable to Secretary of State. If paying by credit card, scroll down to the bottom of the last page of this document to the Credit Card Authorization section. The Secretary of State will accept Discover, MasterCard, and Visa. The Credit Card Authorization section will require the Credit Card Holder’s Name, Phone Number, Address, Type of Card, Account Number, Signature, and Date of Signature to be entered. You may only pay by credit card if you are faxing this application in.
