How to File

Step 1 - The first thing you must do when forming a corporation in the State of Nebraska is to decided upon the type of corporation you wish to form. Typically the main designations will discern between a Domestic Profit and Domestic Nonprofit. Foreign entities who have already formed a corporation in another state will not need to form a corporation in this state however they will need to apply for the right to conduct business in Nebraska as a corporate entity.

Step 2 - Once you have decided upon an entity type, you will need to Name the corporation you are being formed. Any name you choose will need to follow certain rules for corporate names. For instance, every corporate entity in this state will need to include a word of incorporation within its name. There are several to choose from: Company, Corporation, Incorporated, Limited, or a generally acceptable abbreviation of any of these.

Step 3 - One of the name requirements in this state is that a corporate name be distinguishable from other corporate names. That is it must be a unique. Attempting to form a corporation without satisfying this requirement will very likely delay the filing process or even cause a denial. The Secretary of State of Nebraska does provide a tool to search for previously formed or established corporate names that would be considered taken and unavailable. While doing such a search does not fully guarantee the availability of Corporate Name it will go a long way towards selecting a Name that may be approved for use. Step 4 - Locate the heading “Select Search Options.” There will be several radio buttons to choose the type of search you would like to conduct. Use the mouse button to select one of the following choices: Name Starts With, Name Keyword Search, Name Sounds Like, Name Exact Match, or Account Number. For our purposes, it is recommended to select one of the first three. Once you choose one, a new area will open at the bottom. You must enter what you wish to search for in the text box that appears near the bottom (labeled “Name”), click the “I'm not a robot” box, then select the button labeled “Perform Search.” This will direct the search engine to display all matching results.

Step 5 - The Search Results will be displayed in a table. Each row will contain an Entity Name, Secretary of State Account Number, Entity Type, Status, and a Details Button. If you wish to see additional information for a particular entity, then select the button labeled “Details.” This will direct the browser to a page listing additional information for the chosen entity.

Step 6 - The Entity Details page will display the Entity Name, SOS Account Number, Status, Principal Office Address, Registered Agent and Registered Office Address, Nature of the Business, Entity Type, Date Filed, and Filed Documents (displayed in a table). You may perform such searches as many times as you like, free of charge, however keep in mind that you must choose a unique name.

Step 7 - In some cases you may wish to reserve a particular name for you corporation. This is especially true if you are waiting for paperwork that must be submitted to the Nebraska Secretary of State but do not wish to take a chance on loosing a unique name that is particularly desired. If this is the case, take a moment to read the section below. If not then proceed to Step 8.

Step 8 - Once you have successfully contacted all the necessary entities (such as the IRS) and have gathered your information, you may choose the appropriate Nebraska Articles of Incorporation to fill out then file with the Nebraska Secretary of State. You may submit these articles either online, by mail, or in person. In some cases, you may choose to mail the appropriate form however for most articles you will have to submit your information electronically via the Nebraska Secretary of State website (http://www.sos.ne.gov). Keep in mind you must submit your payment in full when you file your documents with this entity. The Filing Fee amount will depend upon such factors as the type of entity being formed, how many pages will accompany your submittal, and how much stock may have been authorized to be issued. Step 2 - On the line next to the words “Name to Be Reserved” enter the desired Name you wish to hold for the corporation you wish to form.

Step 3 - Report the Date you are signing this document on the blank line labeled “Date.” Beside this, you must Sign your Name then Print your Name below this. Finally starting with the line labeled “Street Address,” enter the Building Number, Street, and Suite Number in your Mailing Address. On the final line, enter the City, State, and Zip Code of your mailing address.

Step 4 – You may mail Application for Reservation of Corporate to: John A. Gale, Secretary of State, Room 1301 State Capitol, P.O. Box 94608, Lincoln, NE 68509 with the Filing Fee 0f $30.00. If it is accepted the name you wish reserved will be reserved for 120 days.
