How to File

Step 1 - Determine the type of corporate structure your corporation will have. This will have a dramatic impact on everything from the requirements that must be fulfilled when forming a New Hampshire Corporation to how the forming corporation will conduct its affairs.

Step 2 - Name the corporation being formed. New Hampshire will have several requirements. First and foremost, this corporation must have an easily distinguishable name in the New Hampshire Secretary of State's records. The name may not mislead the public as to who they are dealing with or what the services/products provided are, and must contain a word of incorporation. A word of incorporation is one which notes the corporate status the entity has. In New Hampshire you may use: Corporation, Corp., Incorporated, Inc., Limited, or Ltd.

Step 3 - Generally it is a good idea to make sure the Name you have chosen for the corporation being formed will be accepted. With so many entities in operation, this may seem like a daunting task however, performing a Name search in the New Hampshire Secretary of State Corporate Division provides a good remedy for this precaution. To do this go here: https://www.sos.nh.gov/corporate/soskb/csearch.asp

Step 4 - In the bolded paragraph, locate the text box next to the “Search” button, under the words “Search for an Entity.” Here, you will have several search options which are noted with radio buttons just above this text box. For our purposes, it would be wise to select either “Starting With” or “Sounds Like.” Then, in the text box, enter the Name you wish to use for your corporation and select the “Search” button.

NH Search 1Step 5 - The table delivered will contain the Entity Name, Business ID, Type, Entity Status, and Creation Date for each entity matching the criteria you have entered. Each Name will be a link that will give you a details page. If you have multiple names you may click on any one of them. If there are no results then there is a fairly good chance that so long as it is a lawful name it may be used. Note: Only the New Hampshire Secretary of State Corporation Division may approve a corporate Name.

NH Search 2Step 6 - The next page will provide details such as the Date, the Name of the Entity, the Name Type, the Business ID, Status, Entity Creation Date, Dissolve Date, Principal Office Address, Principal Mailing Address, Last Annual Report Filed Date (by the entity), Last Annual Report Filed (by the entity), the Registered Agent Name, Registered Office Address, and Registered Office Mailing Address. If you wish to reserve a Name while you obtain various documents from all interested governing bodies, you may do so for 120 days. Please see the instructions below.

Step 7 - Once you have decided upon the corporation's Type, Name, and have gathered all documents required by the New Hampshire Secretary of State Corporation Division for your corporation type, you may file the Articles of Incorporation with this entity. This must be accompanied by Full Payment of all applicable fees which range from$25.00 to $100.00 (payable with a check made out to “State of New Hampshire.” This package must be filed by mail by sending to: Corporation Division of State, 107 N. Main Street, Room 204, Concord, NH 03301-4989.

How To Reserve a Name

Step 1 - Download the New Hampshire Application for Reservation of Name for Corporation, Limited Liability Company, Limited Liability Partnership, Limited Partnership or New Hampshire Investment Trust Form. You may fill this out using a PDF application or you may print it then fill it out. If filling this form out by hand remember to Print and use Black Ink.

Step 2 - Locate Item 1, then write out the Full Name you wish to reserve for your corporation.

Step 3 - You must define what corporate type and what laws this corporation will follow in terms of Naming then forming the corporation. For our purposes, select the first box “RSA 293-1:4.02 – Corporation under RSA 293-A:4.01.”

Step 4 -Next, in Item 3, report the Nature of the business you are forming. That is, what type of corporation will the be and what is its purpose.

Step 5 - Under the heading “Applicant Information,” Print your Full Name on the first line. Then, on the second line, write out your Full Address (Building Number, Street, Suite Number, City, State, and Zip Code). Below this, on the left, Sign your name then report your Title on the right. Print your name below your Signature then, write in your Email Address below the Title line. Finally, on the last line, report the Date you signed this document on the first blank space and provide your phone number on the second blank space.

Step 6 - You must mail this document with full payment of the Filing Fee for a corporate name reservation (it is $30.00 for NH Investment Trusts). This is should be paid with a check made payable to “State of New Hampshire.”
