New Mexico Articles of Incorporation | NM Corporation and Businesses Bureau

The New Mexico Articles of Incorporation must be received by the New Mexico Secretary of State by any entity wishing to operate as a corporation in this state. This is a required filing which must be mailed in to Secretary of State, 325 Gaspar Suite 300, Santa Fe, NM 87501. Each entity type will need to submit the appropriate articles of incorporation with its corresponding fee. Filing Fees are based on the total number of Authorized Shares available to the filing entity however nonprofit corporations without stock will need to pay $25.00. These fees are payable by check or money order payable to "Secretary of State."

How to File

Step 1 - Decide upon the entity type of your corporation. There different types of corporate structures and purposes. For instance, a professional corporation will be composed primarily of licensed professionals delivering a specialized service whereas a standard profit corporation will not have such constraints. This is a crucial step as it will have an effect on everything from the formation of your corporation to its operation.

Step 2 - Name the corporation you are forming. New Mexico will have some regulations on what and how to name your corporation. That is, a corporation must have a distinguishable Name on record and must have a word of incorporation in its Name (i.e. Corporation, Incorporated, Corp., Inc.).

Step 3 - Oftentimes, it is a good idea to research if the Name you wish the corporation you are forming is unique or distinguishable. You may do this utilizing a Business Search Tool provided by the Corporations and Business Service Bureau. This is a branch of the New Mexico Secretary of State Office. When you have decided upon a Name go to: https://portal.sos.state.nm.us/BFS/online/CorporationBusinessSearch to begin a search

Step 4 - Here, you will see several radio buttons and text boxes. For the purposes of looking up corporate Name, make sure the first Radio Button on the left hand side is selected (it is on the same row as “Entity Name.” Just above the text box next to the words “Entity Name,” select either the radio button labeled “Starts With” or the radio button labeled “Contains.” In the text box next to “Entity Name,” enter the Full or Partial Name you wish to give the corporation being formed. Then, select the button labeled “Search.”

Step 5 - If there are no entities with a matching Name a pop up window will appear stating there is no data. Any results matching your search criteria will produce a table displaying the Entity Name or DBA Name, Business ID, Entity Type, State of Incorporation, Status, and Date of Expiration. The bottom of this table will list the number of results matching your criteria. From here you may choose to either select the “Back” button at the bottom of the page or you may select one of the Entity Names to view more information. Select an entity to view its information.

Step 6 - The Profile page will have several pieces of information that may be useful. Entity Details, Entity Type and State of Domicile, Formation Dates, Reporting Information, Period of Existence and Purpose and Character of Affairs, Outstanding Items, Contact Information, Registered Agent Information, Director Information, Officer Information, Incorporator Information, Trustee Information, Filing History, and License History. You may view the the Status and the Standing of this entity in the Entity Details section at the top. Keep in mind that even if if the entity is dissolved , this does not guarantee the Name is available. You would want to contact the Corporations and Business Services Bureau directly before attempting to reserve the name or set up your corporation. If you wish to reserve an available Name, see the instructions below.

Step 7 - Obtain a Registered Agent. Every corporate entity, regardless of type, must have a Registered Agent in this state. This is an individual or organization that will act as a reliable recipient of service of process in the event this entity is sued.

Step 8 - Once you have satisfied any requirements that must be fulfilled before setting up your corporation and followed these preliminary steps you may file your Articles of Incorporation with the Corporations and Business Services Bureau of the New Mexico Secretary of State. This filing will require full payment of the Filing Fee in the form of a check or money order. Checks received will be converted to an ACH debit transaction. Fees will depend on the type of corporation being formed (and in some cases the amount of authorized stock) and will range from $25.00 to $1,000.00. All checks must be made payable to New Mexico Secretary of State. The articles, supporting paperwork, and payment must be submitted by mail to Secretary of State, 325 Don Gaspar, Suite 300, Santa Fe, NM 87501.

How To Reserve a Name

Download Application

Step 1 - Click on the words “Download Application” above then select “save.” This will save the PDF application to your computer. You may reserve a Name (if available) for a period of 120 days.

Step 2 - Locate the blank space in the first paragraph following the word “(1).” If this Name will be for a Nonprofit corporation, write “53-8-7-1.” If this is a profit corporation, write “53-11-8.” Write in one of these choices exactly as they appear here.

Step 3 - On the two blank lines below the initial paragraph, write in the Full Name you wish to reserve for your corporate entity's use.

Step 4 - On the line labeled “Date,” enter the Date (mm/dd/yyy) you are filing this application.

Step 5 - On the blank line in Item 2, the applicant must Sign his or her Name. If this is a corporation then enter the Name of the corporation reserving the Name. (Note: this is not to be the Name you are reserving).

Step 6 - If the applicant is a corporation, then an authorized Officer must Sign his/her Name on the the line labeled as item 3 then report his/her title on the lines following the word “Its.” Below the title write in the Full Address of the corporate applicant.

Step 7 - You must submit a Payment in the form of a check. If this is a Profit Corporation the Fee will be $25.00. If this is Nonprofit Corporation the Fee will be $10.00. The check or money order must be payable to “Secretary of State.” You may then mail this application and payment to Secretary of State, Corporation Bureau, 325 Don Gaspar, Suite 300, Santa Fe, New Mexico 87501.
