How to File

Step 1 - Decide upon the type of corporation that should be formed. You will need to take in such factors as the Purpose for incorporating an entity and how the entity will function, in the State of New York, as a corporation. While there are many types of corporations the two major categories are profit corporations and nonprofit corporations.

Step 2 - If you have decided what type of corporation to form, then you must next give that corporation a Name to operate under. There are a few basic requirements to this. For instance, this must be a unique Name and it must contain a word of incorporating. Such regulations are in place to help the public and the New York Department of State Division of Corporations avoid confusion as to the Identity of the entity being formed.

Step 3 - It would be a good idea to take every measure in choosing a unique Name as an incorporating entity may be denied if the Name chosen does not comply with New York State Law. A good idea would be to search the New York Department of State Division of Corporations records utilizing a search tool maintained on this entity’s website. To access this page, go here: http://www.dos.ny.gov/corps/bus_entity_search.html.

Step 4 - Locate the text field labeled “1. Business Entity Name.” Enter the Name you wish to give the corporation. Then use the drop down list in “2. Status Type” to indicate if you would like to search only “Active” entities or “All” entities for the Name you are searching. In “3. Search Type,” indicate if you would like the search tool to look for entities whose Name “Begins With,” “Contains,” or is a “Partial” version of the Name you are searching for. When you have done this, select the “Search Database” button.

Step 5 - The next page will ask for this same information to be entered again. After you have entered this information, locate the field labeled “Captcha” and enter the characters present in the jpg next to this field. When you have done this select button labeled “Search Database.”

NY Name search p2Step 6 - The Search Results page will list all the entities that bear the same or a similar Name as the one you searched for in a simple table. Each entity listed in this table is a link which will lead to that entity’s Details page. If desired, select any one of these Names to view more details.

NY Name search p3Step 7 - The Entity Information page will give quite a few details regarding the entity you are viewing. You will be able to see the Selected Entity Name, the Current Entity Name, the DOS ID, the Initial DOS Filing Date, the County, the Jurisdiction, Entity Type, Current Entity Status, Entity Address, Registered Agent Address, the Stock Information of this entity, and the Name History of this entity. Note: Only the New York Department of State Division of Corporations may decide if a Name is available (regardless of status). When you have thought of a Name with no matching results, you may reserve the Name (see instructions below). This, however, is not mandatory.

NY Name search p4Step 8 - Next you will need to solidify a variety of aspects to your corporation and make sure that paperwork required by interested governing bodies and/or regulatory boards have been satisfied. Incorporators should take the initiative in understanding the finer points of this process and are encouraged to seek legal counsel with a New York attorney before attempting to incorporate.

Step 9 - When you have fulfilled all the requirements for incorporating an entity, including gaining any necessary permissions from governing bodies, you will need to officially form your corporation by registering it with the New York Department of State, Division of Corporations. This may be done online or by mail. If you are filing these documents by mail you will need to pay with a check, payable to “Department of State.” The fees will run from $75.00 to $225.00 depending on the entity type. You may mail the New York Certificate of Incorporation to Department of State, Division of Corporations, State Records and Uniform Commercial Code, One Commerce Plaza, 99 Washington Ave, Albany, NY 12231-0001. How To Reserve A Name

Step 1 - Obtain the New York Application for Reservation of Name by selecting the above link. This will be a PDF file which you may edit with either a PDF program or a browser that may enter a information on a PDF form. If you do not have a method of filling this out onscreen, you may print it, as is, then fill it out manually.

Step 2 - In the first box, labeled “Applicant’s Name and Address,” document the Full Name and Full Address of the entity who shall hold the rights to the Name being reserved.

Step 3 - In the box labeled, “Name To Be Reserved,” enter the entire Name you wish to reserve for the purpose of naming a corporation. As per the New York Business Corporation Law, this name must include a word of incorporation.

Step 4 - In the box labeled “Reservation Is Intended For,” check the box that best describes the entity you are reserving the Name for.

Step 5 - On the last line of this form, the Applicant, or an authorized representative of, must Sign his/her Name then Print his/her Name on the next space (labeled “Typed/printed name of signer”)
