How to File

Step 1 - There are several types of corporations an Incorporator may form in the State of Ohio. The corporation type will indicate the structure and general purpose of the corporation formed. For instance, a Domestic Professional For-Profit Corporation will operate quite differently from a Foreign Nonprofit Corporation as both will have different goals (to a certain extent). In fact, different corporations will need to meet different requirements when achieving their desired Certificate of Incorporation from the Ohio Secretary of State. Foreign corporations will need to attain a Certificate of Authority to be able to operate as a corporation in the State of Ohio. Decide upon the type of Corporation you would like to form.

Step 2 - You must also give your corporation a unique and distinguishable Name. It must refrain from being misleading in any way as to who the corporation is. That is, it should not mislead or direct the public as to its products or identity. Finally, it must contain a corporate designation for the sake such as Incorporation, Inc., Corporation, or Corp. Decide upon a Name for your corporation.

Step 3 - In order to heighten the chances of having your corporate name approved by the Ohio Department of the Secretary of State, you may wish to verify that it is, indeed, unique and not misleading. A sensible step to take towards this goal is to use the Ohio Business Search Tool. You may do this by going to: http://www5.sos.state.oh.us/ords/f?p=100:1:0::NO::: then in the text box at the center of the page, enter the Name you wish to name your corporation. Select the “Search” button to see if any other entities share this name or a reasonably close version of it.

oh name searchStep 4 - The browser will display matching results of your search in a table. Each row will contain the information for the following columns: Entity Number, Business Name, Type, Original Filing Date, Expiration Date, Status, Business Location, County, and State. If click on any of these columns it will toggle sort them in ascending and descending order. Selecting any entry in the column “Entity Number” will direct the browser to that entity’s public profile.

oh name search p2Step 5 - The Corporations Details page will also display the information in a table form. On this page you will be able to view the Entity Name, Business Name, Filing type, Status, Original Filing Date, Expiration Date, Location, County, State, Agent/Registrant Information (Identity and Address), Incorporator Name, Filing Type, Date of Filing, Document Number/Image. If you have found that your name is available you may reserve it (see instructions below) for a period of one hundred and twenty days with the Secretary of State. However, this is not a requirement prior to registering and forming your corporation in the eyes of the Ohio Secretary of State.

Step 6 - Find and retain a Statutory Agent. This is a requirement of Ohio Revised Code §1701.07 and every corporation, foreign or otherwise, must form and operate with a Statutory Agent who has agreed to accept service of process on behalf of a corporation. That is, no corporation may form or register without one. This may be a commercial or noncommercial entity and may be a business or an adult. The Statutory Agent must maintain an address in the State of Ohio at all times.

Step 7 - Make sure all the preliminaries or required processes with governing entities have been completed.

Step 8 – File your Articles of Incorporation or, if a foreign corporation, Application for Certificate of Authority with the Ohio Secretary of State. You will have to file these by mail with a check or money order made out to “Ohio Secretary of State.” Filing Fees are $99.00 for corporations with 0-990 shares. If your corporation has more than 990 shares you will need to calculate your Filing Fee. There will be a simple formula for knowing how much to add to the $99.00. Corporation with 0-1,000 shares will need to pay 0.10 cents per share, those with 1,001 to 10,000 shares must pay 0.05 cents/share, those with 10,000 to 50,000 must pay 0.02 cents per share, those with 50,001 to 100,000 shares need to pay 0.01 cents per share, those with 100,001 to 500,000 shares will need to pay 0.005 cents per share, and those with more than 500,000 shares will need to pay 0.0025 shares. You may mail your package to the Secretary of State. Each entity type will have its own Secretary of State PO Box. Also, you may file through the Ohio business portal.

How To Reserve A Name

Step 1 - Download the Name Reservation/Transfer/Cancellation form by selecting the above link (“Download Form”).

Step 2 - On the first page, enter the Full Name of the Individual or Business which these documents must be returned to in the box labeled “Name.”

Sep 3 - The second box is optional, if the Secretary of State needs to include an Attention line aimed at an individual when sending you a response, enter this Name here.

Step 4 - In the box labeled “Address,” report the Building Number, Street, and Unit Number in the mailing address the Ohio Secretary of State must use when answering this application.

Step 5 - In the box labeled “City,” enter the City in the Mailing Address to be used by the Ohio Secretary of State.

Step 6 - The next line, containing boxes labeled “State” and “Zip Code,” is where you shall complete the Mailing Address.

Step 7 - Next enter the Phone Number then Email Address that may be used reliably by the Ohio Secretary of State to reach an appropriate Contact Person.

Step 8 - Below this section will be two paragraphs, each will be next to a check box, place a check mark in the first check box if you would like to receive important notices via email and a check mark in the second box if you would like to be signed up for the Filing Notification System. You may place a check mark in the first box, the second box, both boxes, or neither box.

Step 9 - Next, you must choose one of the service options. Regular Service will have an average turn around on processing of about 3-7 business days and will carry no extra charge. Expedite Service 1 will expedite the service to 2 business days for an Expedite Fee of $100.00. Expedite Service 2 will expedite the processing to 1 business Day and will cost an additional $200.00. Expedite Service 3 will expedite the process to four hours (if received by 1:00 p.m. and is only available to walk in customers at the client Service center) which will cost an additonal $300.00. Preclearance Filing will be paid for ahead of the time of filing for a preliminary examination and is available for $50.00. You must choose only one of these options by filling out the bubble next to the appropriate statement.

Step 10 - On the next page, under the heading “Check Only (1) Box” select choice (1) by filling in the first check box in this section.

Step 11 - Under the heading “Check only if box (1) is checked,” enter three choices for a possible Name Reservation with your top pick in the first box, labeled “First Choice,” and your last choice in the box labeled “Third Choice” The first name that is available will be reserved for your use of Naming a corporation.

Step 12 - Next, under “Applicant Information” enter the Name, Mailing Address (Street Address), City, State, and Zip Code of the individual or entity who intends to reserve this name.

Step 13 - On page 3, the applicant must Sign and Print his/her Name in the “Signature” box, then Print his/her Name in the “Print” box. Note: if the applicant is a business, then enter the Business Name in the “Signature” box then, have an authorized representative of the business in the “By” section and Print his/her Name in the “Print Name” box.

Step 14 - Mail the Name Reservation/Transfer/Cancellation form with a check or money order (payable to Ohio Secretary of State) for $39.00. You may mail the application and payment to Ohio Secretary of the State, P.O. Box 670, Columbus, OH 43216
