How to File

Step 1 - Decide upon the type of corporation you would like to form. There are two main categories: Profit and Nonprofit. Regardless of whether you are an Incorporator forming a domestic corporation or a filing entity seeking to register as a foreign corporation your corporation will fall into one of these categories.

Step 2 - Next, you will need to give the corporation a unique Name bearing one of the required words of incorporation that is appropriate for your entity type (Association, Club, Company, Corporation, Fund, Institute, Incorporated, Society, Syndicate, Union, or a generally accepted abbreviation).

Step 3 - It is considered a very good idea to perform a search through the Oklahoma Secretary of State’s records. To begin, go to https://www.sos.ok.gov/corp/corpInquiryFind.aspx.

Step 4 - In the box labeled “Entity Name” enter the Full or Partial Name you wish to use for your corporations. Then select the button labeled “Search.”

Step 5 - The results matching your criteria will be displayed in a Table below the search box. The table will display the Filing Number, Name, Entity Type, Registered Agent, and Name Type & Status for each entity whose name matches the one you selected. You may select the filing number to view more details.

Step 6 - The Details Page will display the Name, Filing Number, Name Type, Status, Corp. Type, Jurisdiction, Formation Date, Registered Agent Name, Effective Date, and Address. Note: Even if the Status is Inactive, there is no guarrantee you may use the Name. If you have decided upon a unique Name then you may reserve it for sixty days while you organize your documents. This is not a requirement however if you wish to do so, see the instructions below

Step 7 - Obtain a Registered Agent for your corporation. While each entity type will have specific requirements as a result of being a certain type of corporation, all corporations must obtain a Registered Agent to reliably receive service of process in the event the corporation is sued. Obtain a Registered Agent and make sure all preliminary requirements have been fulfilled.

Step 8 - In order to form a corporation in the State of Oklahoma, you will need to register it with the Oklahoma Secretary of State. You will need to submit a Full payment for the Filing Fee (minimum $25.00 – $50.00 depending upon the corporation type). You may submit your payment by credit card if filing electronically or you may pay with a check made out to Secretary of State. How To Reserve A Name

Step 1 - Download the Oklahoma Application to Reserve a Name from the above link (labeled “Download Form”).

Step 2 - In Item 1, enter the Full Name you wish to reserve for the entity you are forming.

Step 3 - Select the box labeled “Corporation” in Item 2, to indicate why you are reserving this Name.

Step 4 - In Item 3, enter the Name of the Applicant.

Step 5 - In Item 4, report the Address of the Applicant.

Step 6 - At the bottom of this application, the applicant wishing to reserve this Name must provide a Signature and a Date for that Signature in the spaces provided on the last line.
