The Filing or Processing Fees will range from $25.00 to $275.00 and must be paid for at the time of submittal.

How to File

Step 1 - Forming a corporation will require a defintion what type of corporation is being formed. There are several types of corporations such as Profit, NonProfit, or Professional. Each one of these define how the corporation will operate and will have specific requirements to fulfill to form and remain in compliance with the State of Oregon.

Step 2 - Next, you will need to give the corporation being formed a Name that is easily distinguishable on the record books maintained by the Oregon Secretary of State and the public in general. Another staunch requirement will be to include a word of incorporation for your entity type (i.e. Corporation, Corp., Incorporated, Inc.).

Step 3 - It is generally recommended to perform an entity search on the Oregon Secretary of State’s website. This small precaution will increase the chances of a smooth registration with this governing body (a requirement of Oregon State Laws) since attempting to use a noncompliant Name may delay or halt the formation process. To do this go to: http://egov.sos.state.or.us/br/pkg_web_name_srch_inq.login

Step 4 - In the Business Name field enter the Name you wish to use for your corporation. Note: Since the goal is to make sure the name will not be confusing or misleading, make sure “Exact words in any word order” is selected under “Search Methods (More restrictive to Less restrictive).” Select the “Search for Business Name” button.

Step 5 - The results table will display the Entity Type, Entity Status, Registry Number, Name Status, Name, and Assoc Search for each entity matching the criteria you set in your Name search. You may select an entity’s Registry Number or Name to view more details.

Step 6 - The Details page will deliver information such as the Registry Number, Entity Type, Entity Status, Jurisdiction, Registry Date, Next Renewal Date, Associated Names and Addresses, and Past Filings.OR name search p3

 

Step 7 - The next step will be to find a Registered Agent for the corporation being registered. The Registered Agent must have a Registered Office within the State of Oregon so that he/she/it may receive service of process issued by a court of law aimed at and on behalf of the forming entity.

Step 8 - You will need to make sure that all requirements, documents,filings, licenses, and permissions necessary to form and register your corporation with the Oregon Secretary of State has been successfully fulfilled, attained, and/or completed before filing your Oregon Articles of Incorporation with the Oregon Secretary of State. The Filing Fee must be submitted simultaneously with this package and will range from $25.00 to $275.00 depending on the entity type.
