How to File

Step 1 - You will first need to define the type of corporation you are forming. Will this operate at a profit? Will it gear itself toward one type of professional service? Will it seek Tax-Exempt Status? The entity type you decide upon will have a profound effect on how the corporation shall operate and what is required to form it. Decide upon the type of corporation you are forming. The broader corporate types may be considered Foreign, Domestic, Profit, and Nonprofit. These categories will determine what you will need to register your corporation with the Pennsylvania Secretary of the Commonwealth as required by the laws of Pennsylvania.

Step 2 - Once you have decided upon the entity type, you will need to give the corporation you are forming a unique Name. This will distinguish it from other corporations on the record books and give the corporation an Identity in the public eye. You will also need to include a corporate designator in the Name such as Corporation, Incorporated, Corp., Inc., etc. Finally, the Name of the corporation you choose may not be misleading in any way. Note: If you are already incorporated in another state and wish to operate as a corporation in Pennsylvania, you must use your real Name in Pennsylvania. If it is taken, you must submit the paperwork for a D.B.A (doing business as) name.

Step 3 - It is imperative the Name of the corporation you form be completely unique. If it is not then registering your corporation via the Articles of Incorporation may be met with a delay or a rejection. While only the Pennsylvania Secretary of the Commonwealth will always have the final word, this entity does provide a useful tool to promote the chances of a smooth process (in this regard). You may search the Pennsylvania Secretary of the Commonwealth business records to make sure the Name you have chosen is not currently in use. Step 4 - In the text box beneath the heading “Search Business Entity,” enter the Full Name or a Partial version of the Name you wish the corporation you wish to form. From the “Type of Search” drop down list, it is recommended to choose “Any words” to maximize your results. Leave the check box labeled “Active Corporations Only” blank. When ready, click on the blue button labeled “Search.”

Step 5 - The results of your search will be displayed in a table with the columns: Business Entity Name, Name Type, Address, Entity Number, Entity Type, Status, and Citizenship to describe each entity matching the criteria you entered. The text in the columns “Business Entity Name” and “Entity Number” may be selected. If you wish to view the details of an entity, then you may select the text either of these columns in the same row. This will open a details page.

Step 6 - This details page will display the Name History of the entity you have chosen to view, Business Entity Details (such as Entity Number and Entity Type), Officers of the Corporation, previously Filed Documents, and Certificates attained. If you have successfully settled upon a Name that does not produce any results or any results similar to the corporate Name you selected, you may reserve the Name in advance (see instructions below) or you may proceed to the next step and register the Name when you file your Articles of Incorporation.

Step 7 - Whether you have opted to reserve a Name or not, there will be many other steps that must be taken once you have settled on the two basics (Entity Type and Entity Name). Generally, you will have to determine the parties that shall make up the corporate structure of the entity you have settled on. You will need to contact the I.R.S. to make sure you are in accordance with its policies and requirements amongst other governing entities. Also you will need to settle on a Registered Agent. This is an important step as every corporation, regardless of its citizenship or purpose, must have a Registered Agent on file. This state will allow an individual, separate business, or the forming corporation itself to act as the Registered Agent (with a Registered Office in Pennsylvania) where service of process may be served to the forming entity by delivering it to the Registered Agent who will agree to accept it on behalf of the corporation and fulfill the requirements of his/her/its title.

Step 8 - Once you have fulfilled all the preliminary requirements placed upon the type of entity you wish to incorporate, you may register it and gain corporate status by filing the appropriate Articles of Incorporation with the Pennsylvania Secretary of the Commonwealth. You may submit this paperwork online or by mail. If submitting by mail, you must include a check made out to “Department of State” for the full Filing Fee amount (Fees range from $125.00 to $250.00). You would also need to pay this Fee if filing online but must do so with a credit card.

How To Reserve A Name

Step 1 - Download the Pennsylvania Name Reservation/Transfer of Reservation or click here: Form DSCB: 15-208. You may edit this form using a PDF program, print, then sign it or you may print it out and fill it in with a typewriter or by hand (blue or black ink only).

Step 2 - In the top left hand corner, place a check mark in the box labeled “Return document by mail to” or you may choose to have your response emailed by check the box labeled “Return document by email to.” If you have selected the first box then, on the blank line labeled “Name,” in the upper left hand corner enter the Name of the party who the Pennsylvania Secretary of State may send a response to this application to. Below this, enter the Mailing Address for this party using the blank lines labeled “Address” and “City State Zip Code.” If you have opted for email then on the blank line following the check box labeled “Return document by email to,” enter the email address where you wish to receive an answer.

Step 3 - Next on the line beginning with the word “Fee: $70,” check the box labeled “Name Reservation.”

Step 4 - In Item 1, report the Full Name you wish to reserve for your corporation. Make sure to include a word of incorporation.

Step 5 - In Item 2, enter the Name of the individual who wishes to reserve the corporate Name.

Step 6 - In Item 3, enter the Full Address of the individual who wishes to reserve the Name for the corporation being formed.

Step 7 - On the blank spaces in the paragraph beginning with the “In Testimony Whereof” report the Calendar Day, Month, and Year (in this order) this document is being completed.

Step 8 – On the blank line labeled “Name of Applicant/Transferor” the individual wishing to reserve the corporate Name must print his/her Name. Below this, he or she must Sign his or her Name. Finally, on the last blank line, this party must report the Title held if this is an association applicant.
