How to File

Step 1 - Deciding upon the type of entity you must form is crucial to the success of creating a corporate entity. decisions to be initially made when forming a corporation. There are several basic types of corporations and some will be required to submit specific information exclusive to that entity type. At the heart of these types are the Domestic For-Profit Corporation and Domestic Nonprofit Corporations. That is, if you form a professional corporation may operate for profit or as a nonprofit. These basic types may also be formed outside the State of Rhode Island. Such corporate entities are known as foreign corporations which must undergo a separate and distinct process to operate in the State Rhode Island as such. Decide upon the type of entity, that will must be formed and/or registered with the Rhode Island Secretary of State.

Step 2 - Next you will need to make sure the corporate entity you are registering with the Rhode Island Secretary of State has a unique Name on record. To improve the chances of giving your entity a unique Name, it is recommended to check the State of Rhode Island and Providence Plantations Office of the Secretary of State’s Public Browse and Search Entity Tool. You may find this page here: http://ucc.state.ri.us/corpsearch/corpsearchinput.asp.

Step 3 - This is the Rhode Island and Providence Plantations Office of the Secretary of State’s Public Browse and Search Entity page. On the first line, labeled “Status,” select whether you are searching for an Active corporation or an Inactive one by selecting the radio button next to your preferred choice. It is recommended to run searches through both types.

Step 4 - Now, select the radio button next to the section heading “Search by Entity Name.” In the text field, labeled “Name,” enter the Name you have chosen for your corporation.

Step 5 - In the drop down list, labeled “Type of Search,” you may define whether you would like the results to be an Exact Match, Full Text, or Soundex (Sounds like). Once you have selected one of these choices, select the number of results per page you would like to see in the drop down list following the word “Display” at the bottom of this page. Select “Search” after making your selection.

Step 6 - The Results page will contain a table with several columns: Entity Name, Identification Number, Charter, Status, and Type. You may select each Name to view a Summary Page.

Step 7 - The Summary Page will display information regarding the entity you suggested. Here, you will see the Exact Name of the Corporation, Entity Type, Date of Incorporation, Principal Office Address, Registered Agent Name, Registered Agent Address, the Officers and Directors of this corporation , Stock Information such as the Total Number of Shares, the Purpose of the corporation, and the ability to view the entity’s annual reports. This information may be useful in most cases however keep in mind, that you must settle on a Name that is not taken by any entity. Once you have done so, you have the option of Reserving the Name (see instructions below).

Step 8 - Next, depending upon the type of entity you are forming, you must gather supporting information or documents to be submitted with your articles of incorporation. You will also need to obtain a Registered Agent who has consented to receive service of process on behalf of the corporation being formed should it ever be sued.

Step 9 - When you have prepared the materials and selected a unique Name to form a corporation in the State of Rhode Island you will need to submit the appropriate Articles of Incorporation to the Rhode Island Secretary of State. You will need to submit full payment of the Filing Fee ($35.00 to $315.00) with these documents and you may file either by paper or online. If filing online, go to http://www.sos.ri.gov/divisions/business-portal. If filing paper forms, you may mail or deliver the articles package to Division of Business Services, 148 W. River Street, Providence, Rhode Island 02904-2615. You may pay by check if submitting a paper form or you may pay with credit card if filing online or in-person.

How To Reserve a Name

Step 1 - Download the Rhode Island Application For Reservation Of Entity Name by selecting the above link or clicking here: Form 620.

Step 2 - On the first line of this application, enter the Full Name you wish to reserve for the use of the entity you are forming. This should contain all corporate designators and appear precisely as it should in the Rhode Island Secretary of State’s Corporations Division record books.

Step 3 - If you are forming a Business Corporation as per General Laws of Rhode Island 1956 Section 7-1.2-403, then place a check mark in the box labeled “Business Corporation” and leave the others blank. If you are forming a nonprofit corporation as per General Laws of Rhode Island 1956 Section 7-6-11.1, then place a check mark in the box labeled “Non-Profit Corporation.”

Step 4 - Read the last paragraph as it contain specific conditions to this application. Below this, enter the Full Name and Address of the individual or Entity reserving this name. Then below the words “Submitted by,” the person responsible for sending this must Sign his or her Name and Enter his or her Address if it is different from the one just reported.

Step 5 - On the left, locate the word “Date.” Enter the “Date” this application is being filled out and submitted.

Step 6 - Next, you must mail this application to Office of the Secretary of State, Corporations Division, 148 W. River Street, Providence, Rhode Island 02904-2615. If you are Reserving a Name for a profit corporation, the Filing Fee will be $50.00. If you are Reserving a Name for a nonprofit corporation, the Filing Fee is $20.00. This is payable with a check made out to “Rhode Island Secretary of State.”
