How to File

Step 1 - There are many types of corporations, when you decide it is time to incorporate an entity, you will need to decide what type of corporation will be formed. There are two main categories a corproation will fall into: profit and nonprofit. Decide what type of corporation you are forming.

Step 2 - Once you have decided upon a corporation type for the entity being incorporated, you must give it a unique Name to operate under. This Name must be an easily distinguishable Name on the record books and in the public eye.

Step 3 – In many cases, it would be a wise time-saving maneuver to check if a Name is available before you settle on the Name of your corporation. You may do this by using the Business Information Search tool provided by the South Dakota Secretary of State. To start go to: https://sdsos.gov/business-services/corporations/corporate-forms/nonprofit-corporations.aspx.

Step 4 - In the text field labeled “Search Name,” enter the Full or Partial Name you wish your corporation to operate under. Next to this box, you have the option of choosing to search the Tennessee Secretary of State records for an entity whose Name “Starts With” or “Contains” the phrase you have entered.

Step 5 - Next, you will need to enter the Digits and/or Letters displayed in the image near the bottom. Enter this information in the text box labeled “Image Text.” When you have done this select the button labeled “Search.”

Step 6 - The search results will be displayed in a Table which shows the Control Number, Entity Type, Name, Name Type, Name Status, Entity Filing Date, and Entity Status for each entity whose Name matches the search criteria you entered. Each Control Number will be selectable with your mouse. Select a Control Number to view the Entity Details of your choosing.

Step 7 - The Details page will display the Name, Foreign Name (if applicable), Status, Location where the entity was Formed In, the Fiscal Year Close, Term of Duration, Principal Office Address, Mailing Address (of the Principal Office), AR Exemption Status, if this is a Mutual Benefit Corporation, the Initial Filing Date, Delayed Effective Date (if applicable), Obligated Member Entity Status, Assumed Names, History, and Registered Agent information for the entity you have selected.

Step 8 - After you have settled upon an entity type for your corporation and a Name for that corporation, you will need to satisfy several requirements across several governing entities. This will depend upon the type of entity being created and where that entity's Principal Office and operations are located. Make sure you are familiar with the process of incorporating the entity you wish to.

Step 9 - Next you must obtain a Registered Agent who will receive court documents on behalf of the corporation being formed. Thus agent must maintain a Registered Office in the State of Tennessee at all times.

Step 10 - Once you have completed all of the preliminary requirements for your entity type, you may file the Articles of Incorporation with the Tennessee Secretary of State. The Filing Fee for this will range from $100.00 to $600.00and must be paid for with a check made out to Secretary of State when submitting by mail or by credit card when submitting electronically.

How To Reserve A Name

Step 1 - Download the Tennessee Application for Reservation of Corporate Name by selecting the link labeled “Download Form” above. Save this file to your computer and enter the information on screen with a PDF editor or print it then fill it out.

Step 2 - On the first blank line, labeled “Name to be Reserved,” enter the Full Name you wish to reserve for your corporation.

Step 3 - Next there will be two statements each with a corresponding check box. If you are reserving the Name for a Profit Corporation then check the first box. If you are reserving the Name for a Nonprofit Corporation then select the second box.

Step 4 - On the blank lines near the bottom of the page, beneath the words “The name and address of the applicant is,” enter the Full Name and Complete Address of the individual or organization applying to hold the rights to the Name being reserved.

Step 5 - Enter the Date this document is being Signed on the blank line labeled “Date.”

Step 6 - On the blank line labeled “Signature,” the Applicant wishing to reserve the Name must Sign his or her Name.

Step 7 - The Signature Party must Print or Type his or her Name on the blank line labeled “Name(typed or printed).”

Step 8 - The Signature Party must report his or her Capacity (i.e. Position or Title in either the corporation being formed or any organization acting as an Applicant) if applicable.

Step 9 - You may submit this application by mail to the Tennessee Secretary of State. This must be accompanied by a check, payable to “Secretary of State,” in the amount of $20.00 (Filing Fee.)
