How to File

Step 1 - The first consideration one must make when incorporating an entity is to decide upon the type of corporation that will be created. This decision will have a major impact on everything regarding how the corporation should form to how the corporation will operate on a daily basis. There are several types of both domestic and foreign (out-of-state) corporation that would be treated as either a profit corporation or a nonprofit corporation.

Step 2 - Naming the corporation being formed will also require some thought. When doing so, the Name must be considered unique and may not be misleading in any way. In addition to this requirement, there must also be a corporate designator, in the Name, such as Corporation, Corp., Inc., or Incorporated. Oftentimes it is a good idea to consult the Texas Secretary of State records for entities that may already have the preferred Name you wish to use or similar Names. To do so go to: http://www.sos.state.tx.us/corp/sosda/index.shtml. Read the information on this page, then select the button labeled “Enter” at the bottom of the page.

Step 3 - You must have an account with the Texas Secretary of State site SOSDirect. Enter your Log In information to continue. You will need to enter your credit card number since a Name search will cost $1.00

txnamesearch2Step 4 - This is the starter page of your account. From the menu bar (at the top) select “Business Organizations.”

txnamesearch3Step 5 - You will be presented with a table of options. Select the link labeled “Name Availability Search” from the column on the left. Note: If you have set up a ‘Temporary” login, some of the other options may not be present, but you will still have access to the search tool.

txnamesearch5Step 6 - In the box labeled as “Entity Name,” enter the Name you wish to use for your corporation then select the button labeled “Search.”

txnamesearch6Step 7 - You will be presented with a table of results for your search that will display the Filing Number, Name, Entity Type, Entity Status, Name Type, and Name Status for each entity matching the search criteria you entered. Each Name is a link to that entity’s Details page. To view more regarding an entity, select the Entity Name you wish more information for.

txnamesearch8Step 8 - This page will display information regarding the entity in question. Here, you may view the Filing Number, Original Date of Filing, Formation Date, Tax ID, Duration, Entity Type, Entity Status, Non-Profit Type (if applicable), FEIN Nubmer, Corporate Name, Corporate Address, Registered Agent Name, and Registered Agent Address for the entity being viewed. Keep in mind that even if a corporation is inactive, the final decision as to whether a Name is available or not can only be made by the Texas Secretary of State. You must perform this search until you have found a corporate Name with no results or results that will not cause a conflict or any confusion. If you wish, you may Reserve a Name that has proven to be available, but this is not mandatory (see instructions below).

txnamesearch9Step 9 - Next you will need to perform your due diligence in full comprehending the process of incorporating the entity to the corporation type you have settled upon. This will likely include satisfying a few preliminary requirements specific to that entity type and contacting other interested governing bodies (i.e. contacting the IRS, any applicable Regulatory Board, obtaining a Registered Agent).

Step 10 - The Texas Articles of Incorporation are the required forms that must be submitted to the Texas Secretary of State. This may be done by mailing the package to Secretary of State, P.O. Box 13697, Austin, TX 512.463.5555, by Fax (512.463.5709), online (via SOS Direct), or in person. You may submit payment of the Filing Fee ($300.00) with a check/money order made out to “Secretary of State” (unless you are filing online), with a major credit card (if Faxing you must include Form 807), or with a prepaid Legalese Account. If you wish, you may have a stamped copy returned with your documents, upon request, provided you have submitted an additional copy of the articles you have submitted.

Step 1 - Download the Texas Application or Renewal of Reservation of an Entity Name by selecting the link labeled “Download PDF Form” or “Download Word Form” above. Save this to your computer. You may use a PDF editor or MSWord to enter the information necessary depending upon your preferences.

Step 2 - Locate the section labeled “Entity Name to be Reserved.” Then mark the box labeled “New Application.” On the blank line below this, enter the Name you wish to reserve for the incorporating entity’s use. Note: This reservation will expire in 120 Days of the Filing Date.

Step 3 - Next, in the “Entity Type” section, you must indicate the type of entity you are reserving this Name for. From the choices provided place a mark in the corresponding check box. (i.e. if it is a business or for profit corporation incorporating in TX, then mark the box labeled “Domestic For-Profit Corporation.”

Step 4 - There will be two subsections in the section labeled “Applicant Name.” You must choose the appropriate subsection then fill it out. Do not fill in both sections. If this application is being submitted by an organization/business then mark the box labeled “A. The Applicant is an organized entity by the name of,” then enter the Full Name of the entity reserving this Name. If this application is being submitted by and for an individual then mark the check box labeled “B. The applicant is an individual by the Name of,” then use the boxes labeled “First Name, M.I., “Last Name,” and “Suffix” to enter the applicant’s Full Name.

Step 5 - In the section labeled “Applicant Address,” enter the Building Number, Street, and Suite Number of the Applicant in the box labeled “Street or Mailing Address.” Then, report the City, State, Country, and Zip Code of the Applicant Address you are providing in the appropriately labeled boxes.

Step 6 - You may submit this Application by mail or by fax and pay the $40.00 Filing Fee with a check, money order, major credit card, or Legalease Account. All checks must be made payable to “Secretary of State.” If submitting a credit card payment you must make sure Form 807 is filled out properly with the payment information.
