How to File

Step 1 - The type of corporation being formed is one of the most vital decisions that must be made when one first decides to incorporate. This will decide how the corporation will form, operate, and generally define its purpose. There are several categories of corporations that generally in one of two categories: Profit Corporations and Nonprofit Corporations. Within these are additional sub categories such as Professional Corporations or Public Benefit Corporations. Decide upon the type of corporation that must be formed.

Step 2 - After deciding the type of corporation that will be formed, you must now Name the corporation you are forming. This may not be a Name that is currently in use or unavailable. Additionally, the Name must include a corporate designator within it. This is a word such as Corporation, Incorporated, or a generally acceptable abbreviation. You may perform a search using a tool provided on the Utah Secretary of State website that will perform a search through the Names of preexisting entities. This will help prevent being denied a Name because it is already in use or too similar to another entity's.

Step 3 - Go to the Utah Secretary of State Business Search Tool page here: https://secure.utah.gov/bes/.

Step 4 - In the field labeled “Business Name,” enter the Name you wish the corporation being formed to operate under in this state. Then, select the button labeled “Search.”

Step 5 - If there are no results from your Entity Name Query, it is likely that no other entity controls the Name you wish to give your corporation (however, it is recommended to run partial Name searches to make sure). All results will be displayed in a table reporting the Name, Status, Type, and City of entities matching your search criteria. There will be a column at the end of each row labeled “Details.” Selecting the word “Details” at the end of an entity's row or selecting the Name of that entity will direct the browser to a page listing several Details regarding that entity. Select either the Name or the word “Details” listed in an entity's row to view additional information.

Step 6 - The Details page will list the Entity Number, Company Type, Address, State of Origin, the Registered Agent, the Registered Agent Address, Status, Status Description, Employment Verification Status, Registration Date, the Date of the Last Review, NAICS Code, and the NAICS Title. The buttons listed (“View Management Team” and “View Filed Documents”) will provide additional public information while along the bottom (“Business Name,” “Number,” Executive Name,” and “Search Hints”) will give an opportunity to run another search. When you have found a Name that has not been reserved or is not in use, you may reserve it for your entity (See Instructions Below) or you may proceed to the next step.

Step 7 - There will undoubtedly be some additional preliminary steps you must take when forming a corporation. Some may be internal, in terms of corporate structure, while others may be requirements placed upon forming entities by governing bodies. For instance, insurance companies are likely to need the approval of the Utah Department of Insurance before incorporating while all corporations must name a Registered Agent. Make sure all these steps have been fulfilled before submitting registering your corporation.

Step 8 - Once all preliminary steps have been fulfilled, you may file the Utah Articles of Incorporation by mail or electronically. Additional information may be required to be submitted simultaneously with this filing depending upon the entity type you have settled upon. All filings require a full payment at the time of submission. The Utah Articles of Incorporation will require a Filing Fee payment (ranging from $30.00 to $70.00) in the form of a check or money order if filing by mail . You may use a credit card if filing these electronically or by fax. All checks must be made payable to “State of Utah.”

How To Reserve A Name

Step 1 - Download the Utah Application for Reservation of Business Name by selecting the link above. This document must be filled out onscreen with an acceptable PDF program or otherwise computer generated. Do not fill this in by hand.

Step 2 - Indicate the purpose of submitting this application by clicking on the check box labeled “New Filing $22.00.”

Step 3 - In the first text box, labeled “The Business Name to be Reserved,” enter the Full Name you wish to reserve for the corporation that will be formed. Below this, report the official business use for the Name being reserved.

Step 4 - In the section labeled “Applicant Information,” report the Full Name of the Applicant seeking to Reserve the Name reported in the first box. If this party is a Business with an Entity Number, then enter the Entity Number on the second line. Then, use the lines labeled “Address,” “City,” “State,” and “Zip” to report the Complete Address of the Applicant seeking to Reserve this Name.

Step 5 - On the line labeled “Signature,” the Applicant or, if a business, Authorized Representative of the Applicant (i.e. Director, Officer etc.) must Sign his or her Name.

Step 6 - Send the Utah Application for Reservation of Business Name to the State of Utah Department of Commerce, Division of Corporations & Commercial Code. You must include a payment of $22.00 for this filing with a check made out to “State of Utah.”
