How to File

Step 1 - Determine the nature of the corporation being formed. The type of corporation you decide to form will determine everything from the formation and registration requirements by governing bodies to how the corporation will operate. There are several types of corporations but there are two main categories regardless of whether they are domestic or foreign: profit corporations and nonprofit corporations. Decide upon which of these best applies to the entity you are incorporating.

Step 2 - Next, the corporation being formed must be given a Name. In the State of Washington, this will need to be a unique Name that is easily discerned from that of other corporations and bearing a corporate designator (Corporation, Corp., Incorporated, Inc., etc.). Since this is a staunch requirement of the Washington Secretary of State Corporation Division, the Washington Secretary of State has made a Corporation Name Search Tool available on its website. You will need to run the Name through it and if there are no matches, then you have found a presumably unique Name. It should be noted only the Washington Secretary of State may deem if a Name is available or not. To begin, go to the search tool here: https://www.sos.wa.gov/Corps.

Step 3 - Locate the drop down list labeled “Search by Name or UBI.” Here, you may select “Name Starts With,” “Name Contains,” or “Name Ends With” to help determine the parameters of your search. Once you have done this, enter the Name you wish to give the incorporating entity and select the blue button labeled “Search.”

Step 4 - Any entities bearing Names the same as or similar to the one you searched will appear in a basic table. On the left will be the entity Name and on the right will be the Status of that entity. Each Name will generate a pop up window displaying details regarding that business. Select an entity whose details you would like to view, otherwise proceed to Step 7.

Step 5 - The at a glance Details will display in a pop-up window. This window shall reveal an entity’s UBI Number, Category, Profit/Nonprofit, Active/Inactive, State of Incorporation, WA Filing Date, Expiration Date, Inactive Date, Duration, the Registered Agent’s Address Information, and any additional Special Addresses. If you wish to view more details, you may select the button at the top of the pop up window labeled “View Additional Information.” Select this button to proceed to the next step, otherwise proceed to Step 7.

Step 6 - The Registration Details page will display the Name, UBI Number, Category, Profit/Nonprofit type, Status, State of Incorporation, Date of Incorporation, Expiration Date, Inactive Date, Duration, Registered Agent Name and Address, and any additional Special Addresses of the entity. Also, you will be able to see the Title, Name, and Addresses of the Governing Persons.

Step 7 - If you have found a unique Name, you may wish to reserve it (see Instructions below). This is not required however, you will need to file articles of incorporation to register your corporation with the Washington Secretary of State. Before doing this, make sure you have researched the entity type being incorporated. Oftentimes, other governing bodies will have some requirement that will need to be fulfilled before filing these articles, while filing these articles, and/or after filing these articles. Make sure all preliminary steps (such as obtaining a Registered Agent) have been successfully taken.

Step 8 - You may file the appropriate Washington Articles of Incorporation online, by mail, or in person. While processing usually takes a couple of days, you may expedite the articles for $50.00. Filings in person or by mail are payable with a check or money order made payable to “Secretary of State” while online filings may be paid for with a credit card. How To Reserve a Name

Step 1 - Download the Washington Name Reservation by selecting the link labeled “Download Form” above. You will need to either fill this in with a PDF program or print it then enter the information.

Step 2 - If you do not need to expedite this application process then mark the first check box in the top left hand corner of the page. If you do wish to expedite this application process then select the second box (labeled “ADD $50.00 for Expedited Service).

Step 3 - Locate Section 1. Under the heading, “NAME OF THE ENTITY TO BE RESERVED,” there will be three blank lines. Enter your first choice for the Name you wish to reserve. Then on the next two lines, enter your second and third choice. The first available Name will be reserved.

Step 4 - In Section 2, mark the box labeled “Profit Corporation $30.00″ or “Nonprofit Corporation $20.00″ to indicate which type of corporation you are forming.

Step 5 - In Section 3, enter the Full Name of the Applicant submitting this application on the first line. Then on the next lines enter the Street Address of the Applicant, the City, the State, and the Zip Code. Below this will be a space in the event the Applicant is only submitting this form and not reserving the Name. If the individual reserving the Name is different from the Applicant, then report the Full Name and Address of this individual, on the spaces provided, under the heading “NAME AND ADDRESS OF CLIENT.”

Step 6 - At the bottom of this page, the Applicant must Sign and Print his or her Name, report the Title he/she holds, report the Date the Signature was provided, then enter his or her Contact Phone Number.

wa name resStep 7 - This application may be submitted by mail or in person but must be accompanied with Full Payment of the Application Fee. This may be done with a check made out to Secretary of State in the amount of either $30.00 (if reserving the Name for a Profit Corporation) or $20.00 (if reserving the Name for a Nonprofit Corporation).
