How to File

Step 1 - The first decision you will need to make after deciding to form a corporation is to settle upon the type of corporation you will form. This will determine the steps necessary to form and register this entity with the appropriate governing bodies, indicate its purpose, define its method of operations, and much more.

Step 2 - Next you will need to give the corporation being formed a Name to operate under. This identity must be specifically recorded in the West Virginia Secretary of State's record books. It must be unique and contain a word of incorporation. The West Virginia Secretary of State makes its records available to the public through the use of a search tool on its website. This is an excellent tool to use when making sure the corporation you are forming has indeed been given a unique Name. To begin this process, go to http://apps.sos.wv.gov/business/corporations.

Step 3 - Locate the text box labeled “Organization.” Here you may enter the Name you wish to give the corporation being formed. You may enter a partial Name and even use the “%” sign as a wild card character. Once you have done this select the “Search” button.

Step 4 - The next page will display the Results of your query by Organization Type. The first table will give the basic Name types. The second table will give all the “DBA” results, the third table will give all the Name Change Results, and the fourth table will give the Registration/Reservation Results. Each table will deliver the Organization Name, Org ID, Org Type, Effective Date, Established Date, Termination Date, Termination Reason, Charter and Class. Each organization name is a clickable link which will lead to a details page. If no results have been found, try doing some additional searches. The goal is to find a Name that no other entity is using. For our purposes, select a Name from the table to view its details by clicking on it with your mouse.

Step 5 - The results page will deliver such information as the Business Purpose, Charter County, Charter State, At Will Term, At Will Term Years, Authorized Shares, Capital Stock, Control Number, Excess Acres, Member Managed status, Par Value, the Notice of Process Address, Principal Office Address, Incorporator and Officer Identity, and Incorporator and Officer City and Zip Code. Note: Regardless of whether the Name is completely unique or the status of another entity bearing a similar Name, only the West Virginia Secretary of State Office may decide whether it is appropriate to use the Name you wish. If you have come up with a unique Name, you may reserve it before filing any paperwork. Reserving a Name will give a good indication of its availability status (though this is not required). If you wish to reserve a Name see the instructions below, if not continue to the next step.

Step 6 - You will need to do some research into the finer parts of the incorporation process regarding the type of corporation being formed. More often than not, several governing bodies ranging from the West Virginia Secretary of State to the Internal Revenue Service will have specific requirements that must be met and expect certain information to be reported. Incorporators are generally encouraged to take an active role when researching this process, including seeking consultations with a West Virginia Attorney.

Step 7 - The West Virginia Secretary of State is the governing entity which will grant corporate status upon the successful registration of a corporation's formation. This is done by reporting some required information to verify that all the steps necessary for incorporating have been satisfied. You must submit one original Articles of Incorporation plus the payment of the appropriate Filing Fee (ranging from $25.00 to $100.00). You may send two originals if you would like a stamped copy returned to you at no extra charge, however, if you would like a Certified copy, this will be an additonal $15.00 per Certified copy. The West Virginia Articles of Incorporation may be submitted online (provided you have set up an account) or by mail. If submitting by mail you must pay with a check made out to West Virginia Secrtary of State while filing online will allow for credit card payments. How To Reserve A Name

Step 1 - Download the West Virginia Application for Name Reservation by clicking the link above or here: Form NR-1 then saving it to your computer. You may open and edit this with an appropriate PDF program or you may print it then fill it out.

Step 2 - In Item 1, enter the Full Name you wish to reserve for the use of Naming the corporation you are forming.

Step 3 - In Item 2, check the box labeled “Corporation.”

Step 4 - In Item 3, check the box labeled “Organize a West Virginia Company.”

Step 5 - In Item 4, report the Full Name of the Individual or Company that wishes to reserve the Name being reserved on the blank line labeled “Name.” Then, on the line labeled “Street Address,” enter the Building Number, Street, and Unit Number of the Address where this party may be found. Finally enter the City, State, and Zip Code of this Address on the blank line labeled “City/State/Zip.”

Step 6 - In Item 5, the Applicant must Sign his or her Name, provide the Date of this Signature, and enter the Title held with the corporation.

Step 7 - Mail in the West Virginia Application for Name Reservation with a check, payable to West Virginia Secretary of State, in the amount of $15.00
