How to File

The Wyoming Articles of Incorporation contain all the information for a basic filing with the Wyoming Secretary of State. The information required on these documents will define the minimum information that all corporations must report to this entity. The articles may be filed by mail to Wyoming Secretary of State, 2020 Carey Avenue, Suite 700, Cheyenne, WY 82002-0020 or online at http://soswy.state.wy.us/default.aspx The Filing Fee, as does the information required, will differ according to entity type but is generally between $25.00 and $100.00. This may be paid for with a credit card when submitting online or by check (payable to “Wyoming Secretary of State”). The review process will usually take three to five business days.

Step 1 - There are several types of corporations so when first deciding to incorporate an entity, the first step will be to decide what type of corporation the entity will be. The two major corporate categories are profit (i.e. professional, stock, etc.) and nonprofit (i.e. religious, charity, etc.) corporations. Decide the type of corporation you wish to form.

Step 2 - Each corporation in the State of Wyoming must have a Name that is unique and includes a word of incorporation such as “Corporation,” “Incorporated,” or a reasonably accepted abbreviation. That is, no two corporate entities may bear the same Name or Names so similar they cause confusion. This is a strict rule and, in fact, your paperwork may be denied during the formation process if the Name you have chosen is not available. Generally, it is a good idea to take as many precautions to avoid this as possible. Thus, you may wish to think of several Names then check the Wyoming Business Center Name Database maintained by the Wyoming Secretary of State. This is a free search which may prove to be a time saver as it will let you know if another entity has already reserved or operates under the Name you’ve chosen. Step 3 - Here you may enter the Name you wish to search for in the text box directly below the word “Filing Name.” Once you have done this, you may also choose how you want the database to compare the Name you are searching with existing entity Names. Locate the radio buttons below the text box, “Starts with” and “Contains,” to do this. Generally, it is recommended to enter a partial name then select “Contains” to cast the widest net. Once you have entered the Name and decided how to search, select the button labeled “Search.”

Step 4 - Entities bearing a Name containing the partial name you searched for will be displayed in a table. Each entry will show the entity Name, ID Number, Status, RA and Tax Standings, and the Date of Filing. Selecting any of these rows will direct the browser to a page with that entity’s Details. If you have not had any matching results, try a variation or proceed to step 6. If there were matching results, select one of the rows to see more information on a specific entity.

Step 5 - The Details page will display the entity’s Name, Filing ID, Entity Type, Tax Standing, Status, Sub Status, Initial Filing Date, Inactive Date, Term of Duration, State or Country of Formation, the actual location of the Principal Office, and the Principal Office’s Mailing Address. Using the tabs at the bottom of the page (“Additional Details,” “History,” “Public Notes,” and “Parties”), you will also be able to view additional pieces of information such as the Identity and Location of the entity’s Registered Agent. It should be noted that even if an entity has an inactive status or you do not find any matching results, the Wyoming Secretary of State employs full discretion upon whether a Name is available. If desired, you may reserve the Name if it seems available while you attain and organize the necessary documents for the entity’s formation. This is not mandatory. If so, see the instructions below.

WY name search p3Step 6 - Next you will need to make sure the incorporating entity is in compliance with Wyoming State Law during its formation. Different entities will need to fulfill requirements specific to that type. For instance, the requirements for incorporating a nonprofit religious entity will differ significantly from the requirements for incorporating a professional stock corporation. There are some general requirements all corporations must follow however such as using an available and unique name or obtaining a Wyoming Registered Agent. Incorporators should be well versed in the formation registration process for the type of entity they are dealing with and are encouraged to take the initiative in staying informed.

Step 7 – A corporation is formed and registered with the Wyoming Secretary of State.
