The Alaska Articles of Incorporation Domestic Nonprofit Corporation should be submitted to, and approved by, the State of Alaska Corporate Division. This will be a requirement before an entity may use make use of its shares, conduct business, and even use a phrases such as “corporation” or “incorporated” in its name within this state. These articles will require several pieces of information regarding your nonprofit and a few prerequisites may need to be fulfilled depending on the nature of purpose of your entity. For instance, one requirement will be to obtain a business license which may be done through the Alaska Corporate Division’s web site here: https://www.commerce.alaska.gov/web/cbpl/ProfessionalLicensing.aspx. This may require a review process and an interview but any entity wishing to conduct business in Alaska must obtain a business license before it is allowed to do so.
In order to successfully file these this document, one must submit the signed articles in duplicate, a $50.00 filing fee (payable to: Division of Corporations, Business and Professional Licensing), and any required paperwork to the State of Alaska, Corporations Section , PO Box 110806, Juneau, AK 99811-0806. It should be noted that you will also need to contact other relevant entities, such as the I.R.S. when submitting these articles, consult an attorney if you are unclear on which additional entities you must register with.
How to File by Paper
Step 1 – Place a check mark in the box labeled “$50.00 Filing Fee” at the top of page 1.
Step 2 – Fill in the space in Article 1 with the name of your nonprofit.
Step 3 – In Article 2, report the purpose of your nonprofit in the space provided. Next to this, enter your North American Code System code.
Step 4 – In the section, Article 3, enter the name physical (street) address, and mailing address of the registered agent you have approved to receive legal notices on behalf of your nonprofit. Note: Both addresses must be in Alaska.
Step 5 – You must report the name and mailing address for each Director, currently, sitting on the board. There must be at east three. These entities may change in the future but you must provide this information for the initial board members. Do this in Article 4.
Step 6 – At least three Incorporators (each over the age of 19) must sign and print his/her name. Also a date of this signature will need to be provided. Provide all of these items in the table under Arrticle 5.
Step 7 – Once you have attached any additional, and clearly labeled, provisions that must be included in this paper work, you must also fill out the mandatory Contact Information Sheet. This will enable relatively quick resolutions to any missing information or problems that may arise during the review process. On this page, you must enter the name of the entity, the name of the contact, email of the contact, phone number of the contact, and mailing address of the contact. Then, you must report where any returned documents may be sent. Enter the name, company name, and mailing address where returned documents may be received.
Step 8 – Once you have double checked the information you provided, you may submit this to the Corporations Section (in duplicate) by mail. You will need to include the original articles you filled out, an exact copy of this, a $50.00 filing fee (payable to: Division of Corporations, Business and Professional Licensing), and any papery work required to the State of Alaska, Corporations Section , PO Box 110806, Juneau, AK 99811-0806
Step 9 – You must go to the Alaska Corporate Section website to file an initial report after submitting your articles here:https://www.commerce.alaska.gov/CBP/Corporation/startpage.aspx?file=IBRPT.
How to File Electronically
Step 1 – Enter the name of your nonprofit corporation in Field 1.
Step 2 – In field 2, write out the purpose of your nonprofit.
Step 3 – Use the drop down list in Item 3 to report your nonprofit corporation’s NAIC Code. Note: This must be an accurate description of your entity’s activities.
Step 4 – Like many states, Alaska requires you document the registered agent who shall receive all official legal notices to the corporation and guarantee delivery. Alaska will allow certain corporate entities or individual to be appointed as a registered agent. You must report the type of entity that has been appointed, first name, last name, suffix, mailing address, and physical address of your registered agent in Item 4.
Step 5 – In Item 5, list the mailing address and physical address of your nonprofit’s principal office.
Step 6 – In Item 6, use the button labeled “Add” to document the identity and mailing address of each of the initial directors in your nonprofit. Selecting “Add” will direct the browser to a new window where you may do this for each director. There will be two buttons at the bottom of this window, “Save” and “Previous Screen.” Each entry must be saved. Only use the “Previous Sreen” button to return to the application.
Step 7 – Define the Incorporators in Item 7, Again there will be an “Add” button to do this with. Select the “Add” button then enter the first name, last name, and select any applicable suffix for each Incorporator.
Step 8 – If there are any optional provisions to be included, select the box “Have optional provisions” under the heading “Optional Provisions.”
Step 9 – The last section of this application will require the organizer to select the verification box and supply his or her name and contact phone number. When ready select “Proceed” and follow payment and/or attachment instructions provided by the web page closely.
