The Colorado Articles of Incorporation Non Profit Corporation – Domestic have been made available online for a variety of reasons, not the least of which to reduce filing fees and better facilitate the process of forming a domestic nonprofit corporation in the State of Colorado. This online form should not be considered a standalone and must be accompanied with the documentation appropriate for the nature of the nonprofit being formed. How To File
Step 1 – Go to the Colorado Secretary of State “File a Form” page here: http://www.sos.state.co.us/biz/FileDoc.do then, under the heading “LLCs, Corporations, and Trade Names,” locate the link labeled “Nonprofit Corporation.” This will direct your browser to first page of the Colorado Articles of Incorporation Non Profit Corporation – Domestic online form.
Step 2 – The first page, will require the name of the nonprofit corporation being formed in the text box provided next to the words “Enter the exact name you want to use in Colorado”
Step 3 – Under the heading “Principal office address,” enter the Street Address, City, State, and Zip Code where the Colorado nonprofit corporation being formed is physically located. If the Principal Office has a mailing address that differs from the physical address of the nonprofit corporation being formed then enter the full Address, City, State, Zip Code, Province (if applicable), and Country (choose the appropriate one from the drop-down menu).
Step 4 – Next you will need to report either the full Name of the adult who has agreed to be the Registered Agent for the forming corporation or, if a business entity, the full Name of the entity that may receive official court documents on behalf of the forming corporation.
Step 5 – Below this, enter the Address, City, and Zip Code of the Registered Agent named above. If the Registered Agent’s mailing address differs from the street address listed then enter the Registered Agent’s Mailing Address under the heading “Mailing Address.”
Step 6 – The Registered Agent must be aware of his/her/its role and agree to it. Indicate this is the case by selecting the box labeled “The person appointed as registered agent has consented to being so appointed.”
Step 7 – The next section will begin with the words “The true name and mailing address of the incorporator.” Here, enter the Full Name of the individual or entity that is forming this non profit corporation in the appropriately labeled cells. You may enter either and adult or an entity but not both.
Step 8 – Under the heading “Mailing Address” in this section, report the Address, City, State, Zip Code, Province (if applicable), and Country where the Incorporator may receive mail.
Step 9 – The next section will act as a verification the submitter of these articles has the full right to file this document with the Secretary of State of Colorado. Enter the Last Name, First Name, Middle Name, Address, City, State, Zip Code, Province (if applicable) and country of this individual in the spaces provided. Then report if any other individuals may be considered responsible for this filing or not. If so then check the radio button labeled “Yes.” If not, select the radio button labeled “No.” Note: If you have selected “Yes,” you will need to attach a list of these individuals on the next page.
Step 10 – Select the button labeled “Submit” once all the information presented is verified as correct. If you have indicated that any attachments. The next step will be to submit payment for the $50.00 filing fee. A successful filing will result in a confirmation page with an image of the Articles you have just submitted. This image will have the word “E-file” stamped in center of the top of the page, the date, and an ID number.
