The Delaware Certificate of Incorporation A Stock Corporation is the application form an entity must submit to the Delaware Division of Corporation of the Delaware Secretary of State’s Office. This is a straightforward form which will call for the most basic points of information that should be reported to be filled in. There will be other documents and/or requirements which must be satisfied and it is left to the Incorporator to make sure all necessary paperwork is submitted with these articles (i.e. licenses).
The Delaware Certificate of Incorporation filing fee is $89.00. Each additional page will require a $9.00 fee. Other fees may apply depending on such factors as wishing to expedite the application process, the stock information, and/or deciding to certify the documents returned ($50.00 certification fee) should be paid in full at the time of filing as well. There will be two options in how to submit the articles. You may fax them to (302) 739-3812 or mail them to Delaware Division of Corporation, 401 Federal Street – Ste 4, Dover, DE 19901. You may pay by credit card with either method however you may only pay by check when submitting by mail. All checks should be made payable to “Delaware Secretary of State.” Credit card information may be reported on the filing cover memo which must accompany the articles, full payment, and all required documents.
How To File
Step 1 – Download the Corporate Certificate Cover Memo here: https://articlesofincorporation.org/wp-content/uploads/DE-certmemo.pdf. A cover letter memo with this information must accompany the articles. The Delaware Division of Corporation will allow an Incorporator to use a different document (i.e. if using a letterhead is preferable) but all pieces of information on the Corporate Certificate Cover Memo in this PDF must be present.
Step 2 – Indicate if you would like to expedite the filing process by marking one of the boxes in the first row of the page. Keep in mind that each priority will have its own price: Priority 1 (One Hr) costs $1000.00, Priority 2 (Two Hr) requires $500.00, Priority 3 (Same Day) and Priority 4 (24 Hour) will both be determined (Call 302.739.3073 for Fees), or Priority 7 (Reg. Work) does not require additional monies.
Step 3 – The next section, “Submitter’s Information,” requires the individual or entity filing these articles to be identified. This will require the Submitter’s Name, Return Address, City/State/Zip Code, an Attention Name (if applicable), Phone Number, Fax Number, E-mail Address, and Account Number to be supplied in the appropriate spaces.
Step 4 – The next section is “Certification Request Information.” If you would like the returned documents to be certified by the Delaware Division of Corporation then fill in the Company/Entity Name on the first line. Then, on the second line, enter the File Number. Since this is a new entity, if no previous file number has been assigned, this may be left blank. If this section is filled out, a $50.00 certification fee must be paid with the submittal package.
Step 5 – The “Type of Certificate Requested” section, requires you to select the box next to the appropriate type of certificate being applied for. If mailing this package and paying by check, include the Check Number in the space provided at the bottom of this section. Then next to “Total $ Enclosed,” include the total amount of money being submitted with this package. This amount must be sufficient to pay all applicable fees.
Step 6 – The next section, “Method of Return,” will be on the right side. Here, check how you would like the articles package to be returned to you. You may select Messenger/Pick up service, Express Mail (supply your account number), or a different method by selecting “Other” and defining it.
Step 7 – If there are any comments or relevant information to convey then enter it in the section labeled “Comments/Filing Instructions.”
Step 8 – At the bottom of this form will be the “Credit Card Information” section. Fill in this section only if you are not submitting your full payments to the Delaware Secretary of State by check. The Delaware Secretary of State will accept American Express, Discover, MasterCard, or Visa. Here, enter the credit card number on the first line, the Expiration Date of the card, and the Security Code in the spaces provided.
Step 9 – Next, go to the “Corporate Forms and Certificates For A Corporation” web page (http://corp.delaware.gov/corpformscorp09.shtml) and locate the link labeled “Stock Corporation.” Select this link to get the Delaware Certificate of Incorporation A Stock Incorporation form.
Step 10 – Locate the item labeled “First” on the form. Enter the Full Name of the Corporation being formed.
Step 11 – Next to the word “Second” there will be several blank spaces. In this order enter the Registered Agent’s Street Address, the City where the Registered Agent is located, the County where the Registered Agent is located, and the Zip Code the Registered Agent is located in, Finally, enter the Full Name of the Registered Agent.
Step 12 – The “Third” item will bind the corporation being formed to the laws stated in the General Corporation Law of Delaware.
Step 13 – In the “Fourth” item, report the total number of authorized shares the forming corporation may dispense then the par value of each share.
Step 14 – In the “Fifth” item, enter the Name, Mailing Address, and Zip Code of the Incorporator of the entity being formed by these articles.
Step 15 – The last paragraph shall require the Calendar Day of the Month, the Month, and the Year this document is being signed. Below this the Incorporator must sign his or her name on the signature line then print his/her name in the box labeled “Name.”
Step 16 – Submit the completed Corporate Cover Memo, the original and completed, Delaware Certificate of Incorporation A Stock Incorporation, any and all required paperwork that must be attached, then either mail to Delaware Division of Corporation, 401 Federal Street – Ste 4, Dover, DE 19901 or fax to (302) 739-3812 . Note: Only submittal packages accompanied by full payment of all fees and, if applicable, requested services will be processed.
