The Hawaii Articles of Incorporation for Nonprofit Corporation | Form DNP-1 will satisfy the basic filing requirements of the Hawaii Department of Commerce and Consumer Affairs. This form is structured so that it will only deliver the minimum information required by DCCA to form a domestic nonprofit corporation in this state. That is, if the forming entity is to be a tax exempt nonprofit corporation you must draw up your own articles of incorporation and it must be done in a manner that addresses the expectations of the Internal Revenue Service. If you are unclear as to the paperwork required by the I.R.S. and the DCCA, you should consult the Internal Revenue Service. It would also be considered prudent to consult an attorney.
You may file these articles online or by mail. To file online, you must obtain a login by providing your information here: https://login.ehawaii.gov. To file by paper you must mail in the articles with the full payment of the $25.00 filing fee plus a $1.00 archive fee for a total of $26.00. You may choose to expedite the process. To do so, you must request this and pay an additional $25.00 service charge. Also, you may obtain a certified copy for an additional $10.00. Payments for the filing fee, archive fee, and any other required service may be submitted by a check or money order made payable to “Department of Commerce and Consumer Affairs.” These articles may be printed or they may be filled in by hand provided you are using black ink and it is legible. Mail the articles and any supporting documents to Department of Commerce and Consumer Affairs, Business Registration Division, P.O. Box 40, Honolulu, HI 96810.
How To File
Step 1 – Download the Hawaii Articles of Incorporation | Form DC-1 by selecting the link above the words “Step 1” in these instructions or by visiting the “Domestic NonProfit Corporation” web page maintained by the Hawaii Department of Commerce and Consumer Affairs here: http://cca.hawaii.gov/breg/registration/dnc. Then select the link labeled “Paper Form DNP-1 (Fillable PDF).” You must have a PDF program to work on this document while it is on the screen then print it. Otherwise you may print it then fill it out with a typewriter or a pen with black ink.
Step 2 – The first article is under the heading “I.” Here you will see a blank line below the words “The name of the corporation shall be.” Enter the Full Name the nonprofit corporation on this line.
Step 3 – Under the heading labeled “II,” enter the Full Mailing Address of the initial Principal Office of the corporation.
Step 4 – In the third article, under the heading “III,” you must report the Full Name of the Registered Agent on the first blank line on the first blank space in line “a.” If this is a business entity, enter the Full Name where the business entity serving as the Registered Agent originally formed. Then on line “b” enter the full Street Address of the individual or business serving as the Registered Agent on the blank space provided. This address must be the Physical Address of the Registered Agent and must be in the State of Hawaii.
Step 5 – In article IV, enter the Full Name and Address of each Incorporator on the spaces provided. The first blank space of each row is reserved for the Incorporator’s Full Name while the second blank line of each row is reserved for that Incorporator’s Full Address.
Step 6 – If the forming nonprofit corporation has members then check the fist box in article V. If not, then you must place a check mark in the second box in Article V. You may only choose one box.
Step 7 – Read the last two paragraphs of this form, they shall act as an acknowledgment of the conditions of the articles being filed. After the acknowledgement, enter the Calendar Day, the Month, and the Year these articles are being signed.
Step 8 – On the first line below the date, the Incorporator must Type or Print his/her Full Name then Sign his/her name below the printed version. There will be enough spaces on each line for two Incorporators.
Step 9 – The Hawaii Articles of Incorporation for Nonprofit Corporation | Form DNP-1 may be sent with any supporting or required documents with full payment of the $25.00 filing fee plus a $1.00 archiving fee. You may choose to request and include payment for expedited processing ($25.00) and/or to obtain a certified copy ($10.00). Checks, money orders, and cashier checks should be made to the Hawaii Department of Commerce and Consumer Affairs.

How To File Electronically
Step 1 – Log in to your eHawaii.gov Account at https://login.ehawaii.gov/lala/login then providing your Email Address and Password.
Step 2 – Locate the link “Hawaii Business Express” then click on it.
Step 3 – In order to fill out the articles on screen as they are choose the “QuickFile” button on the right. This will bring you to a list of forms available online.
Step 4 – If this is your first time filing a form with Business Express you will be given the opportunity tor read and accept the terms and conditions. When ready, select the button labeled “Accept.”
Step 5 – Click the link labeled “Continue to Homepage” on the confirmation screen.
Step 6 – Your home page will have two portals. One for a wizard to help you with forms and the other for a QuickFile option. Choose the “QuickFile” option
Step 7 – From this page, locate the link labeled “DNP-1 Articles of Incorporation (Non-profit). This will be the third link from the top on the main screen.
Step 8 – A pop up window will appear recommending that if you are filing with multiple agencies simultaneously, to use the Wizard. For our purposes choose the button labeled “Continue” to use QuickFile.
Step 9 – This is the Internet Form DNP-1 screen where you will enter the information necessary to register the non-profit corporation with the Hawaii Secretary of State thereby, forming the entity.
Step 10 – In the first item, Article I, enter the Full Name of the nonprofit corporation being formed. This should include a suffix of incorporation appropriate for the entity. The more common ones for a standard non-profit corporation are Corporation, Incorporated, Corp., and Inc.
Step 11 – The next item, Article II, requires the Full Address of the Principal Office’s Mailing Address. This should be provided in the fields labeled “Street 1,” “Street 2,” “City,” “State,” “Zip Code,” and “Country.”
Step 12 – Article IIIa will require the Full Name of the Registered Agent you have obtained for this nonprofit corporation. Every corporation in the State of Hawaii is required to maintain a Registered Agent who will accept court issued documents on behalf of that corporation. This may not be the corporation itself but a separate entity that maintains a Physical Address in the State of Hawaii. If you are unsure of the official name of your Registered Agent, then you may search by clicking “Looking for your agent’s official business name.” Then, in “Agent Type,” indicate whether the Registered Agent is an Individual or a Business. On the next line, select “State” then select the State the Registered Office is in (Hawaii) from the drop down list.
Step 13 – Next, in Article IIIb, report the Full Address of the Registered Agent. If this is an individual at the same address of the Principal Office, select the “Same as Mailing Address” button, provided the Mailing Address entered earlier is the Physical Location as well. If not then enter the Full Address of the Physical Location where Service of Process may be delivered to the Registered Agent.
Step 14 – In Article IV, report the Full Name and Full Address of each Incorporator. That is the individuals who are forming this nonprofit corporation and have the authority to submit this form with the information presented. Under the heading, “Incorporator #1,” enter the Full Name of an Incorporator inthe field labeled “Name.”
Step 15 – Next enter the Full Address for the Incorporator you have just reported. When you are done, you may either select the link (on the left) labeled “Add Another Incorporator” or if you wish, you may choose the “Delete This Incorporator” (next to the heading). You may add as many Incorporators as you wish and each entry remains editable. When you are done proceed to the next section.
Step 16 – Report if the nonprofit corporation being formed will have members or not. If so, then select the radio button labeled “Yes.” If not select the radio button labeled “No.”
Step 17 – One of the Incorporators listed in Article III must provide a digital signature by entering his/her Full Name in the “Name of Incorporator” field near the bottom of the form. Below this, that Incorporator must provide his/her Electronic Signature in the field labeled “Signature of Incorporator.”
Step 18 – If you wish to save this form for later review you may do so by selecting the button “Save and Finish Later.” When you are ready to submit this form select the button labeled “Review and Purchase.” You will be given to review the Hawaii Articles of Incorporation (Non-Profit) before submitting. Once you do submit you must pay the $25.00 Filing Fee by entering your credit card information or eHawaii account in the appropriate spaces. Your paperwork will not be processed unless you have entered this information for Full Payment.
