The Idaho Articles of Incorporation (Professional Service Corporation) must be submitted as a typed or handwritten form to the Idaho Secretary of State prior to operating a Professional Service Corporation in this state. This form should be filed in duplicate with all appropriate payments, made in full, at the time of submittal. Payments will vary depending upon the services requested and how the form is submitted. If it is typed the filing fee will be $100.00. If the form is handwritten the filing fee will be $120.00. There is an expediting service available for $20.00. Payments may be made either with a check/money order or through a prepaid account held with the Secretary of State. If paying by check then make it payable to “Secretary of State.” If paying with a prepaid account then submit a cover sheet with the necessary information with the articles. It should be noted this form only calls for the minimum amount of information required. In some cases, especially with Professional Service Corporations, you may need to submit additional documentation such as verification from a licensing board. You may also attach additional provisions to this document if it is called for. The incorporator of this entity will be held responsible for filing the necessary paperwork with all governing entities that require it. Whether one is familiar with the process or not, it is highly recommended to consult an attorney before submitting such sensitive documents. Improperly submitted filings may be deleted from the database by the Idaho Secretary of State which may cause significant delays. This form may only be used if the professional corporation being formed is one who’s profession falls only under Architecture, Chiropractic, Dentistry, Engineering, Landscape Architecture, Law, Medicine, Nursing, Occupational Therapy, Optometry, Physical Therapy, Podiatry, Professional Geology, Psychology, Certified or Licensed Public Accounting, Social Work, Surveying, or Veterinary Medicine.
How To File
Step 1 – If this is a Public Benefit Professional Corporation, as per Idaho Code Title 30, Chapter 20, then check the box on the first line of the page.
Step 2 – In Article 1, report the Full Name of the entity being formed. This must be a unique name in this state. Furthermore, since it is a Professional Corporation, it must contain any of the following words in the name: Chartered, Professional Association, Professional Corporation, P.A., P.C. or Chtd.
Step 3 – In Article 2, report the official Purpose for filing this document. This should include the reason for why this corporation is being formed and how it will conduct business. Keep in mind, this form is only for the approved services mentioned above.
Step 4 – In Article 3, document the number of authorized shares this corporation may issue.
Step 5 – In Article 4, document the Full Name and Street Address of the individual who will serve as the Registered Agent for this corporation during its active lifetime. This is the individual who will receive any official notices or court documents (such as service of process).
Step 6 – In Article 5, fill in the blank line with the Full Name and Address of the Incorporator of this corporation.
Step 7 – In Article 6, state the Mailing Address of the corporation being formed on the blank space provided.
Step 8 – The section titled “Optional Articles,” detail any additional paperwork that must be submitted. Each document should be properly titled and labeled then reported, as it is titled, to the articles.
Step 9 – The Signature area at the bottom of the page will provide enough room for two Incorporators to Print and Sign their Names.
Step 10 – On the next page, titled “Instructions,” you will have an opportunity to give some contact information should there be any information found to be incorrect. On the fist space available, enter you Phone Number. Then on the second space, enter your E-mail Address.
Step 11 – Organize the payment for all applicable fees and services for this filing. The filing fee for a type written Idaho Articles of Incorporation (Professional Corporation) is $100.00. You may fill in these articles by hand however this will require a fee of $120.00. If you wish to expedite service to these articles then you must include an additional $20.00 with your payment. You may pay by a check or money order made payable to “Secretary of State.” If you wish to, you may choose to pay using a prepaid account but must include a cover letter with the details for obtaining a payment.
