The Illinois Articles of Incorporation Nonprofit Corporation | Form NFP 102.10 must be filed in duplicate with full payment of all applicable fees to the Illinois Secretary of State Department of Business Services prior to operating a nonprofit corporation in this state. It is important to note, this is only an initial step in forming a nonprofit corporation and maintaining its compliance with Illinois State and Federal Laws. For example, if this corporation is intending to apply for Tax Exempt Status, it must do so with the Internal Revenue Service. This separate entity will have its own requirements and these articles may need to have some very specific language incorporated within the form (Incorporators should seek legal help and/or contact the IRS for additional information on the tax exempt application process). This form may be filled out on screen then printed, if one has a compatable web browser and/or PDF program. It may also be printed then be filled out with a typewriter, or printed by hand (Black Ink only) then mailed to Secretary of State, Department of Business Services, 501 S. Second Street Rm 350, Springfield, IL 62756. Payment should be made with a cashier’s check, certified check, money order, or Illinois Attorney/C.P.A’s check made payable to Secretary of State and must be received in full at the time of filing. The filing fee for the Illinois Articles of Incorporation Nonprofit Corporation is $50.00.

Step 1 – In Article 1, document the full name of the Nonprofit Corporation being formed.

Step 2 – In Article 2, Fill in the Registered Agent’s First Name, Middle Name, and Last Name on the line labeled “Registered Agent.”

Step 3 – In Article 2, Fill in the Registered Agent’s Address on the line labeled “Registered Office.”

Step 4 – In Article 3, list the number of Directors sitting on the Board of Directors. There must be at least three. Then, on the lines provided below, list the Full Name aand Full Address of each initial Director. IL nfp page 1 Step 5 – In Article 4, state the purpose this nonprofit corporation is forming. This must be a specific purpose or reason for organizing this corporation while broad reasons are generally not acceptable.

Step 6 – There will be several coices, below the Purpose area in Article 4, you must make to define this entity. If this corporation is a Condominium Association then place a mark in the box labeled “Yes” under the first question. If not, then mark the box labeled “No.” If this corporation is a Cooperative Housing Corporation then place a mark in the box labeled “Yes” under the second question. If not, mark the box labeled “No.” If this corporation is a Homeowner’s Association, then place a mark in the box labele “Yes” under the third question. If not, mark the box labeled “No.”

Step 8 – Attach any additional provisions that must have a bearing on these articles then list them in Article 5.

Step 9 – Next, in Article 6, locate the word “Dated,” then enter the Month, Day, and Year these articles are being signed. Below this will be two columns: “Signatures and Names” and “Post Office Address.” Each Incorporator must provide his/her Signature, Printed Name, and Post Office Address in this table.

Step 10 – The last section document will define where these articles may be returned. Enter the Firm Name and Attention line on the first line. Then enter the Mailing Address and City/State/Zip on the second line. IL nfp page 2 Step 11 – These articles (one original plus one duplicate), full payment of the filing fee ($50.00) in the form of a cashier’s check, certified check, money order, or Illinois Attorney/C.P.A’s check made payable to Secretary of State must be submitted simultaneously with the articles and may be mailed to Secretary of State, Department of Business Services, 501 S. Second Street Rm 350, Springfield, IL 62756.

How To File Electronically

Step 1 – Go the Illinois Secretary of State  Articles of Incorporation – Not For Profit introduction page managed by the Department of Business Services here: http://www.cyberdriveillinois.com/departments/business_services/incorporation/nfp_instructions.html. Step 2 – Next, read the available definitions then select the “Continue” button located at the bottom right hand corner. il nonprof instr01

 

Step 3 –Enter the Full Name of the Not For Profit Corporation being formed in the text box provided then select the “Continue” button in the lower right hand corner.il nonprof instr02

 

Step 4- This  page will require information regarding the Registered Agent who has accepted the responsibility of reliably receiving then delivering official notices such as the court generated service of process documents that must be received by the corporation if it is sued. In the first text box, report the Full Name of the Registered Agent. On the second line, report the Building Number, Street, and Suite Number (if applicable) in the text box labeled “Address.” In the text box labeled “City,” enter the City where the Registered Agent is located then select the County using the dropdown menu labeled “County.” Finally, report the Registered Agent’s Zip Code in the text box labeled “Zip.” Once you have entered identity and location of the Registered Agent, select the “Continue” button.il nonprof instr03

 

Step 5 – This next page will give you the opportunity to review the Registered Agent’s Address. If it is entered incorrectly, select the button labeled “Edit Address” and refer to Step 3. If it is correct, select the button at the bottom right labeled “Address is Correct.” This will allow you to continue to the next step.il nonprof instr04

 

Step 6 – You will now need to enter the Name, Street Address, City, State, and Zip code of every Director sitting on the initial Board of Directors. You may enter information in the numbered text boxes. Each board member should have his/her own text box. There must be at least three Directors.il nonprof instr05

Step 7 – Next you must define the type of Not For Profit Corporation being formed. You may only choose one of these by left clicking in the radio button that applies. When you have defined the type of Not For Profit Corporation being formed, select the button in the lower right hand corner labeled “Continue

Step 8 – The “Interrogatories” will pose three questions  The first will ask if the corporation being formed is a Condominium Association. The second will ask if this Not For Profit is a Cooperative Housing Corporation and the third will as if this is a Home Owner’s Association in accordance with (c) of Section 9-102 of the Code of Civil Procedure. Each of these questions will have a “Yes” radio button and a “No” radio button. For each question, select the appropriate radio button.

Step 9 – This page will give you the ability to review the fees associated with filing these articles online. Select “Continue” when you wish to proceed to the next screen.il nonprof instr08

 

Step 10 – The Incorporator must now enter his or her Full Name and Address. This information will be split amongst five fields: Name, Address (Street Address), City, State, and Zip. Enter the Incorporator’s information in the appropriate fields. Select the button labeled “Submit” located in the bottom right hand corner of the page.il nonprof instr09

Step 11 – This page will give you an opportunity to review the information you entered thus far over the past few screens. You  should review this very carefully. Each section will have a link just above it on the right, labeled “Edit.” Selecting this link will bring you back to that section’s screen. Once you have verified all the information is correct, you may select the “Continue” button to proceed to the payment information screen. il nonprof instr010

Step 12 – This step will be the final step in filing the Articles of Incorporation – Not For Profit online form. Review the payment information then select the appropriate payment method from the available choices.
