The Illinois Articles of Incorporation Professional Services Corporation | Form BCA 2.10 (PSCA) submission to the Illinois Secretary of State’s Department of Business Services is the first step in forming a professional corporation in this state. The purpose of this form is to report the minimum amount of information regarding the professional corporation being formed to the Secretary of State of Illinois. Since this is a professional corporation which will provide a professional service other entities will need to be satisfied as well. For instance, professional services will be governed by a regulatory board which would require registration or licensing to perform such a service in this state, entities with jurisdiction over said license will have to be addressed. It will be up to the Incorporator to take the initiative in such matters at all stages of this entity formation. If the Incorporator(s) is unsure of the process, it is strongly recommended that an attorney be consulted.
These articles may be mailed in with full payment of the calculated Initial Franchise Tax (minimum $25.00), full payment for the $150.00 filing fee, and any additional paperwork to Secretary of State, Department of Business Services, 501 S. Second Street Rm 350, Springfield, IL 62756.
How To File
Step 1 – In Article 1, or “Corporate Name,” enter the Full Name of the professional corporation being formed. This type of corporation must have one of the following words incorporated in the name: Chartered, Limited, Ltd., Professional Corporation, Prof Corp, or P.C.
Step 2 – In the Registered Agent section, Article 2, report the Full Name (First Name, Middle Name, Last Name) of the elected Registered Agent of this corporation on the space labeled “Initial Registered Name.” Then in the area labeled “Initial Registered Office,” enter the physical Street Address (Building Number, Street, Suite Number, City, Zip Code, County) on the blank lines.
Step 3 – In Article 4, you must report the stock information for this company. There will be a table in the area labeled “Paragraph 1,” where you may document each Class of Stock this corporation may issue. Then for each Class, you must document the Number of Shares Authorized, the Number of Shares Proposed to be Issued, Consideration to be Received Thereof, and the Total dollar amount for the Consiration to be Received. “Paragraph 2” will require you report available specifics on the available classes (i.e. preferences, qualifications, limitations, restrictions, and relative rights).
Step 4 – Article 5, “Optional,” may be filled out at your discretion. This will be where you may report on the Initial Board of Directors. In Article 5a, report the number of officers or directors sitting on the Initial Board of Directors. Then, in Article 5b, list each Director’s Full Name and Address.
Step 5 – In Article 6, “Optional,” may be filled out at your disretion. In Article 6a, report the estimated property value of the corporation’s assets for the following year on the space provided. In Article 6b, report the estimated property value of the corporation’s assets only in the State of Illinois for the following year on the blank space provided. In Article 6c, report the gross amount estimated to be recieved as a result of the business transactions of this corporation for the following year. In Article 6d, report the gross amount estimated to be received as a result of business transactions of this corporation, in the State of Illinois, for the following year.
Step 6 – If you wish to attach any additional information deemed necessary or required, you may do so as per Article 7, “Optional: Other Provisions.”
Step 7 – In Article 8, provide the Month, Day, and Year this form is being signed on the line labeled “Dated.” Then, below the Date, each Incorporator should Sign and Print his or her name under the heading “Signature and Name” then fill in his/her Address in the appropriate area under the “Address” column.
Step 8 – The next section requiring attention will be “Note 2: Return to:” in the bottom right corner of this page. Here, enter the Firm Name, Attention line, Mailing Address, City/Stat/Zip Code, where these articles may be mailed back to.
Step 9 – Next you will need to calculate the Initial Franchise Tax that must be included in the payment accompanying these articles. This will be calculated as per “Note 1: Fee Schedule” located in the lower left corner of this page. The rate used will be $1.50 per $1000.00 on paid-in capital.
Step 10 – Your submittal package should consist of the Articles of Incorporation Professional Services Corporation | Form BCA 2.10 (PSC), payment covering the $150.00 Filing Fee plus the Initial Franchise Tax (minimum $25.00), and any additional documents considered to be a part of or required to support the articles.
