The Louisiana Articles of Incorporation For Profit Corporation will need to be submitted to the Louisiana Secretary of State when an incorporator wishes to create a for profit corporation in this state. This is a requirement by the State of Louisiana should such an entity wish to form and conduct business transactions in Louisiana. You may file these articles online if you have an account with https://geauxbiz.sos.la.gov or you may file them by mail. If filing by mail you must send the original plus one exact copy to Secretary of State, P.O. Box 94125, Baton Rouge, LA 70804-9125 along with full payment of the $75.00 filing fee. You may pay by credit card, check, or money order. The transmittal sheet will give you an opportunity to indicate your method of payment. If you are paying with a check or money order you must make it payable to Secretary of State.
This form will provide structured sections for the basic required information the Lousiana Secretary of State expects to be submitted. In some cases additional provisions may have to be listed and depending on the nature of the corporation more information may have to be provided. How To File
Step 1 – You may download the Louisiana Articles of Incorporation Domestic Business Corporation by clicking this link: Form SS399 or selecting the words “Download Form” above. It is recommended that you save the file onto your computer then either print it to fill it out or you may use a .PDF program to input your information then print it.
Step 2 – The first page is the Transmittal Information cover page. This page must be filled out as it will define the type of service you are requesting and verify the contact information for the party who will correspond with the Louisiana Secretary of State on behalf of the corporation being formed in relation to these articles. The first definition necessary will be the type of processing service you will request for these articles. If you do not require expedited service then select the first box, labeled “Routine.” If you require these articles to be filed within twenty four hours then select the box labeled “Expedite $30.00.” You will need to submit an additional $30.00 processing fee if you wish expedited service.
Step 3 – Next you will need to indicate how you will pay the Filing Fee plus any applicable fees. This must be done at the time of submittal. If paying by check or money order then place a mark in the box labeled “Check or Money Order Enclosed.” If paying in this manner you must make the check or money order payable to “Secretary of State” for the full amount. If paying by credit card then place a check in the box labeled “Credit Card Number” and enter the credit card number that is to be used to pay the applicable fees. Then enter the Expiration Date on the line labled “Expiration Date.”
Step 4 – The next section will be to define the parties involved. On the first line, enter the name of the Business Entity responsible for these documents.
Step 5 – On the second blank line, enter the Full Name of the individual filing these documents with the Louisiana Secretary of State.
Step 6 – On the line labeled “Address,” report the Building Number, Street, and Suite Number of the individual filing these articles. Then, on the next line, enter the City, State, and Zip Code where the individual filing these articles is located.
Step 7 – On the last line, of this page, enter the Daytime Phone Number, Fax Number, and Email Address where the individual filing these articles may be reached.
Step 8 – The second page is the Louisiana Articles of Incorporation Domestic Business Corporation. On the first line, labeled “State Of,” enter the word “Louisiana”
Step 9 – Report your County on the second line (labeled “Parish/County of”).
Step 10 – In Item 1, enter the Full Name of the corporation being formed. This should include the words of incorporation utilized in the name to satisfy Louisiana State requirements.
Step 11 – In Item 2, you must report on the purpose of this corporation. You may choose between a general purpose that is compliant with Louisiana State Law by placing a mark in the parenthesis labeled “a” or you may choose to write in a specific and limited corporate activity by placing a mark in the parenthesis labeled “b” then defining that activity on the space provided
Step 12 – In Item 3, define the lifespan of the corporation being formed. If the entity being created will operate for as long as possible with no true end date then leave this item blank. If there is a specific Date where this corporation will dissolve then enter the Date on the blank line provided.
Step 13 – In Item 4, enter the Number of Shares this corporation has been authorized to issue on the blank space provided.
Step 14 – In Item 5, report the par value for the shares (or the classes) on the space provided.
Step 15 – In Item 6, report the Full Name and Address of the Incorporators creating this entity.
Step 16 – In Item 7, enter the Street Address of the Initial Registered Office. This is physical address where the Registered Office is located. P.O. Boxes are not acceptable.
Step 17 – In Item 8, fill in the Street Address of the corporation’s Principal Office. This is the physical address where the Principal Office is located and may not be a P.O. Box.
Step 18 – In Item 9, enter the Full Name and Address of the appointed Registered Agent. This must be the physical location of the Registered Agent. A P.O. Box address will not be accepted.
Step 19 – In Item 10, list the Full Name and Street Address of the Initial Directors for the entity being created by these articles.
Step 20 – In Item 11, define the status of liability protection for the Directors and Officers of this corporation. If full protection exists, place a mark in the parenthesis labeled “a.” If no such protection exists place a mark in the parenthesis labeled “b.” If liability protection exists but with specific limits, place a mark in the parenthesis labeled “c” then define the limitations of this protection on the space provided.
Step 21 – Item 12 shall allow for other provisions to be defined. There will be several lines available to do this.
Step 22 – The next page is titled “Written Consent To Appointment.” This is a mandatory part of this form which both the Incorporator and the Registered Agent must sign in the presence of a Notary. The Notary must then provide his/her information, date the document, then notarize it.
Step 23 – Next you must send the original and one exact copy of the Louisiana Articles of Incorporation Domestic Business Corporation | Form SS399 with a Full Payment of the Filing Fee of $75.00. You may pay with a check or money order made out to “Secretary of State” or you may use a major credit card. The method of payment must be defined on the transmittal cover sheet.
