The New Hampshire Articles of Incorporation for Profit Corporation, provided by the New Hampshire Secretary of State, gives Incorporators a framework to report information that must be submitted to this governing entity. It is worth noting this is the minimum amount of information that must be reported with the New Hampshire Secretary of State. You may have to submit additional documentation depending upon the corporate structure and purpose of the corporation being formed. Incorporators wishing to form such entities are generally encouraged to seek advice from an attorney or accountant.
The New Hampshire Secretary of State Corporations Division will need full payment of the Filing Fee. This will be $100.00 and may be payed for with a check made out to State of New Hampshire. The review process of the articles you have sent in will not begin unless your payment has successfully cleared. You will receive a stamped copy of the articles sent within thirty days. If this has not happened there may be a delay in the processing and you should contact the New Hampshire Secretary of State Corporation Division.
How To File
Step 1 – Obtain the New Hampshire Articles of Incorporation for Profit Corporation by selecting the link labeled “Download Form” above or by selecting this link: Form 11. This is a PDF which is editable using a PDF program then printed or you may print it then fill it out (use Black Ink).
Step 2 – In the First Article, enter the Full Name of the corporation being formed. This name must contain the word Corporation, Incorporated, Limited, or a generally accepted abbreviation of one of the words.
Step 3 – On the line labeled “Principal Office Address,” under the heading Principal Business Information write in the Building Number, Street, Suite Number, City, State, and Zip Code where the Principal Office is actually located and may not contain a P.O. Box.
Step 4 – On the line labeled “Principal Mailing Address (if different),” write in the Mailing Address of this entity should it receive its mail at a separate location then its actual address.
Step 5 – On the line labeled “Business Phone,” enter the Phone Number where the Principal Office may be contacted.
Step 6 – On the line labeled “Business Email,” enter a reliable Email Address that will be read and received in a timely manner should the New Hampshire Secretary of State wish to contact the entity via email. There will be a blank space below this, if you would like to receive the Annual Business Report via this email address, place a check or an “X” on this blank space (beginning with the words “Please check…”
Step 7 – The Second Article will contain a table where you must report information regarding the stock this corporation has been authorized to issue. You will need to list the Share Types in the first column, then for each share type, report the Number of Authorized Shares in the second column, the Par Value of those Shares in the third column, and any additional Comments in the fourth column. Each row must have the appropriate information regarding the Share Type listed in it.
Step 8 – In the Third Article, enter the Full Name of this corporation’s Registered Agent on the first blank line. On the second blank line, report the actual location of this Registered Agent (Building Number, Street, Suite Number, City, State, and Zip Code).
Step 9 – The Fourth Article will require you document the purpose of this corporation. That is why is it being formed and how will it transact business in the State of New Hampshire It is recommended to document the NAICS Code and Sub Code if corporation has been assigned one).
Step 10 – In the Fifth Article, report if the majority vote of this corporation’s controlling body has decided to become or decided not to become a benefit corporation. If the forming entity has elected to become a benefit corporation, then write in the word “is” on the blank space in this paragraph. If the forming entity has elected not to operate as a benefit corporation then write in the words “is not.”
Step 11 – There will be two columns in the Sixth Article. The one on the right is reserved for the Full Name of each Incorporator to be listed. The column on the right will contain two blank lines for each line in the first so you may list the Full Address for each Incorporator.
Step 12 – Each Incorporator listed must sign the bottom of this document. There is enough room for three, then there will be a Date line. Enter the Date this document has been signed on this line.
Step 13 – Organize all required documentation with the New Hampshire Articles of Incorporation For Profit Corporation and mail to the New Hampshire Secretary of State with a check or money order, payable to “State of New Hampshire,” for $100.00 (Filing Fee).
